Bajrang Shyamsunder Agarwal v. Central Bank of India & Anr.
- Court: Supreme Court Of India
- Year: 2019
- Neutral citation: 2019 INSC 1017
Key Legal Principles
The important principles are:
(i) A valid tenancy existing before creation of the mortgage is not automatically extinguished by the secured creditor's SARFAESI proceedings.
(ii) A tenancy created after the mortgage but before the Section 13(2) notice must satisfy Section 65-A of the Transfer of Property Act.
(iii) A lease exceeding one year requires a registered instrument under Section 107 of the Transfer of Property Act.
(iv) A tenancy created after receipt of the Section 13(2) notice cannot ordinarily defeat the secured creditor because of Section 13(13) of SARFAESI.
(v) A tenant-in-sufferance cannot ordinarily invoke tenancy protection to defeat SARFAESI enforcement.
(vi) SARFAESI, the Transfer of Property Act and applicable Rent Control law must be read together so that genuine pre-existing tenancy rights are protected without permitting subsequent transactions to frustrate enforcement of security.
Key Legal Principles (Kannada)
(i) Mortgage ಸೃಷ್ಟಿಯಾಗುವುದಕ್ಕೂ ಮೊದಲು ಅಸ್ತಿತ್ವದಲ್ಲಿದ್ದ valid tenancy, secured creditorನ SARFAESI ಕ್ರಮದಿಂದ ಸ್ವಯಂಚಾಲಿತವಾಗಿ ನಾಶವಾಗುವುದಿಲ್ಲ.
(ii) Mortgage ನಂತರ ಆದರೆ Section 13(2) notice ಮೊದಲು ಸೃಷ್ಟಿಯಾದ tenancy Section 65-A TPAಯ ಅವಶ್ಯಕತೆಗಳನ್ನು ಪೂರೈಸಬೇಕು.
Summary (English)
1. Facts
The dispute concerned tenancy rights over a property which had been mortgaged to Central Bank of India as security for the borrower's loan.
The appellant claimed to be a tenant in the secured property and resisted the Bank's SARFAESI proceedings for taking possession.
The principal question was whether a tenant could rely upon tenancy/rent-control protection against the secured creditor when the tenancy was created in relation to a mortgaged property.
The case required the Supreme Court to reconcile the rights of a tenant under the Transfer of Property Act and Rent Act with the overriding provisions of the SARFAESI Act.
2. Legal Issue
The principal issue was:
Whether a tenant's possession of a secured asset can be protected against the secured creditor's SARFAESI action, and particularly:
(a) whether a valid tenancy created before the mortgage can be disturbed;
(b) whether a tenancy created after the mortgage but before the Section 13(2) notice can bind the secured creditor;
(c) whether an unregistered lease can confer a right to remain in possession for more than one year; and
(d) whether a tenant-in-sufferance can claim protection against SARFAESI proceedings.
3. Court's Decision
The Supreme Court laid down a distinction between:
(i) a valid tenancy existing before creation of the mortgage;
(ii) a tenancy created after the mortgage but before the Section 13(2) notice; and
(iii) a tenancy created after the Section 13(2) notice.
The Court held that where a valid tenancy existed before creation of the mortgage, the tenant's possession could not ordinarily be disturbed merely because the secured creditor subsequently enforced the mortgage.
Where the tenancy was created after the mortgage but before the Section 13(2) notice, it had to satisfy the requirements of Section 65-A of the Transfer of Property Act.
A lease for more than one year had to be supported by a registered instrument under Section 107 of the Transfer of Property Act.
A tenancy created after the Section 13(2) notice could not ordinarily be used to defeat the secured creditor's rights because of Section 13(13) of the SARFAESI Act.
4. Court's Reasoning
The Supreme Court considered the relationship between the SARFAESI Act, the Transfer of Property Act and Rent Control legislation.
The Court recognised that a valid tenancy existing before the mortgage creates an interest in the property which cannot simply be ignored by the secured creditor.
However, the mortgagor's power to create a lease after the mortgage is restricted by Section 65-A of the Transfer of Property Act.
Therefore, a post-mortgage lease must satisfy the statutory conditions governing the mortgagor's power of leasing.
The Court also emphasised Section 13(13) of SARFAESI, which restricts the borrower from creating a transfer, lease or other form of encumbrance over the secured asset after receipt of the Section 13(2) notice without the prior written consent of the secured creditor.
A contrary interpretation would permit a borrower to defeat SARFAESI enforcement simply by creating a tenancy after receiving the demand notice.
The Court also held that where a tenant claims possession for a period exceeding one year, Section 107 of the Transfer of Property Act requires a registered instrument.
An unregistered lease cannot therefore be relied upon to establish a lawful right to possession for a period exceeding one year.
5. Relevance to Co-operative Banks
This is highly useful for co-operative banks because disputes concerning tenants occupying mortgaged properties are common during SARFAESI possession and auction proceedings.
The judgment is particularly useful where:
• a borrower claims that a tenant has an independent right of possession;
• a tenancy is said to have been created after the mortgage;
• a lease deed is unregistered;
• a tenancy is claimed to have been created after the Section 13(2) notice;
• a borrower attempts to introduce a tenant to obstruct physical possession; or
• a tenant invokes Rent Control protection against SARFAESI enforcement.
6. Practical Application
Before taking physical possession of a secured property, a co-operative bank should investigate any tenancy claim and obtain the relevant lease deed, rent receipts, date of creation of tenancy, date of mortgage and date of the Section 13(2) notice.
The chronology is critical.
The bank should specifically determine:
1. When was the mortgage created?
2. When was the alleged tenancy created?
3. Was the tenancy created before or after the mortgage?
4. If after the mortgage, does it satisfy Section 65-A TPA?
5. If the lease exceeds one year, is there a registered instrument?
6. Was the tenancy created after the Section 13(2) notice?
The judgment is particularly valuable for identifying sham or subsequently created tenancy claims, but the bank should not assume that every tenant is liable to be dispossessed. A genuine legally valid tenancy existing before the mortgage receives legal protection.
Current-law caution:
This judgment predates the insertion of Section 17(4A) of the SARFAESI Act, which came into force on 1 September 2016 and specifically provides a DRT remedy concerning claims of tenancy/leasehold rights in secured assets. Therefore, the tenancy-right principles remain useful, but the procedural remedy and forum must be considered under the post-2016 statutory framework.
Summary (Kannada)
ಈ ಸಂದರ್ಭದಲ್ಲಿ Transfer of Property Act, Rent Control law ಮತ್ತು SARFAESI Act ಅಡಿಯಲ್ಲಿ ಇರುವ ಹಕ್ಕುಗಳನ್ನು ಸುಪ್ರೀಂ ಕೋರ್ಟ್ ಪರಿಗಣಿಸಿತು.
(a) mortgage ಸೃಷ್ಟಿಯಾಗುವುದಕ್ಕೂ ಮೊದಲು ಅಸ್ತಿತ್ವದಲ್ಲಿದ್ದ valid tenancyಯನ್ನು secured creditor SARFAESI ಮೂಲಕ ಅಸ್ತವ್ಯಸ್ತಗೊಳಿಸಬಹುದೇ?
(i) mortgage ಸೃಷ್ಟಿಯಾಗುವುದಕ್ಕೂ ಮೊದಲು ಇದ್ದ valid tenancy;
Mortgage ನಂತರ ಆದರೆ Section 13(2) notice ಮೊದಲು tenancy ಸೃಷ್ಟಿಯಾಗಿದ್ದರೆ, ಅದು Transfer of Property Actನ Section 65-Aಯ ಅವಶ್ಯಕತೆಗಳನ್ನು ಪೂರೈಸಬೇಕು.
ಒಂದು ವರ್ಷಕ್ಕಿಂತ ಹೆಚ್ಚಿನ ಅವಧಿಯ leaseಗೆ Transfer of Property Actನ Section 107ರ ಪ್ರಕಾರ registered instrument ಅಗತ್ಯ.
SARFAESI Act, Transfer of Property Act
• borrower tenantಗೆ independent possession right ಇದೆ ಎಂದು ಹೇಳಿದಾಗ;
• mortgage ನಂತರ tenancy ಸೃಷ್ಟಿಯಾಗಿದೆ ಎಂದು ಹೇಳಿದಾಗ;
• lease deed registered ಆಗಿಲ್ಲದಾಗ;
• Section 13(2) notice ನಂತರ tenancy ಸೃಷ್ಟಿಯಾಗಿದೆ ಎಂದು ಕಂಡುಬಂದಾಗ;
1. Mortgage ಯಾವಾಗ ಸೃಷ್ಟಿಯಾಯಿತು?
2. Alleged tenancy
3. Tenancy mortgage
4. Mortgage ನಂತರವಾಗಿದ್ದರೆ Section 65-A TPA ಪೂರೈಸಿದೆಯೇ?
6. Tenancy Section 13(2) notice
