The Kalyan People's Co-operative Bank v. Dulhanbibi, Aqual Aminsaheb Patil & Ors.
- Court: Supreme Court Of India
- Year: 1962
Key Legal Principles
In statutory co-operative arbitration, procedural requirements concerning the mode of proof may, depending upon their nature, be waived or adopted by consent of the parties.
A party that has expressly or impliedly consented to a particular procedural course cannot ordinarily challenge that same procedure later merely because the final result is against it.
However, consent to a procedural course does not prevent the adjudicating authority from examining other independent legal objections on their merits.
Key Legal Principles (Kannada)
Summary (English)
1. Facts
The Kalyan People's Co-operative Bank had advanced loans to Amin Saheb Patil, with Kutubuddin Mohamad Ajim Kazi standing as surety.
The disputes between the Bank, the borrower and the surety were referred to arbitration under Section 54 of the Bombay Co-operative Societies Act, 1925.
The original Board of Arbitrators consisted of three members. During the proceedings, the nominee representing the borrower retired. The Board was reconstituted and continued recording evidence.
Subsequently, the newly appointed nominee also retired, resulting in another reconstitution of the Board. The final Board consisted of two members who had participated in the earlier proceedings and a new nominee representing the borrower.
The final Board considered evidence that had already been recorded before the earlier Boards and ultimately made an award.
The borrower and surety challenged the award before the Bombay Co-operative Tribunal.
2. Legal Issue
Whether a reconstituted co-operative arbitration tribunal can rely upon evidence recorded before an earlier tribunal, particularly when the parties have consented to or invited the tribunal to consider that earlier evidence.
A connected issue was whether a party that had itself consented to the use of the earlier evidence could subsequently object to its consideration merely because the final decision went against that party.
3. Court's Decision
The Supreme Court partly allowed the appeals.
The Court held that the final Board was entitled to consider the evidence previously recorded because the Bank had not objected to that course and had, in substance, invited the Board to act upon the earlier evidence.
A party cannot consent to a particular procedural course and subsequently challenge that same course merely because the result is adverse to it.
However, the Supreme Court held that the Tribunal should consider the remaining objections on their merits rather than simply remanding the matter on the preliminary objection concerning the earlier evidence.
4. Court's Reasoning
The Court treated the manner of taking and considering evidence in the proceedings as a matter of procedure.
Where a particular mode of proving a fact is capable of being waived or agreed upon by the parties, and the parties have consented to the procedure, it is not open to one party to subsequently object to that procedure after participating in it.
The Court specifically noted that the Bank had not merely failed to object to the final Board considering the earlier evidence; it appeared to have invited the Board to act upon that evidence.
Therefore, the Bank could not subsequently complain that the final Board had considered the earlier evidence.
At the same time, the Supreme Court made it clear that the Tribunal had to examine the other grounds raised in the revision applications on their merits.
5. Relevance to Co-operative Banks
This is a useful procedural precedent for co-operative banks involved in statutory arbitration or dispute-resolution proceedings under State Co-operative Societies legislation.
Co-operative bank recovery proceedings may continue for years and the composition of an arbitration board, tribunal or adjudicatory authority may change during the proceedings.
The case is particularly useful where evidence has already been recorded before an earlier constitution of the tribunal and a subsequently constituted tribunal is asked to continue the matter.
It also demonstrates the importance of maintaining a clear record of the Bank's procedural consent, objections and submissions during recovery proceedings.
6. Practical Application
When a co-operative arbitration tribunal is reconstituted during a recovery dispute, the Bank should:
1. Preserve the complete record of evidence recorded before the earlier tribunal.
2. Clearly state on record whether the Bank consents to the newly constituted tribunal considering the earlier evidence.
3. If the Bank objects to use of earlier evidence, raise the objection at the earliest appropriate stage.
4. Avoid taking inconsistent procedural positions at different stages of the same proceeding.
5. If the Bank has expressly or impliedly consented to a particular procedure, recognise that a later challenge to that procedure may be difficult.
6. Ensure that the newly constituted tribunal considers all remaining substantive objections and does not dispose of the proceeding solely on a procedural issue.
7. Maintain the arbitration record carefully because the composition of the tribunal and the procedural history may become important in subsequent revision or judicial proceedings.
Summary (Kannada)
The Kalyan People's Co-operative Bank, Amin Saheb Patil
State Co-operative Societies legislation
