The Ahmednagar District Central Cooperative Bank Ltd. v. The State of Maharashtra & Ors.

  • Court: Supreme Court Of India
  • Year: 2024
  • Neutral citation: 2024 INSC 741

Key Legal Principles

The important practical principles are:

• A completed auction sale will not necessarily be set aside merely because procedural irregularities are alleged, particularly where the challenge is brought belatedly after third-party rights have crystallised.

• A party challenging an auction must act promptly where it has knowledge of the auction process and the relevant valuation.

• A statutory-body auction purchaser does not obtain automatic immunity from judicial scrutiny merely because it is a creature of statute.

• Courts can take into account the legitimate recovery interests of a co-operative bank when considering relief arising from liquidation and auction proceedings.

• Article 142 can be used by the Supreme Court to mould relief and secure complete justice without necessarily undoing a completed transaction.

• In an appropriate case, the Court may preserve the auction sale while directing monetary payment to the affected creditor.

Key Legal Principles (Kannada)

Summary (English)

1. Facts

The Ahmednagar District Central Cooperative Bank Ltd. had sanctioned a cash-credit facility of ₹95 lakh to Mula Sahakari Soot Girni Ltd.

After default, the Bank initiated recovery proceedings under Section 91 of the Maharashtra Co-operative Societies Act, 1960 and obtained an award for ₹1,05,98,710/- with interest.

The borrowing society subsequently went into liquidation and the District Collector, Ahmednagar, was appointed as Liquidator.

The Bank had attached the society's immovable property and obtained a valuation of ₹4.10 crore. An auction conducted by the Bank in 2013, with an upset price of ₹4.10 crore, did not materialise because there were no competing bidders.

Subsequently, pursuant to directions of the High Court, the Liquidator initiated another auction process. The property was ultimately sold in 2016 to the Agricultural Produce Market Committee, Rahuri, for ₹2,51,48,000/-.

The Bank challenged the auction, alleging undervaluation and procedural irregularities.

2. Legal Issue

The Supreme Court considered, among other things:

(a) Whether the auction sale could be interfered with because of alleged undervaluation and procedural irregularities;

(b) Whether the Bank's delayed challenge to the auction should be entertained after the sale had been completed and third-party rights had arisen;

(c) Whether the fact that the auction purchaser was a statutory body justified or protected the sale;

(d) Whether the Bank, as a co-operative bank and secured creditor/recovery claimant, was entitled to equitable relief despite the Court declining to set aside the completed sale; and

(e) Whether Article 142 could be invoked to mould relief and secure payment to the Bank.

3. Court's Decision

The Supreme Court did not set aside the auction sale.

The Court nevertheless exercised its power under Article 142 of the Constitution to do complete justice.

The auction purchaser was directed to pay ₹1,05,98,710/- to the Bank, without interest, towards full and final settlement of the Bank's dues from the society.

The amount was directed to be paid within three months. In case of default, the amount would carry simple interest at 6% per annum until payment.

The Court also directed that the remaining amount of ₹29,78,499/- lying with the Liquidator could be distributed among the other creditors according to priority, and only if no other creditors remained could that balance be paid to the Bank.

4. Court's Reasoning

The Supreme Court noted that there were shortcomings in the auction procedure and that the statutory procedure under the Maharashtra Co-operative Societies Act and the applicable rules had not necessarily been followed “to the 'T'”.

However, the Bank had approached the Court after the auction sale had already been completed and third-party rights had accrued.

The Court considered the consequences of disturbing a completed sale at such a stage.

At the same time, the Court did not treat the statutory status of the auction purchaser as giving it immunity from scrutiny. The fact that the purchaser was a statutory body did not justify acquisition of the property at an unduly low price.

The Court specifically took into account that the appellant was a co-operative bank and that substantial amounts were outstanding to it.

Instead of disturbing the completed sale, the Court therefore fashioned monetary relief under Article 142.

5. Relevance to Co-operative Banks

This judgment is directly relevant to co-operative-bank recovery practice.

Co-operative banks frequently face situations where:

• a borrower enters liquidation;

• the Bank has an adjudicated recovery claim;

• the borrower's property is sold by a liquidator;

• the property is allegedly undervalued;

• the auction procedure is questioned;

• multiple creditors claim distribution; and

• the Bank's recovery is affected by delay or procedural irregularities.

The judgment shows that a co-operative bank should actively monitor liquidation and auction proceedings rather than waiting until the sale has been completed.

It also demonstrates that the Court may consider the Bank's legitimate recovery interest while moulding relief, even where it does not undo the completed sale.

6. Practical Application

When a co-operative bank has a substantial recovery claim against a society under liquidation, the Bank should:

• promptly lodge and pursue its claim before the Liquidator;

• monitor valuation reports;

• scrutinise the upset price;

• monitor publication and postponement of auction notices;

• ensure compliance with the applicable statutory auction procedure;

• object promptly to undervaluation or irregularities;

• preserve documentary evidence concerning the property's market value;

• challenge an unlawful auction without avoidable delay; and

• keep track of distribution of sale proceeds among creditors.

A particularly important practical lesson is that delay can make it substantially more difficult to obtain an order setting aside a completed auction.

The case should therefore be used as a recovery-management precedent: a co-operative bank should not merely obtain an award or recovery order; it must actively follow the subsequent liquidation, valuation, auction and distribution stages to protect actual recovery.

Summary (Kannada)

Supreme Court

• borrower liquidation ಗೆ ಹೋಗುವುದು;

• ಬ್ಯಾಂಕ್‌ಗೆ adjudicated recovery claim ಇರುವುದು;

• borrower ನ property ಅನ್ನು Liquidator ಮಾರಾಟ ಮಾಡುವುದು;

• property undervalued ಆಗಿದೆ ಎಂಬ ಆರೋಪ;

• auction procedure ಅನ್ನು challenge ಮಾಡುವುದು;

• Liquidator ಮುಂದೆ ತನ್ನ claim ಅನ್ನು ತಕ್ಷಣ lodge ಮಾಡಿ pursue ಮಾಡಬೇಕು;

• valuation reports ಪರಿಶೀಲಿಸಬೇಕು;

• upset price ಪರಿಶೀಲಿಸಬೇಕು;

• auction notices ಮತ್ತು postponement notices ಗಳ publication ಗಮನಿಸಬೇಕು;

• ಅನ್ವಯಿಸುವ statutory auction procedure ಪಾಲನೆಯಾಗಿದೆಯೇ ಎಂದು ಪರಿಶೀಲಿಸಬೇಕು;

• undervaluation ಅಥವಾ irregularity ಇದ್ದರೆ ತಕ್ಷಣ objection ಸಲ್ಲಿಸಬೇಕು;

• property's market value ಕುರಿತು documentary evidence ಸಂಗ್ರಹಿಸಬೇಕು;
