Management of Puri Urban Co-operative Bank v. Madhusudan Sahu & Anr.
- Court: Supreme Court Of India
- Year: 1992
Key Legal Principles
For determining whether a person is an employee/workman of a bank, the real nature of the relationship must be examined.
A particularly important consideration is whether the alleged employer has the right to supervise and control not merely what work is to be done but also the manner in which the work is performed.
Where a person is engaged independently, paid on a commission basis, is not guaranteed regular work and retains substantial freedom over the manner of performing specialised work, the relationship may not amount to master and servant.
Key Legal Principles (Kannada)
Summary (English)
1. Facts
Madhusudan Sahu was engaged by Puri Urban Co-operative Bank as an appraiser of gold ornaments.
His work was to weigh the ornaments brought to the Bank for pledge and assess their quality, purity and value.
The Bank maintained a list of approved appraisers. Sahu was paid commission according to the amount of the loan, subject to a minimum amount per appraisal.
The Bank was not under an obligation to allot work to him, and he could not demand regular work, periodic remuneration or wages for periods when no work was given.
The dispute was whether Sahu was a "workman" employed by the Bank within the meaning of Section 2(s) of the Industrial Disputes Act, 1947.
The Labour Court and the High Court had treated him as a workman. The Bank challenged that conclusion before the Supreme Court.
2. Legal Issue
Whether a gold appraiser engaged by a co-operative bank, who is paid commission for individual appraisals and whose manner of performing the appraisal is not controlled by the Bank, has a master-servant/employer-employee relationship with the Bank and qualifies as a "workman" under Section 2(s) of the Industrial Disputes Act, 1947.
3. Court's Decision
The Supreme Court allowed the Bank's appeal.
It held that the circumstances did not establish a master-servant relationship between the Bank and the gold appraiser.
Consequently, Sahu could not be treated as a workman of the Bank under the Industrial Disputes Act merely because he performed appraisal work for the Bank.
The orders of the High Court and Labour Court were set aside.
4. Court's Reasoning
The Supreme Court emphasised that the existence of a master-servant relationship is an important consideration in determining whether a person is employed as a workman.
The Court examined the actual nature of the engagement rather than merely the fact that the appraiser performed work for the Bank.
The appraiser could be required to weigh and value the ornaments, but the manner in which he performed the appraisal depended upon his own skill, technique and experience.
The Bank did not guarantee him work and he had no right to demand work or regular remuneration.
These circumstances, considered together, showed that the relationship was not one of ordinary employment.
5. Relevance to Co-operative Banks
This judgment is useful to co-operative banks because gold loans and other secured lending frequently involve specialised appraisers.
The Bank may engage gold/jewel appraisers, valuers, technical experts, advocates, recovery agents and other professionals without necessarily creating a conventional employer-employee relationship.
The case provides a useful framework for examining whether such persons are genuinely employees or independent professionals.
6. Practical Application
For co-operative banks engaging gold appraisers or other specialised professionals:
1. The engagement agreement should clearly specify the nature of the relationship.
2. Where the person is intended to be an independent professional, the agreement and actual working arrangement should reflect that position.
3. Payment terms, such as commission per appraisal rather than guaranteed salary, should be clearly documented.
4. The Bank should clearly record whether regular work is guaranteed or whether assignments are made as and when required.
5. The scope of the Bank's supervision should be distinguished from control over the professional's specialised method of work.
6. Accountability for negligent or incorrect valuation should be clearly addressed in the engagement terms.
7. The actual conduct of the parties is important; merely describing someone as an "independent contractor" will not by itself determine the legal relationship.
