Bank Employees Union v. Rajarshi Shahu Govt. Servants Co-operative Bank Ltd., Kolhapur
- Court: Supreme Court Of India
- Year: 2021
- Neutral citation: 2021 INSC 322
Key Legal Principles
The important principles are:
• An employer that has voluntarily entered into binding settlements with its employees should not ordinarily be permitted to defeat implementation of those settlements by raising a technical objection inconsistent with its own conduct.
• Where a settlement has culminated in an award, implementation of the settlement becomes an obligation of the parties.
• Procedural objections concerning locus should not be used as a device to frustrate implementation of an agreed settlement in circumstances where the employer itself participated in and accepted the settlement.
• The Supreme Court expressly left open the broader question of law concerning the precise statutory scope of Section 38(2).
Key Legal Principles (Kannada)
• Section 38(2) ಯ ನಿಖರ statutory scope ಕುರಿತು ಇರುವ broader question of law ಅನ್ನು Supreme Court ಈ ಪ್ರಕರಣದಲ್ಲಿ open ಆಗಿಯೇ ಬಿಟ್ಟಿದೆ.
Summary (English)
1. Facts
Rajarshi Shahu Government Servants Co-operative Bank Ltd., Kolhapur had a standing order prescribing the retirement age of its employees as 55 years, with limited extension at the discretion of the President.
Subsequently, the Bank and its employees entered into settlements dated 11 January 2004 and 21 February 2010. Under these settlements, the retirement age was agreed to be increased from 55 years to 58 years.
The settlements were made under Section 18(1) of the Industrial Disputes Act and were subsequently incorporated into an award of the Industrial Court dated 10 March 2010.
A formal alteration of the existing standing order was nevertheless required under the Maharashtra Industrial Relations Act.
A registered trade union representing the employees filed an application under Section 38(2) of the Maharashtra Industrial Relations Act seeking alteration of the standing order to reflect the agreed retirement age of 58 years.
The Bank subsequently objected that the registered trade union had no locus to make the application because Section 38(2) referred to an “employee” and not expressly to a “representative union”.
The matter eventually reached the Supreme Court.
2. Legal Issue
The principal issue was:
Whether a registered trade union could maintain an application under Section 38(2) of the Maharashtra Industrial Relations Act for modification of a standing order applicable to employees of a co-operative bank, particularly where the employer and employees had already entered into binding settlements agreeing to the modification.
3. Court's Decision
The Supreme Court allowed the appeal filed by the Bank Employees Union.
The Court set aside the orders of the Industrial Court and the High Court.
The Supreme Court held that the technical objection concerning the union's locus could not be accepted in the circumstances of the case.
The employer and employees had already voluntarily agreed to alter the retirement age from 55 to 58 years through two settlements, and those settlements had culminated in an Industrial Court award.
The Court held that the Bank could not, at the stage of implementing those settlements, turn around and challenge the locus of the union that had approached the Labour Commissioner for implementation.
The Court directed that all consequential benefits arising from the judgment be given to the employees within six months.
Importantly, the Supreme Court expressly stated that it was not disturbing the High Court's decision on the merits of the underlying question of law and left that question open.
4. Court's Reasoning
The Supreme Court noted that the retirement age had been changed from 55 to 58 years by agreement between the Bank and its employees, not once but twice.
The 2004 and 2010 settlements were entered into under Section 18(1) of the Industrial Disputes Act and were subsequently given effect through an Industrial Court award dated 10 March 2010.
Therefore, the obligation to implement the settlements was not merely a unilateral demand by the employees. Both the employer and employees had a ministerial obligation to complete the formal implementation.
The Court considered it significant that the Bank itself had been a party to the settlements and had accepted the agreed change in retirement age.
Consequently, the Bank could not rely upon a technical objection regarding the union's locus at the implementation stage to avoid giving effect to settlements that it had itself entered into.
The Court therefore resolved the case on this narrow ground rather than finally deciding the broader statutory question concerning the precise scope of Section 38(2).
5. Relevance to Co-operative Banks
This case is useful for co-operative banks because co-operative banks have a substantial workforce governed by employment settlements, standing orders, service conditions and labour legislation.
It is particularly relevant where a co-operative bank:
• enters into a settlement with employees or a recognised union;
• subsequently seeks to implement or modify standing orders;
• disputes the authority or locus of the union after having participated in the settlement;
• faces proceedings before labour authorities; or
• attempts to rely on a technical procedural objection after accepting an employment settlement.
The decision demonstrates the importance of consistency between the Bank's contractual/settlement commitments and its subsequent litigation position.
For a co-operative bank's management, the case also highlights the importance of ensuring that settlements are properly documented and formally implemented under the applicable labour legislation.
6. Practical Application
If a co-operative bank enters into a settlement changing an important service condition, such as retirement age, pay structure or another employment condition, the Bank should ensure that the settlement is followed by all required statutory formalities.
The Bank should maintain:
• the signed settlement;
• evidence of authority of the persons who executed it;
• the Industrial Court/Labour Court award, where applicable;
• the existing standing order;
• the proposed amended standing order; and
• records showing compliance with the applicable statutory procedure.
If the settlement has already been accepted and acted upon, the Bank should carefully assess the consequences before raising a purely technical objection to the representative union's role in implementing it.
The case is therefore useful as a co-operative-bank employment-law precedent concerning settlements, standing orders, locus of unions and the principle that an employer should not approbate and reprobate in relation to a settlement it has itself entered into.
Summary (Kannada)
• Bank employees ಅಥವಾ recognised union ಜೊತೆ settlement ಮಾಡಿಕೊಂಡಾಗ;
• standing orders ಅನ್ನು modify/implement ಮಾಡುವಾಗ;
• settlement ನಲ್ಲಿ ಭಾಗವಹಿಸಿದ ನಂತರ union ನ authority ಅಥವಾ locus ಅನ್ನು Bank ಪ್ರಶ್ನಿಸಿದಾಗ;
• signed settlement;
• settlement execute ಮಾಡಿದ ವ್ಯಕ್ತಿಗಳ authority ಗೆ ಸಂಬಂಧಿಸಿದ ದಾಖಲೆಗಳು;
• ಅಗತ್ಯವಿದ್ದರೆ Industrial Court/Labour Court award;
• existing standing order;
