Celir LLP v. Bafna Motors (Mumbai) Pvt. Ltd. & Ors.
- Court: Supreme Court Of India
- Year: 2023
- Neutral citation: 2023 INSC 838
Key Legal Principles
The important principles established or clarified by the judgment are:
(a) Under the amended Section 13(8) of SARFAESI, the borrower's right of redemption of the secured asset is extinguished if the borrower fails to tender the entire dues, including applicable costs, charges and expenses, before publication of the auction notice under Rule 9(1).
(b) The amended Section 13(8) is materially different from the earlier provision under which redemption could continue until the sale or transfer was completed.
(c) Once the Bank confirms the sale under Rule 9(2), the successful auction purchaser obtains a vested right to receive the sale certificate under Rule 9(6).
(d) A Bank cannot, after confirmation of sale, withhold the sale certificate and privately settle with the borrower in a manner that defeats the auction purchaser's rights.
(e) Courts should protect the sanctity and finality of public auctions conducted under SARFAESI.
(f) A borrower cannot ordinarily bypass the statutory DRT remedy under Section 17 by invoking Article 226 merely because the borrower seeks equitable relief.
(g) Equity cannot override a clear statutory scheme.
Important limitation:
The judgment concerns the amended Section 13(8) regime. Earlier Supreme Court decisions concerning redemption under the unamended Section 13(8) must therefore be distinguished where necessary.
Key Legal Principles (Kannada)
(a) Amended Section 13(8) SARFAESI ಅಡಿಯಲ್ಲಿ, borrower auction notice ಪ್ರಕಟವಾಗುವ ಮೊದಲು ಸಂಪೂರ್ಣ dues, costs, charges ಮತ್ತು expenses ಪಾವತಿಸದಿದ್ದರೆ Rule 9(1)ರ auction notice ಪ್ರಕಟವಾದ ದಿನವೇ redemption right extinguish ಆಗುತ್ತದೆ.
(c) Bank Rule 9(2) ಅಡಿಯಲ್ಲಿ sale confirm ಮಾಡಿದ ನಂತರ successful auction purchaserಗೆ Rule 9(6) ಅಡಿಯಲ್ಲಿ sale certificate ಪಡೆಯುವ vested right ಉಂಟಾಗುತ್ತದೆ.
Summary (English)
1. Facts
The borrowers had obtained a Lease Rental Discounting (LRD) credit facility of Rs. 100 crore from the Bank, with a guarantor supporting the facility. A mortgage was created over immovable property as security.
The borrowers subsequently defaulted and the loan account was classified as an NPA.
The Bank issued a demand notice under Section 13(2) of the SARFAESI Act. As the borrowers failed to clear the dues, the Bank took steps to enforce the security and decided to auction the secured property.
The Bank conducted several unsuccessful auctions. Eventually, a ninth auction was conducted on 27 June 2023. Celir LLP emerged as the highest bidder with a bid of Rs. 105.05 crore.
The Bank confirmed the sale in favour of Celir LLP. The auction purchaser subsequently paid the entire bid amount of Rs. 105.05 crore to the Bank.
After the auction purchaser had paid the full bid amount, the borrowers sought to redeem the mortgage by offering to pay the Bank's dues.
The borrowers approached the DRT and subsequently the Bombay High Court. The High Court permitted redemption on payment of the outstanding amount, despite the completed auction and confirmation of sale.
The auction purchaser challenged that decision before the Supreme Court.
2. Legal Issue
The principal questions were:
Whether, after the 2016 amendment to Section 13(8) of the SARFAESI Act, a borrower can redeem the secured property after publication of the auction notice.
Whether a borrower can seek redemption after the auction has been conducted and the sale has been confirmed in favour of the successful auction purchaser.
Whether the Bank, after confirming the sale under Rule 9(2) of the Security Interest (Enforcement) Rules, 2002, can withhold the sale certificate and enter into a private arrangement with the borrower.
Whether the High Court should exercise its extraordinary jurisdiction under Article 226 when the SARFAESI Act provides a statutory remedy before the DRT.
3. Court's Decision
The Supreme Court allowed the appeals and set aside the Bombay High Court's order.
The Court held that under the amended Section 13(8) of the SARFAESI Act, the borrower's right of redemption is extinguished when the notice of public auction is published under Rule 9(1) of the Security Interest (Enforcement) Rules, 2002, if the borrower has not tendered the entire dues together with costs, charges and expenses before that stage.
Thus, under the present statutory regime, the borrower cannot wait until the auction has taken place and then attempt to redeem the property.
The Court further held that once the Bank confirms the sale under Rule 9(2), the successful auction purchaser acquires a vested right to obtain the sale certificate under Rule 9(6).
The Bank cannot thereafter withhold the sale certificate and enter into a private arrangement with the borrower.
The Court also held that the High Court should not ordinarily exercise Article 226 jurisdiction where the SARFAESI Act provides an effective alternative remedy under Section 17.
4. Court's Reasoning
The Supreme Court carefully examined the effect of the 2016 amendment to Section 13(8).
Under the earlier statutory position, the borrower's right of redemption continued until the sale or transfer of the secured asset was completed.
The amended Section 13(8), however, expressly changed the relevant point in time. It refers to tender of the entire dues before the date of publication of the notice for public auction or other prescribed transfer.
The Court held that this amendment was significant and could not be ignored by relying upon earlier judgments dealing with the unamended provision.
The Court rejected an interpretation under which the borrower could participate in, wait through, or allow an auction to conclude and then suddenly offer repayment in order to defeat the auction.
Such an interpretation would undermine the purpose of SARFAESI and discourage genuine purchasers from participating in bank auctions.
The Court therefore emphasised the importance of maintaining the sanctity of public auctions.
The Court also considered the rights of the auction purchaser. Once the Bank confirmed the sale under Rule 9(2), the successful bidder acquired a vested right to receive the sale certificate.
The Bank could not defeat that right merely because the borrower subsequently offered to pay a larger amount.
The Court further relied on the principle that equity cannot override clear statutory provisions.
On Article 226, the Court reiterated that where SARFAESI provides an effective statutory remedy before the DRT, High Courts should ordinarily exercise self-restraint and should not bypass the statutory mechanism merely because a borrower seeks a different or more convenient remedy.
5. Relevance to Co-operative Banks
This ruling is directly useful to co-operative banks because, following Pandurang Ganpati Chaugule v. Vishwasrao Patil Murgud Sahakari Bank Ltd., co-operative banks carrying on banking business can invoke the SARFAESI framework subject to the statutory requirements.
For a co-operative bank conducting an auction of secured property, the judgment provides important protection against a borrower attempting to revive the right of redemption at the last stage of the recovery process.
It is particularly relevant where:
- the auction notice has already been published;
- the borrower approaches the bank with a last-minute settlement proposal;
- the auction has been completed;
- the bank has confirmed the sale;
- the auction purchaser has paid the bid amount;
- the borrower approaches the High Court under Article 226;
- the borrower argues that Section 60 of the Transfer of Property Act permits redemption until registration of the sale certificate.
The judgment provides a clear distinction between the older redemption law and the post-2016 SARFAESI statutory regime.
6. Practical Application
Suppose a co-operative bank has a mortgaged property and issues a valid SARFAESI auction notice.
The borrower does not pay the entire dues before publication of the auction notice.
The auction is then conducted and a third party becomes the successful bidder. The Bank confirms the sale under Rule 9(2).
At this stage, the borrower cannot ordinarily approach the Bank and say:
"I am now ready to pay the entire loan amount. Cancel the auction and allow me to redeem the property."
Celir LLP supports the bank's position that the statutory right of redemption has already been extinguished under the amended Section 13(8).
If the bank has confirmed the sale, the auction purchaser has a vested right to receive the sale certificate. The bank should therefore not defeat the auction purchaser's rights by entering into a subsequent private arrangement with the borrower.
The judgment is particularly useful for a co-operative bank's lawyer in:
1. Defending SARFAESI auction proceedings.
2. Opposing last-minute redemption applications.
3. Opposing borrower applications seeking cancellation of a completed auction.
4. Supporting the auction purchaser's right to a sale certificate.
5. Opposing attempts to use Article 226 to bypass the DRT remedy.
6. Responding to arguments based on Section 60 of the Transfer of Property Act.
7. Protecting the finality and credibility of the bank's auction process.
8. Advising the bank not to enter into a post-confirmation private arrangement that would prejudice the auction purchaser.
A practical compliance point is equally important: the Bank should strictly follow the SARFAESI Act and the Security Interest (Enforcement) Rules at every stage. This judgment protects a properly conducted auction; it does not cure procedural illegality in the Bank's SARFAESI action.
Summary (Kannada)
Bank Rule 9(2) ಅಡಿಯಲ್ಲಿ sale confirm ಮಾಡಿದ ನಂತರ successful auction purchaserಗೆ Rule 9(6) ಅಡಿಯಲ್ಲಿ sale certificate ಪಡೆಯುವ vested right ಉಂಟಾಗುತ್ತದೆ ಎಂದು Court ಹೇಳಿತು.
Supreme Court amended Section 13(8)
ಹಳೆಯ ಕಾನೂನಿನ ಅಡಿಯಲ್ಲಿ secured assetನ sale ಅಥವಾ transfer ಪೂರ್ಣಗೊಳ್ಳುವವರೆಗೆ borrowerನ redemption right ಮುಂದುವರಿಯಬಹುದಾಗಿತ್ತು.
Bank Rule 9(2) ಅಡಿಯಲ್ಲಿ sale confirm ಮಾಡಿದ ನಂತರ successful bidderಗೆ sale certificate ಪಡೆಯುವ vested right ಉಂಟಾಗುತ್ತದೆ.
Pandurang Ganpati Chaugule v.
- auction notice ಪ್ರಕಟವಾದ ನಂತರ;
- borrower ಕೊನೆಯ ಕ್ಷಣದಲ್ಲಿ settlement offer ನೀಡಿದಾಗ;
- auction ಪೂರ್ಣಗೊಂಡಾಗ;
- Bank sale confirm ಮಾಡಿದಾಗ;
- auction purchaser bid amount ಪಾವತಿಸಿದಾಗ;
- borrower Article 226 ಅಡಿಯಲ್ಲಿ High Courtಗೆ ಹೋದಾಗ;
- Section 60 Transfer of Property Act ಆಧಾರದ ಮೇಲೆ sale certificate registrationವರೆಗೆ redemption ಇದೆ ಎಂದು ವಾದಿಸಿದಾಗ;
Bank sale confirm ಮಾಡಿದ ನಂತರ auction purchaserಗೆ sale certificate ಪಡೆಯುವ vested right ಇದೆ.
1. SARFAESI auction proceedings defend
6. Transfer of Property Act Section
