Dena Bank (now Bank of Baroda) v. C. Shivakumar Reddy & Anr.
- Court: Supreme Court Of India
- Year: 2021
- Neutral citation: 2021 INSC 380
Key Legal Principles
The important principles are:
First, Section 18 of the Limitation Act applies to proceedings under Section 7 of the IBC.
Second, a written acknowledgment of a subsisting liability made before expiry of limitation can give rise to a fresh period of limitation.
Third, depending on their contents and the statutory requirements, documents such as One-Time Settlement proposals and financial statements may constitute acknowledgment of debt.
Fourth, a DRT judgment/decree or Recovery Certificate in favour of a financial creditor can give rise to a fresh cause of action for initiating Section 7 IBC proceedings, with limitation running from the relevant judgment/decree or Recovery Certificate.
Fifth, additional documents may be permitted in a Section 7 proceeding, although the Adjudicating Authority may refuse them where there is inordinate delay.
Sixth, a financial creditor must properly establish the debt, default and limitation position through appropriate pleadings and documents.

Summary (English)
1. Facts
Dena Bank sanctioned a term loan and Letter of Credit-cum-Buyer's Credit facility of up to Rs. 45 crore to a corporate debtor.
The corporate debtor defaulted in repayment and its account was classified as an NPA on 31 December 2013.
The Bank issued a demand notice and subsequently filed proceedings before the Debt Recovery Tribunal (DRT) in 2015 for recovery of its outstanding dues.
While the DRT proceedings were pending, the corporate debtor made further communications and a One-Time Settlement proposal. The corporate debtor also had financial statements and other documents acknowledging the outstanding liability.
The DRT ultimately passed a judgment in favour of the Bank on 27 March 2017 and a Recovery Certificate was issued on 25 May 2017.
The Bank thereafter filed an application under Section 7 of the Insolvency and Bankruptcy Code (IBC) before the NCLT.
The NCLAT held that the Section 7 application was barred by limitation because the account had become NPA in 2013 and the IBC application was filed more than three years thereafter.
The Bank approached the Supreme Court.
2. Legal Issue
The principal questions were:
(a) Whether a Section 7 IBC application becomes time-barred three years after the NPA/default where the corporate debtor subsequently acknowledges its liability.
(b) Whether an acknowledgment of debt in documents such as a One-Time Settlement proposal or financial statements can attract Section 18 of the Limitation Act and extend limitation.
(c) Whether a judgment/decree of the DRT or a Recovery Certificate can provide a fresh cause of action for initiating proceedings under Section 7 of the IBC.
(d) Whether a financial creditor can place additional documents on record in a Section 7 proceeding.
3. Court's Decision
The Supreme Court allowed Dena Bank's appeal and set aside the NCLAT's order.
The Court held that limitation for a Section 7 IBC proceeding can be extended by a valid acknowledgment of liability under Section 18 of the Limitation Act.
The Court recognised that relevant acknowledgments could be found in appropriate documents, including financial statements and other written acknowledgments, provided the requirements of Section 18 are satisfied.
The Court further held that a judgment/decree of the DRT in favour of the financial creditor, or issuance of a Recovery Certificate, gives rise to a fresh cause of action for initiating proceedings under Section 7 of the IBC, subject to the applicable three-year limitation period.
The Court also held that there is no absolute bar on filing additional documents or amending pleadings in a Section 7 application, although the Adjudicating Authority has discretion where there is inordinate delay.
4. Court's Reasoning
The Court began by recognising that Section 238A of the IBC makes the provisions of the Limitation Act applicable to IBC proceedings, as far as may be.
Section 18 of the Limitation Act provides for a fresh period of limitation where, before expiry of the prescribed period, there is an acknowledgment of liability in writing signed by the party against whom the right is claimed.
The Court examined the corporate debtor's subsequent conduct and documents.
A One-Time Settlement proposal can, depending on its wording and circumstances, constitute an acknowledgment of liability. The Court also considered financial statements and other documents recording the outstanding debt.
However, not every document mentioning a debt automatically constitutes an acknowledgment under Section 18. The document must satisfy the statutory requirements, including acknowledgment of a subsisting liability.
The Court also dealt with the effect of the DRT proceedings.
A final judgment/decree of the DRT in favour of the Bank, or a Recovery Certificate issued in favour of the Bank, provides a fresh cause of action for initiating Section 7 IBC proceedings in respect of the unpaid amount.
The Court therefore rejected the proposition that limitation must always be calculated exclusively from the original NPA date.
The Court also emphasised that limitation is a matter that must be properly considered on the basis of the documents and pleadings placed before the Adjudicating Authority.
5. Relevance to Co-operative Banks
This judgment is highly useful for co-operative banks because co-operative banks may pursue recovery through multiple statutory mechanisms, including:
• DRT proceedings;
• IBC proceedings;
• civil recovery where maintainable;
• SARFAESI proceedings where applicable; and
• negotiated One-Time Settlement arrangements.
A co-operative bank may first initiate recovery proceedings before the DRT and subsequently consider IBC proceedings against a corporate debtor.
This judgment explains how the intervening recovery proceedings, acknowledgments and Recovery Certificate can become important in determining limitation.
It is particularly useful when a borrower argues:
"The account became NPA more than three years ago, therefore the Bank's Section 7 IBC application is automatically time-barred."
The Bank must examine whether there was a legally effective acknowledgment within the limitation period and whether a DRT judgment or Recovery Certificate subsequently arose.
6. Practical Application
For a co-operative bank considering an IBC proceeding, the lawyer should maintain a clear limitation file containing:
(a) date of original default;
(b) date of NPA classification;
(c) demand notices;
(d) acknowledgment letters signed by the borrower;
(e) restructuring requests;
(f) One-Time Settlement proposals;
(g) balance sheets and financial statements;
(h) payment/part-payment records;
(i) DRT application and pleadings;
(j) DRT judgment/decree;
(k) Recovery Certificate;
(l) date of filing of the Section 7 application; and
(m) documents establishing the continuing unpaid liability.
The lawyer should not merely calculate three years mechanically from the NPA date.
The entire documentary history must be examined to determine whether a legally valid acknowledgment or a DRT judgment/Recovery Certificate affects limitation.
At the same time, the Bank should not assume that every balance sheet, settlement proposal or correspondence automatically extends limitation. The document must satisfy the requirements of Section 18 and must actually acknowledge a subsisting liability.
The practical lesson for a co-operative bank is:
**In an IBC recovery against a corporate borrower, limitation must be examined through the entire recovery history—not merely the original NPA date. Properly documented acknowledgments and a subsequent DRT judgment or Recovery Certificate can have significant consequences for the Bank's limitation position.**

ನಂತರ Bank Insolvency and Bankruptcy Code (IBC) Section 7 ಅಡಿಯಲ್ಲಿ NCLT ಮುಂದೆ application ಸಲ್ಲಿಸಿತು.
Bank Supreme Court
(a) Corporate debtor liabilityಯನ್ನು ನಂತರ acknowledge ಮಾಡಿದರೆ, NPA/default ಆದ ಮೂರು ವರ್ಷಗಳ ನಂತರ Section 7 IBC application ಸ್ವಯಂಚಾಲಿತವಾಗಿ time-barred ಆಗುತ್ತದೆಯೇ?
(b) One-Time Settlement proposal
(c) DRT judgment/decree ಅಥವಾ Recovery Certificate Section 7 IBC proceedings ಆರಂಭಿಸಲು fresh cause of action ನೀಡುತ್ತದೆಯೇ?
(d) Section 7 proceedingನಲ್ಲಿ financial creditor additional documents ಸಲ್ಲಿಸಬಹುದೇ?
Supreme Court Dena Bankನ appeal ಅನ್ನು allow ಮಾಡಿ NCLATನ order ಅನ್ನು set aside ಮಾಡಿತು.
Section 18 Limitation Act ಅಡಿಯಲ್ಲಿ valid acknowledgment of liability ಇದ್ದರೆ Section 7 IBC proceedingಗೆ limitation extend ಆಗಬಹುದು ಎಂದು Court ಹೇಳಿತು.
DRT Bankನ ಪರವಾಗಿ judgment/decree ನೀಡಿದರೆ ಅಥವಾ Recovery Certificate issue ಮಾಡಿದರೆ, unpaid amountಗೆ ಸಂಬಂಧಿಸಿದ Section 7 IBC proceeding ಆರಂಭಿಸಲು fresh cause of action ಉಂಟಾಗಬಹುದು ಎಂದು Court ಹೇಳಿತು.
ಅಂತಹ judgment/decree ಅಥವಾ Recovery Certificateನಿಂದ applicable three-year limitation period ಅನ್ನು ಲೆಕ್ಕ ಹಾಕಬಹುದು.
IBC Section 238A ಮೂಲಕ Limitation Actನ provisions IBC proceedingsಗೆ, as far as may be, ಅನ್ವಯಿಸುತ್ತವೆ ಎಂದು Court ಗಮನಿಸಿತು.
Limitation Act Section 18 ಪ್ರಕಾರ prescribed limitation period ಮುಗಿಯುವ ಮೊದಲು, liability ವಿರುದ್ಧ right claim ಮಾಡಲಾಗಿರುವ ವ್ಯಕ್ತಿಯಿಂದ written ಮತ್ತು signed acknowledgment ಇದ್ದರೆ fresh limitation period ಆರಂಭವಾಗುತ್ತದೆ.
Corporate debtorನ subsequent conduct ಮತ್ತು documents ಅನ್ನು Court ಪರಿಶೀಲಿಸಿತು.
One-Time Settlement proposal ಅದರ wording ಮತ್ತು circumstances ಆಧರಿಸಿ liability acknowledgment ಆಗಬಹುದು.
Bankನ favourನಲ್ಲಿ DRT final judgment/decree ಅಥವಾ Recovery Certificate issue ಆದಾಗ, unpaid amountಗೆ ಸಂಬಂಧಿಸಿದ Section 7 IBC proceeding ಆರಂಭಿಸಲು fresh cause of action ಉಂಟಾಗಬಹುದು.
• DRT proceedings;
• IBC proceedings;
• maintainable ಆಗಿದ್ದರೆ civil recovery;
• applicable ಆಗಿದ್ದರೆ SARFAESI proceedings; ಮತ್ತು
• negotiated One-Time Settlement arrangements.
Borrower:
Section 7 IBC application automatically time-barred"
Co-operative bank IBC proceeding ಪರಿಗಣಿಸುವಾಗ lawyer ಒಂದು clear limitation file maintain ಮಾಡಬೇಕು.
(a) original default date;
(b) NPA classification date;
(c) demand notices;
(d) borrower sign ಮಾಡಿದ acknowledgment letters;
(e) restructuring requests;
(f) One-Time Settlement proposals;
(g) balance sheets ಮತ್ತು financial statements;
(h) payment/part-payment records;
(i) DRT application ಮತ್ತು pleadings;
(j) DRT judgment/decree;
(k) Recovery Certificate;
(l) Section 7 application filing date; ಮತ್ತು
(m) unpaid liability establish ಮಾಡುವ documents
