Dwarika Prasad v. State of Uttar Pradesh & Ors.

  • Court: Supreme Court Of India
  • Year: 2018
  • Neutral citation: 2018 INSC 210

Key Legal Principles

Under the pre-2016 version of Section 13(8) considered in this judgment:

A mortgagor/guarantor seeking to redeem the secured property had to tender the entire dues of the secured creditor, together with costs, charges and expenses, before the date fixed for sale or transfer.

Mere willingness to pay, a partial deposit, or a subsequent offer to pay the balance did not satisfy Section 13(8).

Once the sale was completed through execution of the registered sale deed, the right of redemption stood extinguished.

IMPORTANT CURRENT-LAW NOTE:

This judgment interpreted the unamended Section 13(8). Section 13(8) was substantially amended with effect from 1 September 2016. Therefore, the exact statutory language and point at which redemption is extinguished must be determined under the version of Section 13(8) applicable to the particular SARFAESI proceeding.

Key Legal Principles (Kannada)

Summary (English)

1. Facts

The appellant, Dwarika Prasad, was a guarantor for an educational loan granted by Corporation Bank to another borrower.

To secure the liability, the appellant created an equitable mortgage over his immovable property.

The borrower failed to repay the loan and the account became an NPA. The bank initiated SARFAESI proceedings under Section 13(2) and subsequently took symbolic possession of the property.

The property was put to e-auction. The first auction did not receive any bid. A second auction was then scheduled, and a bid was received.

The appellant initially offered only Rs.2 lakh against outstanding dues of approximately Rs.36 lakh. Subsequently, during DRT proceedings, he stated that he would seek redemption.

The sale was confirmed on 2 February 2016.

The appellant later approached the High Court and offered to deposit Rs.7 lakh immediately and the balance subsequently. The High Court temporarily restrained execution of the sale deed, but the appellant did not deposit the balance of the dues as required.

The writ petition was eventually withdrawn, and the proceedings before the DRT continued.

The bank thereafter issued the sale certificate and executed a registered sale deed in favour of the auction purchasers.

The appellant then claimed that he still had a right to redeem the mortgaged property.

2. Legal Issue

Whether a guarantor/mortgagor can exercise the right of redemption after the sale of the secured property has been confirmed and a registered sale deed has been executed, particularly when the full dues, costs, charges and expenses were not tendered before the date fixed for sale or transfer as required by Section 13(8) of the SARFAESI Act.

3. Court's Decision

The Supreme Court rejected the appellant's claim.

The Court held that Section 13(8) required the entire dues of the secured creditor, together with costs, charges and expenses, to be tendered before the date fixed for sale or transfer in order to prevent the secured asset from being sold.

The appellant failed to comply with this requirement.

After the sale was confirmed, the sale certificate was issued and a registered sale deed was executed, the right of redemption stood extinguished.

The Court therefore did not interfere with the auction sale.

However, since the appellant had deposited Rs.7 lakh with the bank, the Court directed the bank to refund that amount with interest at 9% per annum.

4. Court's Reasoning

The Supreme Court relied upon the general principle contained in Section 60 of the Transfer of Property Act that a mortgagor ordinarily retains the right of redemption until that right is extinguished by a legally recognised act.

The Court applied that principle to SARFAESI enforcement.

Under the then applicable Section 13(8), the borrower/mortgagor could prevent the sale by tendering the secured creditor's entire dues together with costs, charges and expenses before the date fixed for sale or transfer.

A mere willingness to pay was not sufficient.

A partial payment was also not sufficient.

In this case, the appellant had opportunities to comply but did not tender the entire amount required by Section 13(8).

The Court therefore held that after the registered sale deed was executed, the right of redemption was extinguished.

5. Relevance to Co-operative Banks

This is practically important for co-operative banks conducting SARFAESI auctions of mortgaged properties.

Borrowers and guarantors frequently attempt to stop or reopen an auction by stating that they are "ready and willing" to clear the dues.

This judgment demonstrates the importance of distinguishing between:

• willingness to pay;

• partial payment;

• an undertaking to pay later; and

• actual tender of the legally required amount within the statutory period.

For the bank, this distinction can become critical when a borrower approaches the DRT or High Court immediately before or after auction confirmation.

The case is particularly useful where a guarantor has mortgaged his own property for the borrower's debt.

6. Practical Application

For a co-operative bank, when a borrower or guarantor seeks redemption during an auction process, the Authorised Officer should:

(a) calculate the complete amount legally required to be tendered, including applicable costs, charges and expenses;

(b) verify whether the amount has actually been tendered or whether the borrower has merely expressed willingness to pay;

(c) preserve all correspondence and payment proposals made by the borrower;

(d) record the date fixed for sale/transfer;

(e) carefully document confirmation of sale;

(f) ensure proper issuance of the sale certificate and completion of the legally required transfer formalities; and

(g) if proceedings are pending before the DRT or High Court, immediately place before the forum the exact status of payment, sale confirmation and statutory compliance.

The practical lesson for a co-operative bank is that a last-minute promise or partial payment should not automatically be treated as satisfaction of the statutory redemption requirement. The Authorised Officer must examine the exact statutory provision applicable to the proceeding and whether its conditions have actually been fulfilled.

Summary (Kannada)

Transfer of Property Act

Partial payment

• ಹಣ ಪಾವತಿಸುವ ಇಚ್ಛೆ;

• partial payment;

Authorised Officer:

(a) ಕಾನೂನಿನ ಪ್ರಕಾರ tender ಮಾಡಬೇಕಾದ ಸಂಪೂರ್ಣ ಮೊತ್ತವನ್ನು, ಅನ್ವಯಿಸುವ costs, charges ಮತ್ತು expenses ಸೇರಿದಂತೆ, ಲೆಕ್ಕ ಹಾಕಬೇಕು;

(b) borrower ನಿಜವಾಗಿ ಆ ಮೊತ್ತವನ್ನು tender ಮಾಡಿದ್ದಾನೆಯೇ ಅಥವಾ ಕೇವಲ ಪಾವತಿಸಲು ಸಿದ್ಧನೆಂದು ಹೇಳಿದ್ದಾನೆಯೇ ಎಂಬುದನ್ನು ಪರಿಶೀಲಿಸಬೇಕು;

(c) borrower ಮಾಡಿದ ಎಲ್ಲಾ correspondence ಮತ್ತು payment proposals ಗಳನ್ನು ಸಂರಕ್ಷಿಸಬೇಕು;

(d) sale/transfer ಗೆ ನಿಗದಿಪಡಿಸಿದ ದಿನಾಂಕವನ್ನು ದಾಖಲಿಸಬೇಕು;

(e) sale confirmation ಅನ್ನು ಸರಿಯಾಗಿ ದಾಖಲಿಸಬೇಕು;
