General Manager, U.P. Cooperative Bank Ltd. v. Achchey Lal & Anr.

  • Court: Supreme Court Of India
  • Year: 2025
  • Neutral citation: 2025 INSC 1175

Key Legal Principles

The existence of financial assistance, infrastructure or facilities provided by a bank to a separate society or intermediary does not, by itself, establish an employer–employee relationship.

The Court must examine the overall circumstances and apply the appropriate control, integration and multifactor tests.

Important factors include appointment, payment of wages, disciplinary authority, dismissal power, control and supervision, integration into the establishment and economic control.

In particular, where a separate cooperative society independently appoints and manages workers and the bank does not exercise sufficient control over their work, the workers cannot automatically be treated as employees of the bank.

Key Legal Principles (Kannada)

ಮುಖ್ಯವಾಗಿ ಪರಿಶೀಲಿಸಬೇಕಾದ ಅಂಶಗಳು appointment, wages, disciplinary authority, dismissal power, control and supervision, establishment ಒಳಗಿನ integration ಮತ್ತು economic control.

Summary (English)

1. Facts

The appellant was the U.P. Cooperative Bank Ltd.

The employees of the Bank had formed a separate society called the U.P. Cooperative Bank Employees Society Ltd. The Society established and operated a canteen for the Bank's employees.

The Bank provided infrastructure, financial assistance and subsidies to facilitate the running of the canteen. However, the canteen workers were appointed by the Society, not by the Bank.

In 1995, the Society decided to stop running the canteen. The four workers were consequently terminated.

An industrial dispute was raised. The Labour Court held that the four workers were actually employees of the U.P. Cooperative Bank and directed their reinstatement with back wages.

The Bank challenged the award before the Allahabad High Court, but the High Court upheld the Labour Court's decision.

The Bank then approached the Supreme Court.

2. Legal Issue

Whether workers appointed by a separate cooperative society to operate a canteen situated in and financially supported by a cooperative bank could, merely because the Bank provided infrastructure, subsidy and certain facilities, be treated as employees of the Bank.

The broader issue was how an employer–employee relationship should be determined where work is performed through a separate society or intermediary.

3. Court's Decision

The Supreme Court allowed the Bank's appeals.

It held that the canteen workers were not employees of the U.P. Cooperative Bank.

The fact that the Bank provided infrastructure, finance and subsidies did not by itself establish an employer–employee relationship.

The Supreme Court held that the relevant question is whether there was sufficient control and supervision by the Bank over the workers and whether other factors establishing an employment relationship were present.

The Labour Court and High Court had therefore erred in treating the workers as employees of the Bank.

The Supreme Court set aside the High Court judgments as well as the Labour Court's awards directing reinstatement and back wages.

4. Court's Reasoning

The Supreme Court examined the development of the tests used to determine an employer–employee relationship.

It identified several relevant factors, including:

• who appoints the workers;

• who pays remuneration;

• who has the power to dismiss;

• who can take disciplinary action;

• continuity of service;

• degree of control and supervision;

• ownership of tools;

• integration into the organisation;

• economic control;

• right to select the workers;

• right to suspend or dismiss.

The Court emphasised that no single factor is necessarily decisive in every case.

In the present case, the workers had been appointed by the Society. The Society had its own committee and was responsible for running the canteen.

Although the Bank provided infrastructure, finance and substantial subsidy, there was no sufficient evidence that the Bank directly managed the canteen or controlled the manner in which the workers performed their work.

The Bank did not appoint the workers, did not exercise disciplinary control over them and did not directly manage the affairs of the canteen.

The Court therefore concluded that the necessary employer–employee relationship between the Bank and the canteen workers was not established.

The Court also distinguished cases where a bank or other establishment exercised substantial administrative control over canteen workers.

5. Relevance to Co-operative Banks

This judgment is useful for co-operative banks because many cooperative institutions operate through affiliated societies, employee societies, welfare bodies, contractors and other intermediary organisations.

It is particularly relevant where a co-operative bank:

• provides premises or infrastructure to an employee society;

• gives financial assistance or subsidies;

• permits a separate society to operate a canteen or welfare facility;

• engages contractors or outside agencies;

• faces claims that workers engaged by another entity are actually bank employees;

• faces demands for regularisation, reinstatement or back wages.

The judgment makes clear that financial support or providing premises is not automatically equivalent to employment.

The actual relationship must be examined through the applicable legal tests.

6. Practical Application

For a co-operative-bank lawyer defending an employment claim, the following documents and facts become particularly important:

1. Who issued the appointment letter?

2. Who maintained the employee's service record?

3. Who paid salary or remuneration?

4. Who had power to appoint or remove the worker?

5. Who could initiate disciplinary proceedings?

6. Who controlled the worker's day-to-day activities?

7. Was there a separate society, contractor or intermediary?

8. Did that intermediary have its own management and office bearers?

9. Was the Bank merely providing premises, subsidy or infrastructure?

10. Did the Bank have actual control over the manner in which the work was performed?

11. Were the workers covered by the Bank's service rules?

12. Were they integrated into the Bank's regular establishment?

The practical rule is:

A co-operative bank does not become the employer merely because it financially supports a facility or provides premises and infrastructure for it. The Court must examine who actually appoints, pays, controls, supervises, disciplines and can dismiss the workers, along with the other relevant factors.

Summary (Kannada)

Canteen workers U.P.

ಆದ್ದರಿಂದ High Court ನ judgments ಮತ್ತು Labour Court ನ reinstatement ಹಾಗೂ back wages ನೀಡಿದ awards ಅನ್ನು ಸುಪ್ರೀಂ ಕೋರ್ಟ್ ರದ್ದುಪಡಿಸಿತು.

• ಕಾರ್ಮಿಕರನ್ನು ಯಾರು ನೇಮಕ ಮಾಡಿದರು;

• ವೇತನ ಅಥವಾ remuneration ಅನ್ನು ಯಾರು ಪಾವತಿಸುತ್ತಾರೆ;

• ಕೆಲಸದಿಂದ ತೆಗೆದುಹಾಕುವ ಅಧಿಕಾರ ಯಾರಿಗಿದೆ;

• disciplinary action ತೆಗೆದುಕೊಳ್ಳುವ ಅಧಿಕಾರ ಯಾರಿಗಿದೆ;

• service continuity;

• control ಮತ್ತು supervision ನ ಮಟ್ಟ;

• tools ಅಥವಾ equipment ಯಾರದ್ದು;

• ಸಂಸ್ಥೆಯೊಳಗಿನ integration;

• economic control;

• ಕಾರ್ಮಿಕರನ್ನು ಆಯ್ಕೆ ಮಾಡುವ ಅಧಿಕಾರ;

• ಬ್ಯಾಂಕ್ employee society ಗೆ premises ಅಥವಾ infrastructure ಒದಗಿಸಿದಾಗ;

• financial assistance ಅಥವಾ subsidy ನೀಡಿದಾಗ;

• ಪ್ರತ್ಯೇಕ Society ಗೆ canteen ಅಥವಾ welfare facility ನಡೆಸಲು ಅವಕಾಶ ನೀಡಿದಾಗ;

• contractors ಅಥವಾ outside agencies ಮೂಲಕ ಕೆಲಸ ಮಾಡಿಸಿದಾಗ;

• ಇನ್ನೊಂದು entity ನೇಮಕ ಮಾಡಿದ workers ನಿಜವಾಗಿ ಬ್ಯಾಂಕಿನ employees ಎಂದು claim ಬಂದಾಗ;

• regularisation, reinstatement ಅಥವಾ back wages ಗಾಗಿ workers claim ಮಾಡಿದಾಗ.

1. Appointment letter

2. Service records

5. Disciplinary proceedings
