Greater Bombay Co-operative Bank Ltd. v. M/s. United Yarn Tex. Pvt. Ltd. & Ors.
- Court: Supreme Court Of India
- Year: 2007
- Neutral citation: 2007 INSC 370
Key Legal Principles
A co-operative bank cannot automatically be treated as a "banking company" under another Central enactment merely because the Banking Regulation Act, 1949 has been made applicable to co-operative societies with modifications.
A statutory definition or legal fiction created for one Act cannot ordinarily be extended to another Act unless the latter legislation itself provides for such application.
For the RDB Act as considered in this judgment, co-operative banks were outside its definition of "banking company"; therefore, their recovery mechanism under the applicable State Co-operative Societies legislation was not displaced merely because DRTs had been established under the RDB Act.
The judgment also recognises the State Legislature's competence under Entry 32 of List II to legislate concerning co-operative societies, including provisions that may incidentally touch upon banking activity.
Key Legal Principles (Kannada)
Summary (English)
1. Facts
A number of co-operative banks, including Greater Bombay Co-operative Bank Ltd., were recovering loans from borrowers under the respective State Co-operative Societies Acts.
The borrowers argued that, after enactment of the Recovery of Debts Due to Banks and Financial Institutions Act, 1993, co-operative banks should also be treated as "banks" for the purposes of that legislation and should therefore recover debts through the Debts Recovery Tribunal (DRT).
The central dispute was whether the expression "banking company" used in the RDB Act could be expanded by reference to the Banking Regulation Act, 1949 so as to include co-operative banks.
The matter became particularly important because State Co-operative Societies Acts contained their own recovery mechanisms for co-operative banks.
2. Legal Issue
The Supreme Court principally considered:
Whether co-operative banks established under the Maharashtra Co-operative Societies Act, Andhra Pradesh Co-operative Societies Act and Multi-State Co-operative Societies Act could invoke the RDB Act and recover their dues through the DRT.
The Court also considered whether State Legislatures had legislative competence under Entry 32 of List II of the Seventh Schedule to enact laws governing co-operative societies that incidentally undertake banking activities.
3. Court's Decision
The Supreme Court held that co-operative banks covered by the statutes under consideration did NOT fall within the expression "banking company" as defined in Section 5(c) of the Banking Regulation Act, 1949 for the purposes of the RDB Act.
Consequently, the RDB Act could not be applied to recovery of dues of such co-operative banks merely by invoking the doctrine of incorporation.
The Court held that the State Co-operative Societies Acts continued to govern recovery proceedings by those co-operative banks in accordance with their respective statutory mechanisms.
The Court also upheld the legislative competence of the States to legislate concerning co-operative societies under Entry 32 of List II, even though such societies may incidentally carry on banking activities.
The final conclusions are set out particularly in paragraphs 396–399.
4. Court's Reasoning
The Court examined the statutory definitions carefully.
It noted that Section 5(c) of the Banking Regulation Act defined "banking company" separately. Although Section 56 of that Act modified the application of the Banking Regulation Act to co-operative societies, Parliament had separately introduced definitions such as "co-operative bank" and "primary co-operative bank".
The Court reasoned that Parliament could have expressly included co-operative banks within the expression "banking company" for purposes of the RDB Act if that had been its intention.
The Court therefore declined to add words to the statute which Parliament had not used.
The Court also relied upon the fact that the State Co-operative Societies Acts already contained specific mechanisms for adjudication and recovery of dues of co-operative societies and co-operative banks.
The Court held that the legal fiction or statutory incorporation created for purposes of the Banking Regulation Act could not automatically be carried into another statute, namely the RDB Act.
On the constitutional question, the Court applied the doctrine of pith and substance. It held that legislation dealing with incorporation, regulation and functioning of co-operative societies falls within Entry 32 of List II.
The fact that a co-operative society also undertakes banking activity does not, by itself, remove the legislation from the State Legislature's competence when the legislation, in substance, concerns co-operative societies.
5. Relevance to Co-operative Banks
This is a foundational authority for understanding the relationship between:
• State Co-operative Societies Acts;
• Banking Regulation Act, 1949;
• DRT/RDB legislation; and
• recovery proceedings by co-operative banks.
For a lawyer representing a co-operative bank, the case is particularly important when the borrower argues that the bank must necessarily approach the DRT under the RDB Act merely because it is carrying on banking business.
However, the ruling must be used with statutory precision.
The judgment concerns the RDB Act as interpreted in 2007. It should NOT be mechanically extended to SARFAESI proceedings because the legal position regarding co-operative banks under SARFAESI was subsequently authoritatively considered by the Supreme Court in later litigation.
Therefore, this judgment remains particularly useful for questions concerning the applicability of the RDB Act/DRT framework to co-operative banks, but its reasoning should not be treated as a general proposition that co-operative banks are outside all Central banking legislation.
6. Practical Application
A lawyer representing a co-operative bank can use this judgment when:
(a) a borrower contends that recovery under the State Co-operative Societies Act is unavailable because the DRT mechanism exists;
(b) the borrower argues that the expression "banking company" in a statute should automatically include a co-operative bank merely because the Banking Regulation Act applies to co-operative societies;
(c) the jurisdiction of a Registrar, nominee, arbitrator or other authority under a State Co-operative Societies Act is challenged on the ground that the RDB Act has occupied the field;
(d) an argument is raised that a statutory definition from the Banking Regulation Act should automatically be imported into another Central enactment; or
(e) the legislative competence of State legislation governing co-operative banks is challenged merely because the institution carries on banking business.
The strongest practical lesson is that the lawyer must identify the EXACT statute under which recovery is being pursued and then examine that statute's own definition of "bank", "banking company", "financial institution" or "secured creditor". A co-operative bank should not be assumed to fall within every Central recovery statute merely because it is regulated as a banking institution under particular provisions of the Banking Regulation Act.
Summary (Kannada)
Recovery of Debts Due to Banks and Financial Institutions Act,
(a) DRT ವ್ಯವಸ್ಥೆ ಇರುವುದರಿಂದ State Co-operative Societies Act ಅಡಿಯಲ್ಲಿ recovery ಸಾಧ್ಯವಿಲ್ಲ ಎಂದು ಸಾಲಗಾರ ವಾದಿಸಿದಾಗ;
(b) Banking Regulation Actನಲ್ಲಿ ಸಹಕಾರಿ ಬ್ಯಾಂಕುಗಳಿಗೆ provisions ಅನ್ವಯಿಸುತ್ತವೆ ಎಂಬ ಕಾರಣದಿಂದ ಮತ್ತೊಂದು ಕಾಯ್ದೆಯ "banking company" ವ್ಯಾಖ್ಯಾನದಲ್ಲೂ ಸಹಕಾರಿ ಬ್ಯಾಂಕುಗಳು ಸ್ವಯಂಚಾಲಿತವಾಗಿ ಸೇರುತ್ತವೆ ಎಂದು ವಾದಿಸಿದಾಗ;
(c) Registrar, nominee ಅಥವಾ arbitratorನ recovery jurisdiction ಅನ್ನು RDB Act ಕಾರಣದಿಂದ ಪ್ರಶ್ನಿಸಿದಾಗ;
(e) ಸಹಕಾರಿ ಬ್ಯಾಂಕುಗಳು banking business ನಡೆಸುತ್ತವೆ ಎಂಬ ಕಾರಣದಿಂದ State Co-operative Societies legislation itself unconstitutional ಅಥವಾ beyond legislative competence ಎಂದು ವಾದಿಸಿದಾಗ.
