IDBI Bank Ltd. v. Ramswaroop Daliya & Ors.

  • Court: Supreme Court Of India
  • Year: 2024
  • Neutral citation: 2024 INSC 780

Key Legal Principles

Under Rule 9(4) of the Security Interest (Enforcement) Rules, 2002:

(a) the 15-day period for payment of the balance sale consideration is not necessarily absolute;

(b) the period may be extended with the written consent of the parties;

(c) Rule 9(4) and Rule 9(5) are attracted only when there is a default by the auction purchaser;

(d) where non-payment is caused by the secured creditor/auctioneer rather than the purchaser, the purchaser cannot be treated as a defaulter merely because the statutory period expired; and

(e) cancellation of a confirmed auction sale cannot ordinarily be effected unilaterally without following principles of natural justice.

Key Legal Principles (Kannada)

Security Interest (Enforcement) Rules, 2002ರ Rule 9(4) ಅಡಿಯಲ್ಲಿ:

(a) ಉಳಿದ ಮಾರಾಟ ಮೊತ್ತ ಪಾವತಿಸಲು ನೀಡಿರುವ 15 ದಿನಗಳ ಅವಧಿ ಯಾವ ಸಂದರ್ಭದಲ್ಲೂ ಸಂಪೂರ್ಣ ಅಚಲವಲ್ಲ;

(b) ಪಕ್ಷಗಳ ಲಿಖಿತ ಒಪ್ಪಿಗೆಯಿಂದ ಅವಧಿಯನ್ನು ವಿಸ್ತರಿಸಬಹುದು;

(c) ಹರಾಜು ಖರೀದಿದಾರನ default ಇದ್ದಾಗ ಮಾತ್ರ Rule 9(4) ಮತ್ತು Rule 9(5) ಅನ್ವಯಿಸುತ್ತವೆ;

Summary (English)

1. Facts

IDBI Bank conducted an e-auction of immovable property measuring 2 guntas in Survey No.121 (part), Bogaram Village, Telangana.

The respondents were the highest bidders for ₹1,42,50,000 and deposited 25% of the bid amount, i.e. ₹36,00,000, on the date of auction. The sale was confirmed and they were required to pay the balance ₹1,06,50,000 within 15 days.

The auction purchasers sought additional time because the Bank itself was not in a position to accept the balance amount due to a CBI complaint, an Enforcement Directorate advisory and an interim order of the High Court.

The Bank ultimately cancelled the confirmed auction sale on 24 December 2019 and returned the deposited amount.

2. Legal Issue

Whether the auction purchasers had committed a default under Rule 9(4) of the Security Interest (Enforcement) Rules, 2002 by not depositing the balance sale consideration within 15 days, thereby permitting the Bank to cancel the confirmed auction and resell the property.

3. Court's Decision

The Supreme Court dismissed the Bank's appeals and upheld the High Court's direction requiring the Bank to issue the sale certificate/register the sale deed after receiving the balance sale consideration.

The Court held that Rule 9(4) does not operate automatically merely because the balance amount was not deposited within the initial 15-day period.

There must first be a default attributable to the auction purchaser.

Where the purchaser is ready and willing to pay but the non-payment is attributable to the Bank, Rule 9(4) and Rule 9(5) cannot be invoked against the purchaser.

4. Court's Reasoning

The Court interpreted Rules 9(4) and 9(5) together.

The prescribed 15-day period is not absolutely sacrosanct. It can be extended by written agreement between the purchaser and secured creditor.

The correspondence between the parties showed that the purchasers sought extension because the Bank itself was unable to accept the balance consideration.

The Court found that the purchasers were not responsible for the delay. Therefore, they could not be treated as defaulting purchasers.

The Court also held that the Bank could not introduce, through a counter-affidavit, a new justification for cancellation which was not contained in its original cancellation communication.

Further, the Bank's unilateral cancellation of the confirmed auction without notice or opportunity of hearing violated the principles of natural justice.

5. Relevance to Co-operative Banks

This ruling is important for co-operative banks conducting SARFAESI auctions.

A co-operative bank acting as secured creditor must carefully document:

• the date of confirmation of sale;

• the date by which the balance consideration is payable;

• every request for extension;

• whether the purchaser actually tendered or attempted to tender the balance amount;

• whether the Bank itself prevented or delayed acceptance;

• any written agreement extending the payment period; and

• the reasons for cancellation of a confirmed auction.

A bank should not assume that expiry of 15 days automatically gives it an unrestricted right to cancel the auction. The existence of purchaser default is material.

6. Practical Application

For a co-operative bank's legal department, before cancelling a confirmed SARFAESI auction, verify whether the purchaser's failure to pay was actually attributable to the purchaser.

If the purchaser was ready and willing to pay but the Bank prevented acceptance or itself sought/allowed additional time, cancellation may be vulnerable to challenge.

Where an extension is granted, the Bank should preferably record it expressly in writing rather than relying upon silence or informal correspondence.

If cancellation is proposed, the Bank should clearly state the actual statutory and factual basis for cancellation and provide appropriate notice/opportunity wherever required.

This case should therefore be used alongside Rule 9(4) and Rule 9(5) when advising a co-operative bank on confirmed auction sales, balance consideration and cancellation/resale.

Summary (Kannada)

• ಹರಾಜು ಮಾರಾಟ ದೃಢೀಕರಿಸಿದ ದಿನಾಂಕ;

• ಉಳಿದ ಮೊತ್ತ ಪಾವತಿಸಬೇಕಾದ ದಿನಾಂಕ;

• extensionಗಾಗಿ ಖರೀದಿದಾರನು ಮಾಡಿದ ಪ್ರತಿಯೊಂದು ಮನವಿ;

• ಖರೀದಿದಾರನು ಹಣ ಪಾವತಿಸಲು ಪ್ರಯತ್ನಿಸಿದ್ದಾನೆಯೇ;

• ಬ್ಯಾಂಕ್ ಸ್ವತಃ ಹಣ ಸ್ವೀಕರಿಸಲು ನಿರಾಕರಿಸಿದ್ದೇ ಅಥವಾ ವಿಳಂಬ ಮಾಡಿದ್ದೇ;
