ITC Limited v. Blue Coast Hotels Limited & Ors.
- Court: Supreme Court Of India
- Year: 2018
- Neutral citation: 2018 INSC 241
Key Legal Principles
The following principles emerge:
First, Section 13(3A) is mandatory. A secured creditor must consider the borrower's representation/objection and communicate reasons for rejecting it within the prescribed period.
Second, the question whether land is "agricultural land" for Section 31(i) depends upon its actual nature, use and purpose and cannot be determined solely from revenue records.
Third, symbolic or constructive possession under SARFAESI is legally permissible.
Fourth, in appropriate circumstances, a secured creditor which has taken symbolic possession may continue to be a "secured creditor" and seek actual possession under Section 14 even after the sale process has progressed.
Fifth, the mere use of the words "without prejudice" in a borrower's written undertaking does not automatically prevent the document from being considered as evidence of an acknowledgment or undertaking, depending upon its substance and surrounding circumstances.
Key Legal Principles (Kannada)
Summary (English)
1. Facts
Blue Coast Hotels Ltd. had obtained substantial financial facilities from Industrial Finance Corporation of India (IFCI), secured by mortgage of properties forming part of a hotel project in Goa.
After default, IFCI initiated proceedings under the SARFAESI Act and issued a demand notice under Section 13(2).
The borrower submitted representations seeking, among other things, rescheduling of the loan and additional time for repayment.
The creditor continued negotiations with the borrower, considered the repayment proposals and granted several opportunities for repayment. However, the borrower failed to clear the dues.
The secured properties were subsequently dealt with under the SARFAESI process and ITC Limited became the auction purchaser.
The borrower challenged the recovery proceedings, including alleging non-compliance with Section 13(3A), and contended that some of the mortgaged land was agricultural land protected by Section 31(i).
2. Legal Issue
The Supreme Court considered, among other questions:
(a) Whether Section 13(3A), requiring the secured creditor to consider the borrower's representation and communicate reasons for rejecting it, is mandatory;
(b) whether land recorded as agricultural land in revenue records automatically falls within the agricultural-land exclusion under Section 31(i);
(c) whether a secured creditor which had taken only symbolic/constructive possession could subsequently seek physical possession under Section 14 after the secured asset had been sold to an auction purchaser.
3. Court's Decision
The Supreme Court allowed the appeals and set aside the High Court's judgment.
The Court held that Section 13(3A) is mandatory. The secured creditor must consider the borrower's representation or objection and, where it is not accepted, communicate reasons for non-acceptance within the statutory period.
However, on the facts of this particular case, the Court did not grant relief to the borrower because IFCI had in substance considered the borrower's proposals, conducted negotiations, and granted substantial opportunities and time for repayment.
The Court also held that the mere fact that land is described as agricultural in revenue records does not conclusively establish that it is agricultural land for Section 31(i). The actual nature, use and purpose of the land and the surrounding circumstances must be considered.
The Court further held that symbolic or constructive possession is legally permissible and that, in the circumstances of the case, IFCI continued to be a secured creditor and could seek actual possession under Section 14.
4. Court's Reasoning
Section 13(3A) was introduced to provide the borrower an opportunity to make a representation or objection after receiving the Section 13(2) notice.
The Court emphasised that the secured creditor has a statutory duty to actively consider the representation. If it rejects the representation, it must communicate the reasons for such rejection.
The requirement to give reasons is an important part of fair and reasonable decision-making. It cannot simply be ignored by treating the word "shall" in Section 13(3A) as directory.
At the same time, the Court examined the actual conduct of the parties. IFCI had entered into negotiations, accepted repayment cheques, granted additional opportunities and received an undertaking from the borrower. Therefore, although a formal reply to the representation had not been given in the precise manner contemplated by Section 13(3A), the borrower had effectively received consideration and repeated opportunities to repay.
Regarding agricultural land, the Court held that Section 31(i) protects agricultural land from enforcement under SARFAESI, but whether a particular property is genuinely agricultural cannot be decided merely by looking at a revenue entry.
The Court considered the actual use and purpose of the land. The land in question formed part of the hotel project and was not being used as agricultural land in the relevant sense.
On symbolic possession, the Court held that the SARFAESI Act does not make symbolic possession illegal. A secured creditor which has taken constructive possession does not necessarily cease to be a secured creditor merely because the property is subsequently transferred to an auction purchaser. In the circumstances before the Court, the creditor retained the right to obtain actual possession through Section 14.
5. Relevance to Co-operative Banks
This judgment is particularly useful for a co-operative bank's SARFAESI recovery department because it deals with three recurring practical problems:
1. Borrower's objection/representation after Section 13(2) notice;
2. Agricultural land being offered as security; and
3. Obtaining physical possession after symbolic possession and auction proceedings.
For a co-operative bank, the judgment makes it important for the Authorised Officer to maintain a proper record showing that every representation received under Section 13(3A) was actually considered and that reasons for rejection were communicated within the statutory period.
It is also important in Karnataka and other states where revenue records may describe land as agricultural even though the property is being used for commercial, industrial, hotel or other non-agricultural purposes. The revenue description alone should not be treated as conclusive.
6. Practical Application
For a co-operative bank's SARFAESI file, the Authorised Officer should:
(a) record the date on which the borrower's representation is received;
(b) independently examine every material objection raised;
(c) prepare a reasoned decision on the representation;
(d) communicate reasons for rejection within the statutory period;
(e) preserve proof of dispatch/service of the reply;
(f) before invoking SARFAESI against land claimed to be agricultural, examine the actual nature and use of the land rather than relying only upon RTC/revenue entries;
(g) preserve possession notices and evidence of symbolic/constructive possession; and
(h) where physical possession is required after auction or sale proceedings, ensure that the Section 14 application clearly establishes the bank's continuing status and entitlement as secured creditor.
The case therefore provides an important compliance lesson: SARFAESI gives a co-operative bank strong recovery powers, but the Authorised Officer should create a clear documentary record demonstrating strict statutory compliance at every material stage.
Summary (Kannada)
Blue Coast Hotels Ltd. ಕಂಪನಿಯು Industrial Finance Corporation of India (IFCI) ಯಿಂದ ದೊಡ್ಡ ಪ್ರಮಾಣದ ಹಣಕಾಸು ಸೌಲಭ್ಯವನ್ನು ಪಡೆದಿತ್ತು.
(a) Section 13(3A) ಅಡಿಯಲ್ಲಿ borrower ಸಲ್ಲಿಸಿದ representation ಅಥವಾ objection ಅನ್ನು secured creditor ಕಡ್ಡಾಯವಾಗಿ ಪರಿಗಣಿಸಿ, ಸ್ವೀಕರಿಸದಿದ್ದರೆ ಅದರ ಕಾರಣಗಳನ್ನು ತಿಳಿಸಬೇಕೇ;
(b) Revenue records ನಲ್ಲಿ agricultural land ಎಂದು ನಮೂದಿಸಿರುವುದರಿಂದ ಮಾತ್ರ ಆ ಭೂಮಿ Section 31(i) ಅಡಿಯಲ್ಲಿ agricultural land ಆಗಿಬಿಡುತ್ತದೆಯೇ;
Agricultural land ಕುರಿತು, Section 31(i) agricultural land ಅನ್ನು SARFAESI enforcement ನಿಂದ ರಕ್ಷಿಸುತ್ತದೆ.
1. Section 13(2) notice ನಂತರ borrower ಸಲ್ಲಿಸುವ representation;
(a) borrower representation ಸ್ವೀಕರಿಸಿದ ದಿನಾಂಕವನ್ನು ದಾಖಲಿಸಬೇಕು;
(b) ಅದರಲ್ಲಿ ಮಾಡಿರುವ ಪ್ರತಿಯೊಂದು ಪ್ರಮುಖ objection ಅನ್ನು ಪ್ರತ್ಯೇಕವಾಗಿ ಪರಿಶೀಲಿಸಬೇಕು;
(c) representation ಕುರಿತು reasoned decision ಸಿದ್ಧಪಡಿಸಬೇಕು;
(d) rejection reasons ಅನ್ನು statutory period ಒಳಗೆ communicate ಮಾಡಬೇಕು;
(e) reply ಕಳುಹಿಸಿದ ಮತ್ತು served ಮಾಡಿದ ಕುರಿತು proof ಸಂರಕ್ಷಿಸಬೇಕು;
(f) SARFAESI ಕ್ರಮ agricultural land ವಿರುದ್ಧ ತೆಗೆದುಕೊಳ್ಳುವ ಮೊದಲು RTC/revenue entry ಮಾತ್ರವಲ್ಲದೆ ಭೂಮಿಯ actual nature ಮತ್ತು use ಪರಿಶೀಲಿಸಬೇಕು;
