M/s. Adishakti Developers v. The State of Maharashtra & Ors. / Mahanagar Co-operative Bank Ltd. v. The Divisional Joint Registrar, Co-operative Societies & Ors. / Mahanagar Co-operative Bank Ltd. v. The State of Maharashtra & Ors.

  • Court: Supreme Court Of India
  • Year: 2026
  • Neutral citation: 2026 INSC 197

Key Legal Principles

The important principles are:

(a) Section 154 of the Maharashtra Co-operative Societies Act confers wide revisional jurisdiction to examine the legality, propriety and regularity of proceedings, including confirmation of an auction sale.

(b) The revisional jurisdiction under Section 154 is not automatically excluded merely because remedies are available under Rule 107(13) or (14).

(c) Under the applicable version of Rule 107(11)(h), the balance purchase money in a co-operative recovery auction must be deposited within the prescribed period.

(d) Rules 107(11)(g) and (h) are mandatory provisions serving not merely the creditor's private interest but also the public interest in maintaining the integrity of public auctions.

(e) The delayed acceptance of money by the co-operative bank does not by itself validate an auction conducted contrary to the mandatory statutory auction procedure.

(f) Where the auction is rendered void because of non-compliance with the mandatory payment requirement, the property must be dealt with through the prescribed fresh-auction mechanism.

Key Legal Principles (Kannada)

(a) Maharashtra Co-operative Societies Act Section

Summary (English)

1. Facts

Mahanagar Co-operative Bank Ltd. had granted a cash-credit facility of Rs.10,00,000/- to M/s. Borse Brothers.

The borrower defaulted. The Co-operative Court passed an ex parte award on 04.04.1994 for Rs.24,19,904.92 plus interest at 17.5% per annum. A recovery certificate was subsequently issued under Section 98 of the Maharashtra Co-operative Societies Act.

For recovery of the bank's dues, the property was taken into possession and auctioned on 29.01.2005.

M/s. Adishakti Developers emerged as the highest bidder for Rs.1,51,00,000/-. It deposited the initial amount on the date of auction, while the balance amount was paid subsequently, with the final payment being made on 17.03.2005.

The Recovery Officer nevertheless confirmed the sale on 18.03.2005 and possession was handed over to the auction purchaser. A sale certificate and subsequently a registered conveyance deed were also executed.

The legal representatives of one of the original partners later challenged the auction.

The Divisional Joint Registrar, exercising revisional jurisdiction under Section 154 of the Maharashtra Co-operative Societies Act, set aside the auction sale on the ground that the balance purchase money had not been deposited within the period prescribed by Rule 107(11)(h) of the Maharashtra Co-operative Societies Rules.

The Bombay High Court upheld the cancellation.

The matter reached the Supreme Court.

2. Legal Issue

The principal issues were:

(a) Whether a revision under Section 154 of the Maharashtra Co-operative Societies Act could be maintained against confirmation of an auction sale even though the applicant had not first used the remedies under Rule 107(13) or 107(14).

(b) Whether the requirement under Rule 107(11)(h) to deposit the balance purchase money within the prescribed period was mandatory.

(c) Whether acceptance of delayed payment by the co-operative bank amounted to waiver of the statutory requirement.

(d) What relief should be granted after the auction sale was found to be void.

3. Court's Decision

The Supreme Court upheld the finding that the auction sale and its confirmation were void.

It held that the revisional jurisdiction under Section 154 was available to examine the legality and propriety of the confirmation of sale.

The Court further held that Rule 107(11)(g) and (h) contained mandatory requirements and that the balance purchase money had to be deposited within the prescribed period.

Acceptance of the delayed payment by the bank did not, in the circumstances of this case, amount to waiver because the rule served a broader public purpose concerning the integrity of public auctions and not merely the private interest of the creditor.

The Supreme Court therefore:

• set aside the auction sale dated 29.01.2005;

• declared the confirmation of sale dated 18.03.2005 null and void;

• directed that the property be put to a fresh auction under Rule 107(11)(j);

• directed the bank to refund Rs.1,51,00,000/- deposited by the auction purchaser with 6% interest from the date of deposit until repayment.

4. Court's Reasoning

The Court first examined Rule 107(13) and (14).

Rule 107(13) permits a person owning the property or having an interest acquired before the auction to seek setting aside of the sale within the prescribed period, subject to the specified deposit.

Rule 107(14) permits an application to the Recovery Officer to set aside the sale on grounds including material irregularity, mistake or fraud, again within the prescribed period.

However, the Supreme Court held that these remedies did not exhaust the revisional jurisdiction under Section 154.

Section 154 gives the Registrar/State Government broad power to examine the legality, propriety and regularity of proceedings. The Court held that the statutory revisional power could not be cut down merely by the Rules.

Therefore, absence of an application under Rule 107(13) or (14) did not deprive the revisional authority of jurisdiction under Section 154.

On the auction payment requirement, the Court examined Rule 107(11)(g)–(j).

Under the applicable version of Rule 107(11)(h), the remainder of the purchase money had to be paid within fifteen days from the date of sale. The Court noted that the Rule provided consequences for failure to make the payment, including forfeiture and resale.

The Court held that there was no discretion to extend the period for payment of the remainder of the purchase money.

The Court distinguished Sri Siddeshwara Co-operative Bank Ltd., where the SARFAESI Rules themselves permitted extension by written agreement.

In the present case, Rule 107 did not contain an equivalent provision permitting extension of the time for payment of the balance purchase money.

The Court also held that Rule 107(11)(g) and (h) served a public purpose: maintaining the sanctity and seriousness of public auctions and preventing non-serious bidders from manipulating the price discovery process.

Consequently, the requirement could not simply be treated as a condition belonging exclusively to the bank which the bank could waive.

5. Relevance to Co-operative Banks

This is an important Supreme Court ruling for co-operative banks that recover dues through the statutory recovery machinery under State Co-operative Societies legislation.

It is particularly relevant to banks conducting recovery auctions of immovable property.

The judgment demonstrates that compliance with the auction procedure is not merely a formal matter. A bank may have a valid recovery award and a large outstanding debt, but defects in the statutory auction procedure can still result in cancellation of the auction.

It also clarifies an important distinction between:

• the bank's contractual/recovery rights; and

• the statutory requirements governing the manner in which the bank's recovery is executed.

The judgment is especially important when the auction purchaser pays the balance consideration after the prescribed period.

6. Practical Application

For a co-operative bank conducting recovery auctions, the following safeguards are important:

1. Ensure that the auction notice and procedure strictly comply with the applicable Co-operative Societies Act and Rules.

2. Ensure that the required percentage of the purchase price is deposited on the date of auction.

3. Ensure that the balance purchase money is deposited within the exact statutory period applicable on the date of the auction.

4. Do not assume that acceptance of delayed payment automatically cures a statutory defect.

5. Maintain complete records of auction notices, bids, deposits, correspondence, confirmation orders and sale certificates.

6. Before confirming an auction, the Recovery Officer should verify statutory compliance rather than merely relying upon the purchaser's eventual payment of the entire amount.

7. Where the statutory rules provide a specific mechanism for extension of time, follow that mechanism strictly and document the required written agreement or order.

The judgment is particularly useful for bank lawyers because it shows that a successful recovery process can still be undermined at the execution stage if the statutory auction requirements are not meticulously followed.

Summary (Kannada)

(a) Rule 107(13) ಅಥವಾ 107(14)ರ ಅಡಿಯಲ್ಲಿ ಲಭ್ಯವಿರುವ remedyಯನ್ನು ಮೊದಲು ಬಳಸದೆ ಇದ್ದರೂ, Maharashtra Co-operative Societies Act Section 154ರ ಅಡಿಯಲ್ಲಿ auction sale confirmation ವಿರುದ್ಧ revision maintainable ಆಗುತ್ತದೆಯೇ?

Supreme Court:

• 29.01.2005ರ auction sale ಅನ್ನು ರದ್ದುಪಡಿಸಿತು;

• 18.03.2005ರ sale confirmation ಅನ್ನು null and void ಎಂದು ಘೋಷಿಸಿತು;

• Rule 107(11)(j) ಪ್ರಕಾರ ಆಸ್ತಿಯನ್ನು fresh auctionಗೆ ಒಳಪಡಿಸಲು ನಿರ್ದೇಶಿಸಿತು;

Section 154 Registrar/State Governmentಗೆ proceedingsನ legality, propriety ಮತ್ತು regularity ಪರಿಶೀಲಿಸುವ ವಿಶಾಲ ಅಧಿಕಾರ ನೀಡುತ್ತದೆ.

State Co-operative Societies legislationನ recovery machinery ಬಳಸಿಕೊಂಡು dues ವಸೂಲಿ ಮಾಡುವ ಸಹಕಾರಿ ಬ್ಯಾಂಕುಗಳಿಗೆ ಇದು ಪ್ರಮುಖ Supreme Court ತೀರ್ಪಾಗಿದೆ.

• ಬ್ಯಾಂಕಿನ contractual/recovery rights; ಮತ್ತು
