M/s. Hindon Forge Pvt. Ltd. & Anr. v. The State of Uttar Pradesh through District Magistrate, Ghaziabad & Anr.
- Court: Supreme Court Of India
- Year: 2018
- Neutral citation: 2018 INSC 1034
Key Legal Principles
The Supreme Court established/clarified:
A borrower or other aggrieved person can approach the DRT under Section 17 of the SARFAESI Act once the secured creditor has taken a measure under Section 13(4), including taking constructive/symbolic possession by following Rule 8(1) and Rule 8(2).
The borrower need not wait until actual physical possession is taken.
Therefore:
Section 13(4) + Rule 8(1)/(2) possession notice
=
Section 17 DRT remedy becomes available.
Key Legal Principles (Kannada)
Actual physical possession
Section 13(4) + Rule 8(1)/(2) possession notice
=
Section 17 ಅಡಿಯಲ್ಲಿ DRT remedy ಲಭ್ಯ.
Summary (English)
1. Facts
The dispute concerned the stage at which a borrower becomes entitled to approach the Debts Recovery Tribunal (DRT) under Section 17 of the SARFAESI Act.
The borrowers challenged SARFAESI proceedings and contended that they should be able to approach the DRT after the secured creditor had issued a possession notice under Rule 8(1) and Rule 8(2) of the Security Interest (Enforcement) Rules, 2002.
A Full Bench of the Allahabad High Court had taken the view that the remedy under Section 17 would become available only after actual physical possession of the secured asset was taken.
The question therefore reached the Supreme Court: whether a borrower must wait until actual physical possession is taken, or whether the Section 17 remedy becomes available when the secured creditor takes possession in the manner contemplated by Rule 8(1) and Rule 8(2).
2. Legal Issue
Whether an application under Section 17(1) of the SARFAESI Act is maintainable when the secured creditor has issued and served a possession notice under Rule 8(1) and Rule 8(2), even though actual physical possession has not yet been taken.
In simple terms:
Can the borrower approach the DRT immediately after the bank takes symbolic/constructive possession, or must the borrower wait until the bank physically dispossesses him?
3. Court’s Decision
The Supreme Court held that the borrower does NOT have to wait until actual physical possession is taken.
The Court held that the taking of possession contemplated under Rule 8(1) and Rule 8(2), including constructive or symbolic possession through the prescribed possession notice, constitutes a measure under Section 13(4).
Therefore, the borrower can approach the DRT under Section 17 at the stage of the possession notice under Rule 8(1) and Rule 8(2).
The Supreme Court set aside the contrary Full Bench judgment of the Allahabad High Court.
Thus, Section 17 is not restricted to a situation where the borrower has already been physically dispossessed.
4. Court’s Reasoning
The Supreme Court examined the scheme of Sections 13, 14 and 17 of the SARFAESI Act together with Rule 8 of the 2002 Rules.
The Court noted that Rule 8 provides different modes of taking possession. Rule 8(1) and Rule 8(2) deal with possession notice and publication, while Rule 8(3) deals with taking actual physical possession.
The Court therefore held that the statutory scheme recognises constructive possession as a form of possession for purposes of SARFAESI enforcement.
The Court also relied upon the purpose of Section 17. The DRT is intended to provide the borrower with a statutory remedy against measures taken by the secured creditor under Section 13(4).
The Court rejected the interpretation that the borrower must wait until physical dispossession occurs. Such an interpretation could permit a bank’s action to continue significantly before the borrower obtained access to the statutory adjudicatory remedy.
The Court emphasised that banks have strong enforcement powers under SARFAESI, but those powers must be exercised according to the Act and the Rules. The DRT provides the statutory safeguard against unlawful or irregular enforcement.
The Court ultimately held that the possession notice under Rule 8(1) and Rule 8(2) is sufficient to trigger the borrower’s right to approach the DRT under Section 17.
5. Relevance to Co-operative Banks
This ruling is highly relevant to a co-operative bank that is entitled to invoke the SARFAESI Act.
A co-operative bank may issue a possession notice over a secured property without immediately obtaining physical possession. The borrower may then challenge the action before the DRT.
The judgment is important because it clarifies the precise procedural stage at which the bank’s SARFAESI action becomes challengeable under Section 17.
For a co-operative bank, this helps in understanding:
- when a Section 17 application can be filed;
- what constitutes a measure under Section 13(4);
- the legal significance of a possession notice;
- the distinction between constructive/symbolic possession and physical possession;
- the bank’s procedural obligations after issuing a possession notice; and
- the stage at which the borrower can obtain DRT scrutiny of the bank’s action.
The judgment should not be read as restricting the bank’s statutory enforcement power. Rather, it clarifies that the bank’s enforcement action becomes subject to DRT scrutiny once the statutory measure contemplated by Section 13(4) has been taken.
6. Practical Application
A lawyer representing a co-operative bank can use this judgment when dealing with a Section 17 application filed by a borrower after issuance of a possession notice.
For example, suppose:
1. The co-operative bank classifies the account as NPA.
2. A valid Section 13(2) demand notice is issued.
3. The borrower fails to discharge the liability.
4. The bank takes steps under Section 13(4).
5. The authorised officer issues and publishes the possession notice in accordance with Rule 8(1) and Rule 8(2).
6. The borrower approaches the DRT under Section 17 before physical possession is taken.
The bank should not contend merely that the Section 17 application is premature because physical possession has not yet been obtained.
Instead, the bank should defend the Section 13(4) measure on its merits and demonstrate that the statutory requirements under the SARFAESI Act and the 2002 Rules have been complied with.
For the bank’s internal practice, the case therefore highlights the importance of properly documenting:
- the Section 13(2) notice;
- consideration of the borrower’s representation under Section 13(3-A);
- authorisation of the authorised officer;
- possession notice;
- affixation of the possession notice;
- newspaper publication;
- photographs and other possession-related records; and
- subsequent steps under Rules 8 and 9.
If the borrower approaches the DRT after the possession notice, the bank should be prepared to establish that every statutory step preceding and accompanying the Section 13(4) measure was properly followed.
The practical lesson is that SARFAESI enforcement should be procedurally precise because the DRT can examine the legality of the bank’s measures once the Section 17 remedy becomes available.
Summary (Kannada)
Allahabad High Court Full Bench
Co-operative bank
- Section 17 application ಯಾವ ಹಂತದಲ್ಲಿ maintainable ಆಗುತ್ತದೆ;
- Section 13(4) ಅಡಿಯಲ್ಲಿ measure ಎಂದರೆ ಏನು;
- possession notice ನ ಕಾನೂನು ಮಹತ್ವ;
- constructive/symbolic possession ಮತ್ತು physical possession ನಡುವಿನ ವ್ಯತ್ಯಾಸ;
2. Section 13(2) demand notice
- Section 13(2) notice;
- Section 13(3-A) ಅಡಿಯಲ್ಲಿ borrower representation ಪರಿಗಣಿಸಿದ ದಾಖಲೆ;
- Authorised Officer ನ authorisation;
- possession notice;
- possession notice affix ಮಾಡಿದ ದಾಖಲೆ;
- newspaper publication;
