M/s. R.D. Jain and Co. v. Capital First Ltd. & Ors.

  • Court: Supreme Court Of India
  • Year: 2022
  • Neutral citation: 2022 INSC 754

Key Legal Principles

The Supreme Court clarified that:

1. "District Magistrate" under Section 14 includes an Additional District Magistrate.

2. "Chief Metropolitan Magistrate" includes an Additional Chief Metropolitan Magistrate.

3. Proceedings under Section 14 are essentially ministerial in nature.

4. The CMM/DM is required to verify compliance with the statutory requirements and the correctness of the information contained in the secured creditor's application/affidavit.

5. The CMM/DM is not required to conduct a full adjudication of disputes between the borrower and secured creditor concerning the right to enforce the security.

6. Substantive objections of the borrower or other aggrieved persons can be raised before the DRT under Section 17.

Key Legal Principles (Kannada)

Summary (English)

1. Facts

The case concerned the procedure for obtaining possession of secured assets under Section 14 of the SARFAESI Act.

Capital First Ltd., as the secured creditor, initiated proceedings under Section 14 seeking assistance of the Magistrate for taking possession of secured assets.

The Bombay High Court had held that the expression "District Magistrate" and "Chief Metropolitan Magistrate" in Section 14 is not restricted to those officers personally. The powers could also be exercised by the Additional District Magistrate and Additional Chief Metropolitan Magistrate.

The borrower challenged this interpretation before the Supreme Court.

The case therefore required the Supreme Court to examine both the authority competent to exercise Section 14 powers and the nature of the function performed by the Magistrate under Section 14.

2. Legal Issue

The principal questions were:

(a) Whether the expression "District Magistrate" in Section 14 includes an Additional District Magistrate and whether "Chief Metropolitan Magistrate" includes an Additional Chief Metropolitan Magistrate; and

(b) What is the nature of the power exercised by the CMM/DM under Section 14 — judicial/quasi-judicial or ministerial?

3. Court's Decision

The Supreme Court dismissed the appeal and upheld the Bombay High Court's interpretation.

The Court held that the expression "District Magistrate" in Section 14 includes an Additional District Magistrate and the expression "Chief Metropolitan Magistrate" includes an Additional Chief Metropolitan Magistrate.

The Court further clarified that the function performed by the CMM/DM under Section 14 is essentially ministerial and not an adjudicatory exercise between the borrower and the secured creditor.

Once the secured creditor satisfies the statutory requirements and submits the required application and affidavit, the Magistrate is required to assist in taking possession of the secured assets and documents.

The Magistrate does not ordinarily decide the borrower's substantive objections to the bank's entitlement to enforce the security.

4. Court's Reasoning

The Supreme Court examined the object and purpose of Section 14.

SARFAESI was enacted to enable secured creditors to recover secured debts efficiently without requiring them to first obtain a decree from a civil court.

Section 14 provides assistance of the CMM/DM where the secured creditor requires assistance in obtaining possession.

The Court therefore adopted an interpretation that facilitates the statutory purpose rather than making the recovery mechanism unnecessarily difficult or slow.

The Court also examined the proviso to Section 14(1), under which the authorised officer must furnish an affidavit containing the prescribed particulars.

The Magistrate has to verify compliance with the statutory requirements. This includes checking matters such as the existence of the security interest, default, NPA classification, service of the Section 13(2) notice, consideration of the borrower's representation, and the secured creditor's entitlement to take possession.

However, this verification does not convert the Section 14 proceeding into a trial between the borrower and the secured creditor.

The Court made an important distinction: the Magistrate must verify the correctness of the information required by Section 14, but does not conduct a full adjudication of disputes concerning the validity of the secured creditor's enforcement action.

If the borrower or another aggrieved person has substantive objections to the SARFAESI measures, the appropriate remedy is under Section 17 before the DRT.

5. Relevance to Co-operative Banks

This judgment is directly relevant to co-operative banks that invoke SARFAESI.

A co-operative bank seeking physical possession of a secured property may have to approach the CMM/DM under Section 14.

The judgment is useful because it prevents a Section 14 proceeding from being converted into a lengthy adjudication of the entire borrower-bank dispute.

It also clarifies that the application need not necessarily be dealt with personally by only the District Magistrate or Chief Metropolitan Magistrate. The statutory expression includes the corresponding Additional Magistrate.

For a co-operative bank, this can be particularly important where:

- the District Magistrate is unavailable;

- the Chief Metropolitan Magistrate has a heavy workload;

- applications are assigned to an Additional District Magistrate/Additional CMM;

- the borrower raises detailed objections at the Section 14 stage; or

- the bank needs physical possession through the assistance of the Magistrate.

6. Practical Application

A lawyer representing a co-operative bank can use this judgment when a borrower argues that:

(a) only the District Magistrate personally can pass an order under Section 14;

(b) an Additional District Magistrate has no jurisdiction;

(c) the Additional Chief Metropolitan Magistrate cannot exercise Section 14 powers;

(d) the Magistrate must conduct a detailed trial regarding the validity of the bank's SARFAESI action; or

(e) the Magistrate must adjudicate the borrower's substantive objections before granting possession.

The bank can rely on R.D. Jain to contend that Section 14 is principally a possession-assistance mechanism.

The bank should nevertheless ensure that its Section 14 application and affidavit strictly comply with the statutory requirements.

The authorised officer should accurately set out, wherever applicable:

- amount of financial assistance;

- outstanding claim;

- details of the security interest;

- details of the secured assets;

- default;

- NPA classification;

- service of Section 13(2) notice;

- consideration of the borrower's representation under Section 13(3-A);

- non-payment despite demand; and

- entitlement to take possession under Section 13(4).

If the borrower raises substantive objections concerning the legality of the SARFAESI action, the bank can point out that such disputes are ordinarily for the DRT under Section 17 rather than for adjudication by the Magistrate under Section 14.

The practical lesson for a co-operative bank is therefore twofold: prepare the Section 14 application and affidavit with complete statutory compliance, while resisting attempts to turn the possession-assistance proceeding into a full-fledged trial.

Summary (Kannada)

Capital First Ltd. secured creditor

(a) Section 14 ರ "District Magistrate" ಎಂಬ ಪದದಲ್ಲಿ Additional District Magistrate ಕೂಡ ಸೇರಬಹುದೇ ಮತ್ತು "Chief Metropolitan Magistrate" ಎಂಬ ಪದದಲ್ಲಿ Additional Chief Metropolitan Magistrate ಕೂಡ ಸೇರಬಹುದೇ?

Co-operative bank

- District Magistrate ಲಭ್ಯವಿಲ್ಲದಾಗ;

- Chief Metropolitan Magistrate ಮೇಲೆ ಹೆಚ್ಚಿನ workload ಇದ್ದಾಗ;

- application ಅನ್ನು Additional District Magistrate/Additional CMM ಗೆ assign ಮಾಡಿದಾಗ;

(a) Section 14 ಅಡಿಯಲ್ಲಿ District Magistrate ಅವರೇ ವೈಯಕ್ತಿಕವಾಗಿ order ಮಾಡಬೇಕು;

(b) Additional District Magistrate ಗೆ jurisdiction ಇಲ್ಲ;

(c) Additional Chief Metropolitan Magistrate Section 14 power exercise ಮಾಡಲಾಗುವುದಿಲ್ಲ;

Authorised Officer

- financial assistance ನ ಮೊತ್ತ;

- outstanding claim;

- security interest ನ ವಿವರ;

- secured assets ನ ವಿವರ;

- default;

- NPA classification;

- Section 13(2) notice service;

- Section 13(3-A) ಅಡಿಯಲ್ಲಿ borrower representation ಪರಿಗಣಿಸಿದ ವಿವರ;

Co-operative bank
