Mathew Varghese v. M. Amritha Kumar & Ors.

  • Court: Supreme Court Of India
  • Year: 2014
  • Neutral citation: 2014 INSC 899

Key Legal Principles

A secured creditor's statutory power to sell an immovable secured asset under SARFAESI must be exercised strictly in accordance with Section 13(8) and Rules 8 and 9.

The borrower must receive the legally prescribed notice and opportunity before the secured asset is sold.

Where a notified sale does not take place and a fresh sale is subsequently proposed in circumstances requiring a fresh process, the earlier notice cannot automatically be relied upon; the statutory sale procedure must be complied with afresh.

IMPORTANT CURRENT-LAW NOTE:

This judgment principally interpreted the pre-2016 version of Section 13(8). Section 13(8) was subsequently amended with effect from 1 September 2016. Therefore, the judgment's discussion concerning the exact point up to which the right of redemption continued must be read in light of the amended Section 13(8). However, the judgment remains highly important on strict compliance with the statutory sale procedure and the requirement of proper notice under the Rules.

Key Legal Principles (Kannada)

Summary (English)

1. Facts

The respondents had stood as guarantors for a credit facility granted by the bank and had created an equitable mortgage over their immovable property by depositing the title deeds.

After the account became an NPA, the bank initiated SARFAESI proceedings and took possession of the secured property under Section 13(4).

The bank subsequently issued a notice for sale of the property. The proposed sale was postponed pursuant to an order of the Kerala High Court. Thereafter, without giving the borrowers a fresh and effective opportunity connected with the postponed sale, the bank accepted the appellant's tender and confirmed the sale.

The borrowers challenged the sale, contending that their statutory right of redemption and the mandatory requirements governing sale of the secured asset had not been properly complied with.

2. Legal Issue

Whether a secured creditor can sell an immovable secured asset under SARFAESI without strictly complying with Section 13(8) and Rules 8 and 9 of the Security Interest (Enforcement) Rules, particularly the requirement of giving the borrower adequate notice and an opportunity to redeem the property before the sale.

3. Court's Decision

The Supreme Court upheld the principle that a secured creditor exercising its statutory power of sale must strictly comply with the SARFAESI Act and the Security Interest (Enforcement) Rules.

The Court held that the borrower's right to redeem the secured property under the then applicable Section 13(8) could not be defeated by an irregular or inadequately notified sale.

The Court further held that where a scheduled sale does not take place and the sale process has to be undertaken subsequently, the prescribed procedure must be followed afresh. A previous sale notice cannot simply be treated as continuing indefinitely.

4. Court's Reasoning

The Court emphasised that although SARFAESI permits a secured creditor to enforce its security without approaching a civil court, that power is not an unrestricted power.

Section 13(1) itself requires enforcement to be carried out in accordance with the provisions of the SARFAESI Act.

The Court treated the borrower's right of redemption as an important statutory and proprietary right. The secured creditor cannot deal with the mortgaged property arbitrarily merely because the borrower has defaulted.

Under the provisions considered in this case, Rule 8(6) required a clear 30-day notice to the borrower before sale of the immovable secured asset, and Rule 9 prescribed the minimum period before the sale could take place.

The Court also held that if a sale does not take place pursuant to the original notice, and the failure is not attributable entirely to the borrower, the secured creditor must follow the prescribed procedure again before conducting the subsequent sale.

The objective of these requirements is to provide the borrower sufficient opportunity either to clear the dues and redeem the property or to ensure that the secured asset is sold through a legally compliant and transparent process.

5. Relevance to Co-operative Banks

This is highly useful to a co-operative bank which enforces mortgages through SARFAESI.

If a co-operative bank conducts an auction of an immovable secured asset, the Authorised Officer must carefully comply with the statutory notice and sale requirements.

A defective sale process can expose the bank to proceedings before the DRT and can result in the sale being challenged or set aside.

The case is particularly important where:

• a scheduled auction is postponed or cancelled;

• the bank wants to conduct another auction;

• the borrower alleges that no proper sale notice was served;

• the bank relies upon an old auction notice for a later sale;

• the borrower alleges denial of an opportunity to redeem;

• the validity of an auction sale or sale certificate is challenged.

6. Practical Application

For a co-operative bank's SARFAESI department/Authorised Officer, the practical lesson is:

Before selling an immovable secured asset, maintain a complete documentary trail showing:

(a) valid possession proceedings;

(b) valuation by the approved valuer;

(c) fixation of reserve price;

(d) statutory sale notice to the borrower;

(e) required newspaper publication;

(f) prescribed notice period;

(g) exact date, time and place/manner of auction;

(h) compliance with the applicable Rule 8 and Rule 9 requirements; and

(i) where an auction is postponed or does not take place, verification of whether a fresh sale notice/procedure is legally required.

The bank should not assume that an earlier auction notice automatically authorises a later auction merely because the property and reserve price remain unchanged.

Summary (Kannada)

• ನಿಗದಿಪಡಿಸಿದ ಹರಾಜು ಮುಂದೂಡಲ್ಪಟ್ಟಾಗ;

• ಹಿಂದಿನ ಹರಾಜು ವಿಫಲವಾದ ನಂತರ ಮತ್ತೊಂದು ಹರಾಜು ನಡೆಸಬೇಕಾದಾಗ;

• borrower ಗೆ ಸರಿಯಾದ sale notice ನೀಡಲಾಗಿಲ್ಲ ಎಂಬ ಆರೋಪ ಬಂದಾಗ;

• ಹಳೆಯ auction notice ಆಧರಿಸಿ ನಂತರದ auction ನಡೆಸಿದಾಗ;

• redemption ಅವಕಾಶ ನಿರಾಕರಿಸಲಾಗಿದೆ ಎಂಬ ಆರೋಪ ಬಂದಾಗ;

(a) ಮಾನ್ಯ possession proceedings;

(b) approved valuer ನ valuation;

(c) reserve price ನಿಗದಿ;

(d) borrower ಗೆ statutory sale notice;

(e) ಅಗತ್ಯ newspaper publication;

(f) ಕಾನೂನಿನಲ್ಲಿ ನಿಗದಿಪಡಿಸಿದ notice period;

(g) auction ನ ದಿನಾಂಕ, ಸಮಯ ಮತ್ತು ಸ್ಥಳ/ವಿಧಾನ;
