NKGSB Cooperative Bank Limited v. Subir Chakravarty & Ors.
- Court: Supreme Court Of India
- Year: 2022
- Neutral citation: 2022 INSC 238
Key Legal Principles
The principal legal principles are:
(a) A CMM/DM exercising powers under Section 14 of SARFAESI can appoint an Advocate Commissioner to take possession of secured assets and related documents.
(b) An advocate can be treated as an "officer subordinate" to the CMM/DM for the limited purpose contemplated by Section 14(1A).
(c) Such subordination is functional and legal rather than ordinary employer-employee or service subordination.
(d) Once the CMM/DM passes the appropriate order under Section 14(1), taking physical possession is essentially a ministerial act.
(e) The Advocate Commissioner acts pursuant to and in execution of the CMM/DM's order and does not independently adjudicate the rights of the parties.
(f) Section 14(1A) does not require the authorised person to be an employee on the establishment of the CMM/DM.
(g) There is no prohibition in the SARFAESI Act or Rules against appointing an advocate as Advocate Commissioner for executing a Section 14 possession order.
(h) The CMM/DM can therefore engage an Advocate Commissioner to assist in execution of the Section 14(1) order.
Important limitation:
This judgment decides the legality of appointing an Advocate Commissioner for taking possession pursuant to Section 14. It does not remove the statutory requirements that the secured creditor must satisfy before the Magistrate can pass an order under Section 14.
The Supreme Court specifically noted that another issue concerning compliance with clauses (i) to (ix) of the proviso to Section 14(1) was to be considered separately in the connected matter.
Key Legal Principles (Kannada)
(a) SARFAESI Section 14 ಅಡಿಯಲ್ಲಿ ಕಾರ್ಯನಿರ್ವಹಿಸುವ CMM/DM secured assets ಮತ್ತು documentsಗಳ possession ಪಡೆಯಲು Advocate Commissionerನನ್ನು ನೇಮಿಸಬಹುದು.
Section 14(1) provisoನ clauses (i)ರಿಂದ (ix)ರ compliance ಕುರಿತು ಮತ್ತೊಂದು ಪ್ರಶ್ನೆಯನ್ನು connected matterನಲ್ಲಿ ಪ್ರತ್ಯೇಕವಾಗಿ ಪರಿಗಣಿಸಬೇಕೆಂದು Supreme Court ಸ್ಪಷ್ಟಪಡಿಸಿತ್ತು.
Summary (English)
1. Facts
NKGSB Cooperative Bank Limited was one of the secured creditors involved in the litigation.
The borrowers had obtained a loan against mortgage of immovable property. After default, the loan account was classified as an NPA and the Bank initiated proceedings under the SARFAESI Act.
The Bank issued a demand notice under Section 13(2) and subsequently took measures under Section 13(4).
When physical possession of the secured property was required, the Bank approached the Chief Metropolitan Magistrate/District Magistrate under Section 14 of the SARFAESI Act.
The CMM/DM appointed an Advocate Commissioner to take possession of the secured asset and documents and hand them over to the secured creditor.
The borrowers challenged the appointment of the Advocate Commissioner, contending that Section 14(1A) permitted the Magistrate to authorise only an "officer subordinate" to him and that an advocate was not such an officer.
The Bombay High Court accepted this objection and held that an advocate could not be appointed under Section 14(1A).
The Supreme Court considered the conflicting views of different High Courts and decided the issue authoritatively.
2. Legal Issue
The principal question was:
Whether a District Magistrate or Chief Metropolitan Magistrate, while exercising powers under Section 14(1A) of the SARFAESI Act, can appoint an Advocate Commissioner to take possession of secured assets and documents and forward them to the secured creditor.
3. Court's Decision
The Supreme Court held that the CMM/DM can appoint an Advocate Commissioner to take possession of the secured assets and documents pursuant to an order passed under Section 14(1) of the SARFAESI Act.
The Court rejected the Bombay High Court's contrary interpretation.
It held that an advocate is an officer of the court and, for the limited purpose of executing the Section 14 order, there is a legally recognised functional subordination between the Advocate Commissioner and the CMM/DM.
The Court therefore held that Section 14(1A) does not prevent the CMM/DM from appointing an advocate to execute the possession order.
The Bombay High Court judgment was declared not to be good law.
The Supreme Court upheld the contrary conclusions of the Kerala, Madras and Delhi High Courts on this specific question.
4. Court's Reasoning
The Court first examined the statutory scheme of Sections 13 and 14.
Section 13(4) permits the secured creditor to take measures for enforcement of the security interest.
Section 14 provides a mechanism through which the secured creditor can obtain the assistance of the CMM/DM for taking physical possession of the secured assets.
After the CMM/DM passes the appropriate order under Section 14(1), the actual taking of possession is essentially a ministerial step.
The Court observed that the CMM/DM may take possession personally or through an officer authorised under Section 14(1A).
The important question was the meaning of "officer subordinate to him".
The Court held that the expression cannot be restricted to a government employee working in the office of the CMM/DM.
An advocate appointed as a Commissioner is an officer of the court. The Court applied the concept of "functional subordination".
The Advocate Commissioner performs the ministerial task under the authority and control of the CMM/DM and does not independently adjudicate the rights of the borrower or secured creditor.
The Court also noted that no rule framed under the SARFAESI Act expressly prohibits appointment of an Advocate Commissioner for this purpose.
Therefore, there was no basis for excluding advocates from the scope of Section 14(1A).
The Court further emphasised that the purpose of SARFAESI is to facilitate expeditious enforcement of security interests and recovery of non-performing assets.
Requiring the already overburdened CMM/DM personally to take physical possession in every case would frustrate the statutory mechanism.
5. Relevance to Co-operative Banks
This judgment is especially valuable for co-operative banks because the appellant itself was NKGSB Cooperative Bank Limited.
It therefore provides a direct authority for a co-operative bank using SARFAESI Section 14 to obtain physical possession of secured property.
A borrower cannot successfully argue that an Advocate Commissioner appointed by the CMM/DM is inherently without jurisdiction merely because the Commissioner is not a regular government employee subordinate to the Magistrate.
The judgment is particularly relevant where:
- the co-operative bank has obtained a Section 14 order;
- the CMM/DM has appointed an Advocate Commissioner;
- physical possession of the secured property is required;
- the borrower challenges the Advocate Commissioner's authority;
- there is delay because the Magistrate's office lacks sufficient staff;
- the borrower files a writ petition challenging the appointment itself.
6. Practical Application
Suppose a co-operative bank obtains a valid Section 14 order from the CMM/DM for taking possession of a mortgaged property.
The CMM/DM appoints an advocate as Advocate Commissioner to visit the property, take physical possession, prepare the necessary possession documentation and hand over possession to the bank.
The borrower then argues:
"An advocate is not an officer subordinate to the CMM/DM. Therefore, the appointment is illegal."
NKGSB Cooperative Bank directly answers this objection.
The bank's lawyer can rely on Paras 42 and 44 to submit that an Advocate Commissioner has functional and legal subordination to the CMM/DM for execution of the Section 14 order and that the advocate acts only in implementation of the Magistrate's order.
The case is practically useful for:
1. Defending Section 14 possession proceedings.
2. Supporting appointment of an Advocate Commissioner.
3. Opposing borrower challenges to the Commissioner's authority.
4. Preventing unnecessary delay in obtaining physical possession.
5. Supporting execution of Section 14 orders where the Magistrate's own staff is insufficient.
6. Defending the jurisdiction of the CMM/DM in writ proceedings.
7. Explaining the distinction between adjudication and ministerial execution under Section 14.
An important practical point for the bank is that the Advocate Commissioner cannot independently decide disputed title, determine the amount legally due, or adjudicate the borrower's substantive objections. The Commissioner acts to execute the order already passed by the CMM/DM.
The bank must therefore ensure that its Section 14 application and supporting affidavit satisfy the statutory requirements, because this judgment validates the mode of execution; it does not cure defects in the underlying Section 14 application.
Summary (Kannada)
Magistrate "officer subordinate to him" ಅನ್ನು ಮಾತ್ರ authorise ಮಾಡಬಹುದು.
Advocate ಒಬ್ಬ "officer of the court" ಆಗಿದ್ದು, Section 14 order ಅನ್ನು execute ಮಾಡುವ ಸೀಮಿತ ಉದ್ದೇಶಕ್ಕಾಗಿ Advocate Commissioner ಮತ್ತು CMM/DM ನಡುವೆ legally recognised functional subordination ಇದೆ ಎಂದು Court ಹೇಳಿತು.
Bombay High Courtನ judgment ಅನ್ನು "not a good law" ಎಂದು ಘೋಷಿಸಲಾಯಿತು.
"Officer subordinate to him" ಎಂಬ ಪದಗಳ ಅರ್ಥವೇ ಮುಖ್ಯ ಪ್ರಶ್ನೆಯಾಗಿತ್ತು.
Advocate Commissioner ಒಬ್ಬ officer of the court ಆಗಿದ್ದಾನೆ.
- co-operative bank Section 14 order ಪಡೆದಿದ್ದರೆ;
- CMM/DM Advocate Commissioner ನೇಮಿಸಿದ್ದರೆ;
- secured propertyಯ physical possession ಪಡೆಯಬೇಕಿದ್ದರೆ;
- borrower Advocate Commissionerನ authority ಪ್ರಶ್ನಿಸಿದ್ದರೆ;
- Magistrate officeನಲ್ಲಿ ಸಾಕಷ್ಟು staff ಇಲ್ಲದ ಕಾರಣ delay ಆಗುತ್ತಿದ್ದರೆ;
- borrower appointment ವಿರುದ್ಧ writ petition ಸಲ್ಲಿಸಿದ್ದರೆ;
ಈ judgment ಬಹಳ ಉಪಯುಕ್ತವಾಗಿದೆ.
"Advocate CMM/DMನ subordinate officer ಅಲ್ಲ.
1. Section 14 possession proceedings defend
2. Advocate Commissioner appointment support
3. Commissionerನ authority ವಿರುದ್ಧ borrower objections oppose ಮಾಡಲು.
