Salil R. Uchill v. Vishu Kumar & Ors.
- Court: Supreme Court Of India
- Year: 2024
- Neutral citation: 2024 INSC 793
Key Legal Principles
The important principles are:
First, when an auction purchaser's money remains blocked for a prolonged period because an auction is subsequently set aside, compensation may be payable where the purchaser was not responsible for the situation.
Second, the statutory 5% compensation mechanism under Rule 38(4)(b) of the Karnataka Co-operative Societies Rules cannot be applied unless the conditions of that provision are actually satisfied.
Third, where the auction was conducted at the instance of the co-operative bank, the fact that the purchase money was temporarily held by the Recovery Officer does not necessarily remove the bank's liability to compensate the auction purchaser.
Fourth, in the peculiar facts of this case, the Supreme Court awarded 6% simple interest from the date of deposit until actual refund.
Key Legal Principles (Kannada)
Summary (English)
1. Facts
The 4th respondent was a co-operative bank. Respondent Nos. 1, 2, 5 and 6 had obtained a business loan of Rs.25 lakh from the co-operative bank, and Respondent Nos. 7 to 9 had guaranteed repayment.
After default, the co-operative bank initiated recovery proceedings before the Assistant Registrar of Co-operative Societies/Recovery Officer.
The dispute was decided in favour of the bank, and the bank was held entitled to Rs.21,92,942/- with further interest and costs.
During the recovery proceedings, the Recovery Officer issued a sale proclamation for the borrowers' property. The property was valued at Rs.80,67,500/- and the auction was fixed for 22 July 2019.
The appellant, Salil R. Uchill, offered the highest bid of Rs.81,20,000/-. He deposited the entire bid amount on 21 July 2019. A sale confirmation certificate was subsequently issued.
The borrowers later approached the Karnataka High Court and succeeded in getting the auction sale set aside. They deposited the amount due to the co-operative bank with the High Court.
The High Court directed the auction purchaser to be compensated by an additional 5% of the auction amount.
The auction purchaser challenged the adequacy of the compensation before the Supreme Court.
2. Legal Issue
Whether the auction purchaser was entitled to interest on the auction amount of Rs.81,20,000/- from the date of deposit until its actual refund when the auction was subsequently set aside and the auction purchaser was deprived of the use of his money.
The Court also considered whether the High Court had a legal basis for awarding an additional 5% compensation under Rule 38(4) of the Karnataka Co-operative Societies Rules, 1960.
3. Court's Decision
The Supreme Court modified the High Court's orders.
It held that the auction purchaser was entitled to compensation because he had been deprived of the use of Rs.81,20,000/- from 21 July 2019 until its actual refund, through no fault of his own.
The Court directed the 4th respondent co-operative bank to pay simple interest at 6% per annum on Rs.81,20,000/- from 21 July 2019 until the date of actual refund.
The Supreme Court also set aside the High Court's direction requiring payment of an additional 5% of the auction amount because Rule 38(4)(b) did not apply on the facts of the case.
4. Court's Reasoning
The High Court had relied upon Rule 38(4)(b), which provides a specific mechanism where the owner of property sold in auction applies within 30 days from the date of sale and deposits the arrears specified in the sale proclamation.
In that situation, the Recovery Officer can set aside the sale and refund the purchase money to the auction purchaser together with 5% of the amount deposited by the person seeking to set aside the sale.
However, in this case, the borrowers had not applied for setting aside the auction within the 30-day period contemplated by that provision.
Therefore, Rule 38(4)(b) itself did not provide the legal basis for awarding 5% compensation.
Nevertheless, the Supreme Court noted that the auction purchaser had paid Rs.81,20,000/- and was deprived of its use for several years.
The auction had been conducted at the instance of the co-operative bank. The bank had not challenged the High Court's finding that the auction purchaser should be compensated.
The Court therefore held that, in the peculiar circumstances, the auction purchaser was entitled to interest as compensation.
Importantly, the Court held that the fact that the auction amount remained with the Recovery Officer for a substantial period did not absolve the co-operative bank of liability, because the auction had been conducted at the bank's instance.
5. Relevance to Co-operative Banks
This judgment is directly relevant to co-operative banks in Karnataka because the lending bank itself was a co-operative bank and the recovery was conducted through the machinery under the Karnataka Co-operative Societies law.
It is particularly important for:
• recovery officers;
• auction of secured/recovery properties;
• auction purchasers;
• cancellation or setting aside of auction sales;
• refund of auction consideration;
• compensation claims by auction purchasers; and
• litigation arising from failed or subsequently cancelled recovery auctions.
The case demonstrates that the financial consequences of an unsuccessful or subsequently reversed auction can extend beyond merely refunding the auction purchaser's principal amount.
6. Practical Application
For a co-operative bank conducting recovery auctions under the Karnataka Co-operative Societies Act, the recovery department should:
(a) maintain complete records of the auction proclamation;
(b) verify compliance with the applicable statutory auction procedure;
(c) record the date and amount of every payment made by the auction purchaser;
(d) promptly deal with any challenge to the auction;
(e) if an auction is set aside, arrange refund of the auction purchaser's money without unnecessary delay;
(f) determine whether any statutory compensation provision such as Rule 38(4)(b) is actually attracted before making or resisting a compensation claim; and
(g) recognise that prolonged retention of the auction purchaser's money can create an additional financial liability where the purchaser was not responsible for the delay.
For a co-operative bank lawyer, this case is especially useful when defending or assessing a claim for interest/compensation by an auction purchaser after a recovery auction has been set aside.
Summary (Kannada)
ಸಾಲಗಾರರು default ಮಾಡಿದ ನಂತರ ಸಹಕಾರಿ ಬ್ಯಾಂಕ್ Assistant Registrar of Co-operative Societies/Recovery Officer ಮುಂದೆ recovery proceedings ಆರಂಭಿಸಿತು.
High Court Rule 38(4)(b)
• Recovery Officer;
• recovery property auction;
• auction purchaser;
• auction sale cancellation/set aside;
• auction consideration refund;
(a) sale proclamation ಗೆ ಸಂಬಂಧಿಸಿದ ಸಂಪೂರ್ಣ ದಾಖಲೆಗಳನ್ನು ಸಂರಕ್ಷಿಸಬೇಕು;
(b) ಅನ್ವಯಿಸುವ statutory auction procedure ಅನ್ನು ಸರಿಯಾಗಿ ಪಾಲಿಸಲಾಗಿದೆ ಎಂಬುದನ್ನು ಪರಿಶೀಲಿಸಬೇಕು;
(c) auction purchaser ಮಾಡಿದ ಪ್ರತಿಯೊಂದು payment ನ ದಿನಾಂಕ ಮತ್ತು ಮೊತ್ತವನ್ನು ದಾಖಲಿಸಬೇಕು;
(d) auction ವಿರುದ್ಧ ಯಾವುದೇ challenge ಬಂದರೆ ತಕ್ಷಣ ಕ್ರಮ ಕೈಗೊಳ್ಳಬೇಕು;
(e) auction set aside ಆದರೆ auction purchaserನ ಹಣವನ್ನು ಅನಗತ್ಯ ವಿಳಂಬವಿಲ್ಲದೆ refund ಮಾಡಲು ಕ್ರಮ ಕೈಗೊಳ್ಳಬೇಕು;
