Sesh Nath Singh & Anr. v. Baidyabati Sheoraphuli Co-operative Bank Ltd. & Anr.

  • Court: Supreme Court Of India
  • Year: 2021
  • Neutral citation: 2021 INSC 199

Key Legal Principles

The important principles established are:

(a) Section 238A of the IBC makes the Limitation Act applicable to IBC proceedings to the extent feasible.

(b) Section 14 of the Limitation Act applies to applications under Section 7 and Section 9 of the IBC.

(c) Bona fide and diligently pursued SARFAESI proceedings can qualify for exclusion of time under Section 14 while computing limitation for an IBC application.

(d) SARFAESI proceedings are civil proceedings for the purpose of applying Section 14 in this context.

(e) Earlier proceedings need not necessarily have formally terminated before Section 14 can operate; the provision must be read as a whole.

(f) Section 18 of the Limitation Act can also apply to IBC proceedings. A written and signed acknowledgment of a subsisting liability made before expiry of limitation can commence a fresh limitation period.

The protection is subject to the statutory requirements of Section 14 or Section 18. It does not permit a creditor to revive an otherwise permanently time-barred debt merely by relying upon old or irrelevant proceedings.

Key Legal Principles (Kannada)

(a) IBC Section 238A, ಸಾಧ್ಯವಾದ ಮಟ್ಟಿಗೆ Limitation Act ಅನ್ನು IBC proceedings ಗೆ ಅನ್ವಯಿಸುತ್ತದೆ.

Summary (English)

1. Facts

Debi Fabtech Private Limited obtained a cash-credit facility of Rs.1 crore from Baidyabati Sheoraphuli Co-operative Bank Ltd. in February 2012.

The borrower defaulted and the account was classified as an NPA on 31 March 2013.

The co-operative bank initiated proceedings under the SARFAESI Act by issuing a demand notice under Section 13(2) on 18 January 2014. It subsequently proceeded under Section 13(4) and took steps for possession of the secured assets.

The borrower challenged the SARFAESI proceedings before the Calcutta High Court. On 24 July 2017, the High Court passed an interim order restraining the co-operative bank from proceeding under SARFAESI, on the prima facie view that a co-operative bank could not invoke SARFAESI.

While the SARFAESI proceedings remained stayed, the co-operative bank filed an application under Section 7 of the IBC before the NCLT on 10 July 2018, seeking commencement of CIRP against the corporate debtor.

The corporate debtor subsequently argued before the NCLAT that the Section 7 application was barred by limitation because more than three years had elapsed from the NPA date.

The NCLAT rejected that objection and held that the bank was entitled to exclusion of the period spent bona fide pursuing SARFAESI proceedings under Section 14 of the Limitation Act.

The matter ultimately reached the Supreme Court.

2. Legal Issue

The principal issue was whether the period spent by a financial creditor bona fide pursuing proceedings under the SARFAESI Act could be excluded under Section 14 of the Limitation Act while calculating limitation for a subsequent application under Section 7 of the IBC.

The Court also considered:

- Whether Section 14 of the Limitation Act applies to IBC proceedings through Section 238A of the IBC;

- Whether SARFAESI proceedings constitute "civil proceedings" for this purpose;

- Whether the benefit of Section 14 can be claimed even though the earlier proceedings had not formally ended but were stayed by a court; and

- Whether Section 18 of the Limitation Act can apply to IBC proceedings where there is a valid acknowledgment of debt.

3. Court's Decision

The Supreme Court dismissed the appeal and upheld the admission of the Section 7 IBC proceedings.

The Court held that Section 14 of the Limitation Act applies to proceedings under Section 7 of the IBC.

It further held that proceedings under the SARFAESI Act are civil proceedings for the purposes of Section 14.

Therefore, where a financial creditor has bona fide and with due diligence pursued SARFAESI proceedings and is prevented from continuing those proceedings because the forum is unable to entertain them on account of jurisdictional or similar reasons, the qualifying period can be excluded while calculating limitation for an IBC application.

The Court also held that Section 14 does not necessarily require the earlier proceedings to have formally terminated before its principle can operate.

In the particular facts, the SARFAESI proceedings had been stayed by the High Court while the writ petition remained pending. The Court held that the relevant period could be excluded and that the Section 7 application was within limitation.

The Court further held that Section 18 of the Limitation Act is also applicable to IBC proceedings, subject to its statutory requirements. An acknowledgment of a subsisting liability made in writing and signed before expiry of limitation can give rise to a fresh period of limitation.

4. Court's Reasoning

Section 238A of the IBC makes the provisions of the Limitation Act applicable to proceedings before the NCLT and NCLAT "as far as may be".

The Court held that there was no provision in the IBC excluding Sections 14 or 18 of the Limitation Act.

Consequently, Section 14 can apply to an application under Section 7 or Section 9 of the IBC.

The Court explained that Section 14 is intended to protect a litigant who has honestly and diligently pursued a remedy in a forum that could not ultimately entertain the matter because of a jurisdictional defect or a similar cause.

The essential requirements include:

- prosecution of the earlier proceeding with due diligence;

- good faith;

- the earlier and subsequent proceedings relating to the same matter/relief in the manner required by Section 14; and

- the earlier forum being unable to entertain the proceeding because of want of jurisdiction or another cause of like nature.

The Court rejected the argument that SARFAESI proceedings cannot qualify merely because they are conducted under a specialised statutory mechanism rather than in an ordinary civil court.

The SARFAESI Act provides a statutory right and remedy concerning civil rights relating to secured debts. Further, measures under Section 13(4) are subject to challenge before the DRT under Section 17.

The Court therefore held that SARFAESI proceedings are civil proceedings for the purpose under consideration.

Importantly, the Court also held that Section 14 cannot be interpreted in an unnecessarily technical manner. The fact that earlier proceedings remain pending but have been stayed does not automatically prevent exclusion of the qualifying period.

However, the exclusion is not unlimited. The creditor must satisfy the requirements of Section 14. Frivolous, negligent or mala fide proceedings cannot be used to indefinitely extend limitation.

The Court also clarified that Section 14 is different from condonation of delay under Section 5. Section 14 excludes qualifying time from the computation of limitation; it is not merely an application seeking discretionary condonation of delay.

5. Relevance to Co-operative Banks

This is particularly valuable for co-operative banks because the financial creditor itself in this case was a co-operative bank.

The case demonstrates a practical situation in which a co-operative bank:

1. sanctioned a loan;

2. classified the account as NPA;

3. initiated SARFAESI proceedings;

4. faced a High Court challenge to its SARFAESI authority;

5. had its SARFAESI proceedings stayed; and

6. subsequently invoked Section 7 of the IBC.

The judgment therefore provides direct guidance for a co-operative bank that is pursuing more than one statutory recovery mechanism.

It is particularly useful where a borrower argues that an IBC application is time-barred because three years have elapsed from the NPA/default.

The bank can examine whether the requirements of Section 14 are satisfied in respect of earlier bona fide proceedings.

The judgment is also useful where the bank possesses written acknowledgment documents, because the Court expressly recognised the applicability of Section 18 of the Limitation Act to IBC proceedings.

6. Practical Application

A lawyer representing a co-operative bank can practically use this judgment in the following manner.

First, when preparing a Section 7 IBC application, the lawyer should carefully prepare a chronology showing:

- date of sanction;

- date of default;

- date of NPA;

- SARFAESI notice under Section 13(2);

- Section 13(4) measures;

- possession proceedings;

- any writ petition or DRT proceedings;

- date of stay/order affecting the recovery proceedings;

- acknowledgments of debt; and

- date of filing of the IBC application.

Second, if limitation is challenged, the bank can invoke Section 14 where the earlier proceedings satisfy its requirements.

Third, if the borrower argues that SARFAESI proceedings cannot be counted for Section 14 because they are not ordinary civil suits, this judgment directly addresses that argument.

Fourth, where the borrower has signed a valid acknowledgment of subsisting liability before expiry of limitation, Section 18 can be examined to determine whether a fresh limitation period commenced.

Fifth, the judgment is useful in cases where a co-operative bank was prevented from proceeding under SARFAESI because of a court order or jurisdictional objection and subsequently chooses the IBC route.

Important limitation:

This judgment does NOT mean that every period spent in SARFAESI proceedings will automatically be excluded. The bank must establish the statutory requirements of Section 14, including good faith, due diligence, the relevant connection between the proceedings and the subsequent remedy, and the jurisdictional or similar defect contemplated by the provision.

Likewise, Section 18 requires a legally sufficient acknowledgment of liability made before the limitation period expires.

The practical lesson is that a co-operative bank should maintain a complete recovery chronology and preserve all SARFAESI orders, notices, acknowledgments and other limitation-related documents because they can become important when the bank later initiates proceedings under the IBC.

- ಮಾನ್ಯವಾದ acknowledgment of debt ಇದ್ದಲ್ಲಿ Limitation Act ನ Section 18 IBC proceedings ಗೆ ಅನ್ವಯಿಸಬಹುದೇ?

IBC Section 238A, Limitation Act ನ provisions ಅನ್ನು NCLT ಮತ್ತು NCLAT ಮುಂದೆ ನಡೆಯುವ proceedings ಗೆ “as far as may be” ಅನ್ವಯಿಸುತ್ತದೆ.

- ಹಿಂದಿನ proceedings ಅನ್ನು due diligence ನೊಂದಿಗೆ ನಡೆಸಿರಬೇಕು;

- proceedings ಅನ್ನು good faith ನಲ್ಲಿ ನಡೆಸಿರಬೇಕು;

SARFAESI Act, secured debts ಗೆ ಸಂಬಂಧಿಸಿದ civil rights ಕುರಿತು statutory right ಮತ್ತು remedy ಒದಗಿಸುತ್ತದೆ.

Creditor Section 14

5. Co-operative Banks

1. Co-operative Bank ಸಾಲವನ್ನು sanction ಮಾಡಿತು;

2. ಖಾತೆಯನ್ನು NPA ಎಂದು ವರ್ಗೀಕರಿಸಿತು;

3. SARFAESI proceedings ಪ್ರಾರಂಭಿಸಿತು;

4. Bank ಗೆ SARFAESI ಅಧಿಕಾರವಿದೆಯೇ ಎಂಬುದನ್ನು Borrower High Court ನಲ್ಲಿ challenge ಮಾಡಿದನು;

- ಸಾಲ sanction ಮಾಡಿದ ದಿನಾಂಕ;

- default ಆದ ದಿನಾಂಕ;

- NPA ದಿನಾಂಕ;

- SARFAESI Section 13(2) notice ದಿನಾಂಕ;

- Section 13(4) ಅಡಿಯಲ್ಲಿ ಕೈಗೊಂಡ ಕ್ರಮಗಳು;

- possession proceedings;

- ಯಾವುದೇ writ petition ಅಥವಾ DRT proceedings;

- recovery proceedings ಮೇಲೆ ಪರಿಣಾಮ ಬೀರಿದ stay/order ದಿನಾಂಕ;

- debt acknowledgments;

- IBC application

Bank Section 14

- good faith;

- due diligence;
