Shri Shri Swami Samarth Construction & Finance Solution & Anr. v. The Board of Directors of NKGSB Co-operative Bank Ltd. & Ors.
- Court: Supreme Court Of India
- Year: 2025
- Neutral citation: 2025 INSC 908
Key Legal Principles
The important principle is:
An MSME borrower's account is not automatically immune from NPA classification or Section 13(2) SARFAESI proceedings merely because the lending bank did not independently identify "incipient stress" under the 2015 MSME Framework.
However, once the MSME borrower responds to the Section 13(2) notice by asserting its MSME status and claiming the Framework's benefit with reasons supported by an affidavit, the secured creditor must examine that claim.
If the claim is deserving, further SARFAESI action must be kept in abeyance and the Framework for revival and rehabilitation must be followed.
Key Legal Principles (Kannada)
Summary (English)
1. Facts
The petitioning enterprise was an MSME which had obtained a loan from NKGSB Co-operative Bank Ltd.
The borrower failed to repay the loan and its account was classified as an NPA.
The Bank issued a demand notice dated 13 May 2024 under Section 13(2) of the SARFAESI Act requiring repayment within 60 days.
The Bank subsequently initiated proceedings under Section 14 of the SARFAESI Act for obtaining assistance in taking possession of the secured asset. A Court Commissioner was appointed by the Magistrate on 3 April 2025 and communicated the order to the borrower on 18 June 2025.
The borrower then approached the Supreme Court directly under Article 32, contending that the Bank could not classify its account as NPA or proceed under SARFAESI without first identifying "incipient stress" under the Government's 29 May 2015 Framework for Revival and Rehabilitation of MSMEs.
Importantly, the borrower had not asserted its MSME status or claimed the benefit of the Framework in response to the Section 13(2) demand notice.
2. Legal Issue
Whether a lending bank is prohibited from classifying an MSME borrower's account as NPA and issuing a Section 13(2) SARFAESI notice merely because the bank had not independently identified "incipient stress" under the 2015 MSME Framework.
A connected issue was whether the MSME borrower itself has an obligation to invoke the Framework and claim its benefits.
3. Court's Decision
The Supreme Court dismissed the writ petition.
The Court held that the 2015 Framework must be read harmoniously.
A lending bank is not prohibited from classifying a defaulting MSME account as NPA and issuing a Section 13(2) SARFAESI demand notice merely because the bank had not first independently identified incipient stress, provided the bank has no conscious knowledge that the defaulting borrower is an MSME requiring the Framework's protection.
However, if the borrower, in its response to the Section 13(2) notice under Section 13(3-A), asserts that it is an MSME and claims the benefit of the Framework, supported by reasons and an affidavit, the bank is then mandatorily required to examine the claim.
If the claim is found deserving under the Framework, the bank must keep further SARFAESI action in abeyance and act according to the Framework for revival and rehabilitation.
The petition was dismissed, with liberty to the borrower to pursue the statutory remedy under Section 17 of the SARFAESI Act.
4. Court's Reasoning
The Court examined the Framework as a whole rather than treating "Identification by Banks or Creditors" as imposing an unconditional obligation upon banks in every case.
The Framework also contains provisions for "Identification by the Enterprise". An MSME may voluntarily initiate the process when it reasonably apprehends business failure or inability/likely inability to pay its debts and the prescribed conditions relating to accumulated losses are satisfied.
The Court held that the borrower's obligation does not end with identifying itself as an MSME. The application has to be verified by an affidavit of an authorised person.
Once the borrower makes such a request, the lending bank/secured creditor is mandatorily required to proceed under the Framework and constitute the appropriate committee to identify incipient stress.
The Court rejected an interpretation under which every bank would automatically have to investigate every defaulting borrower to determine whether it is an MSME and whether its business is under stress before classifying the account as NPA.
Such an interpretation would make the borrower's own obligations under the Framework redundant.
The Court therefore adopted a harmonious interpretation protecting the rights of eligible MSMEs without making SARFAESI enforcement impossible whenever the borrower later claims MSME status.
5. Relevance to Co-operative Banks
This is directly relevant to co-operative banks because NKGSB Co-operative Bank Ltd. was the secured creditor.
Many co-operative banks have MSME borrowers whose accounts may become stressed and subsequently NPA.
The judgment clarifies an important operational point:
The bank does not have to assume that every defaulting borrower is entitled to automatic protection under the 2015 MSME Framework.
At the same time, once the borrower properly invokes the Framework in response to the Section 13(2) notice, the bank cannot simply ignore the request and continue SARFAESI proceedings without examining it.
6. Practical Application
For a co-operative bank's legal/recovery department, when issuing a Section 13(2) notice to a borrower that may be an MSME, the bank should carefully preserve:
• the borrower's MSME/Udyam or other eligibility documents available to the bank;
• the Section 13(2) notice;
• the borrower's Section 13(3-A) representation;
• any assertion of MSME status;
• any request for benefit under the 2015 Framework;
• supporting affidavit and documents supplied by the borrower;
• the bank's consideration of the representation; and
• the decision regarding continuation or keeping in abeyance of SARFAESI proceedings.
If the borrower raises the MSME Framework issue only after substantial SARFAESI proceedings have progressed, the bank should examine the timing and the statutory requirements carefully.
The judgment is particularly useful because it prevents the 2015 MSME Framework from being treated either as an automatic bar to SARFAESI enforcement or as a provision that a bank may simply disregard after a borrower properly invokes it.
Summary (Kannada)
Frameworkನಲ್ಲಿ "Identification by Banks or Creditors" ಎಂಬುದನ್ನು ಪ್ರತ್ಯೇಕವಾಗಿ ಓದಿ, ಪ್ರತಿಯೊಂದು ಪ್ರಕರಣದಲ್ಲೂ ಬ್ಯಾಂಕ್ಗೆ unconditional obligation ಇದೆ ಎಂದು ಪರಿಗಣಿಸಲು ಸಾಧ್ಯವಿಲ್ಲ ಎಂದು ನ್ಯಾಯಾಲಯ ಹೇಳಿತು.
Frameworkನಲ್ಲಿ "Identification by the Enterprise" ಎಂಬ ವ್ಯವಸ್ಥೆಯೂ ಇದೆ.
• borrowerನ MSME/Udyam ಅಥವಾ ಇತರ eligibility ದಾಖಲೆಗಳು;
• Section 13(2) notice;
• borrowerನ Section 13(3-A) representation;
• MSME status ಕುರಿತು borrowerನ assertion;
• 2015ರ Framework ಅಡಿಯಲ್ಲಿ benefit ಕೇಳಿರುವ request;
• supporting affidavit ಮತ್ತು ದಾಖಲೆಗಳು;
