Standard Chartered Bank v. V. Noble Kumar & Ors.
- Court: Supreme Court Of India
- Year: 2013
- Neutral citation: 2013 INSC 557
Key Legal Principles
The principal legal principle is:
A secured creditor need not first attempt to take possession of the secured asset under Section 13(4) before invoking Section 14 of the SARFAESI Act.
Section 14 is an independent statutory mechanism for obtaining possession through the Chief Metropolitan Magistrate or District Magistrate.
Rule 8 of the Security Interest (Enforcement) Rules does not require a secured creditor to complete the Rule 8 procedure before approaching the Magistrate under Section 14.
The borrower retains the remedy under Section 17 before the DRT against the SARFAESI measure.
This is an important procedural principle because it gives the secured creditor a choice in the manner in which possession is obtained.
Key Legal Principles (Kannada)
Summary (English)
1. Facts
The first respondent was a guarantor for a loan transaction in which the second respondent was the borrower. The guarantor had created a mortgage over his land and building as security for the loan.
After default, the secured creditor issued a demand notice under Section 13(2) of the SARFAESI Act requiring payment within 60 days.
The borrowers and guarantor failed to discharge the liability.
Instead of first attempting to take possession of the secured asset itself under Section 13(4), the bank directly approached the Chief Judicial Magistrate under Section 14 of the SARFAESI Act.
The Chief Judicial Magistrate appointed an Advocate Commissioner to take possession of the secured asset and hand it over to the bank.
The borrower/guarantor challenged the action before the High Court under Article 226 of the Constitution.
The principal question before the Supreme Court was whether a secured creditor must first attempt to take possession under Section 13(4) before approaching the Magistrate under Section 14.
2. Legal Issue
The principal legal issue was:
Whether a secured creditor is required to first invoke Section 13(4) and attempt to take possession of the secured asset itself before it can invoke Section 14 of the SARFAESI Act and request the Magistrate to take possession.
The Court also considered:
- Whether Section 14 is an independent method of obtaining possession;
- Whether Rule 8 of the Security Interest (Enforcement) Rules must be followed before invoking Section 14; and
- Whether the borrower retains the statutory remedy under Section 17 after possession is taken through the Magistrate.
3. Court's Decision
The Supreme Court allowed the appeals.
It held that a secured creditor is NOT required to first take possession of the secured asset under Section 13(4) before approaching the Magistrate under Section 14.
Section 14 provides an independent statutory mechanism through which the secured creditor can obtain assistance for taking possession of the secured asset.
The Court identified three possible situations for obtaining possession:
1. The secured creditor takes possession itself under Section 13(4) where there is no resistance.
2. Where possession is resisted, the secured creditor can invoke Section 14 and seek the assistance of the Magistrate.
3. The secured creditor may directly invoke Section 14 without first attempting to take possession itself under Section 13(4).
The Court further held that Rule 8 of the Security Interest (Enforcement) Rules applies when possession is taken directly by the secured creditor. It does not require the secured creditor to first complete the Rule 8 procedure before approaching the Magistrate under Section 14.
The borrower nevertheless has the statutory remedy under Section 17 before the DRT after possession is taken through the Magistrate under Section 14.
4. Court's Reasoning
The Court examined the scheme of Sections 13, 14 and 17 of the SARFAESI Act.
Section 13(4) permits a secured creditor to take possession of the secured assets upon the borrower's failure to discharge the liability after receipt of the Section 13(2) notice.
Section 14 separately provides a mechanism through which the Chief Metropolitan Magistrate or District Magistrate assists the secured creditor in obtaining possession.
The Court found nothing in Section 14 requiring the secured creditor to first exhaust the remedy under Section 13(4).
The two provisions therefore provide different methods for achieving the same statutory objective: obtaining possession of secured assets for enforcement of the security interest.
The Court also distinguished the procedure applicable when the secured creditor itself takes possession from the procedure where the Magistrate exercises power under Section 14.
Rule 8 primarily regulates possession taken by the secured creditor without intervention of the Magistrate. Where the Magistrate acts under Section 14, the procedure is governed by Section 14 and the applicable procedural requirements.
The Court also considered the relationship between Section 14 and Section 17.
The fact that possession is obtained through the Magistrate does not deprive the borrower of the statutory remedy before the DRT. The borrower can challenge the SARFAESI measure under Section 17.
Thus, Section 14 does not remove the borrower's statutory remedy. It provides the secured creditor with a mechanism for obtaining actual possession.
5. Relevance to Co-operative Banks
This judgment is highly useful to a co-operative bank undertaking SARFAESI recovery.
Once a co-operative bank is legally entitled to invoke SARFAESI, this judgment provides important guidance on how it can obtain actual possession of secured property.
A co-operative bank does not necessarily have to first attempt physical possession itself and wait for resistance before approaching the Magistrate.
Where appropriate, it can invoke Section 14 and seek assistance of the competent Magistrate for taking possession.
This is particularly useful where:
- the secured property is occupied by the borrower;
- the borrower refuses to hand over possession;
- there is apprehension of resistance;
- the bank wants possession to be taken with official assistance; or
- direct possession by the authorised officer may create practical difficulties.
6. Practical Application
A lawyer representing a co-operative bank can use this judgment while preparing a Section 14 application.
The application should properly establish the statutory requirements under Section 14 and contain the necessary supporting documents, including the security documents, Section 13(2) demand notice, details of default and the affidavit/declaration required by the statute.
The bank can rely upon this judgment if the borrower argues:
"You cannot approach the Magistrate under Section 14 because you have not first taken possession under Section 13(4)."
That objection is directly answered by this Supreme Court judgment.
The judgment also assists the bank in distinguishing between:
- possession taken directly by the authorised officer; and
- possession obtained through the Magistrate under Section 14.
However, the bank must still comply with Section 14 and all applicable SARFAESI requirements.
This judgment does not dispense with the need to establish a valid security interest, default, issuance of the statutory demand notice, expiry of the prescribed period and other statutory requirements.
The practical lesson is:
A co-operative bank that is legally entitled to invoke SARFAESI can choose the Section 14 route for obtaining possession and does not have to first make an unsuccessful attempt to obtain possession under Section 13(4).
Summary (Kannada)
- Section 14 possession ಪಡೆಯಲು ಸ್ವತಂತ್ರವಾದ statutory mechanism ಆಗಿದೆಯೇ;
- secured property borrower ನ possession ನಲ್ಲಿ ಇದ್ದರೆ;
- borrower possession ಹಸ್ತಾಂತರಿಸಲು ನಿರಾಕರಿಸಿದರೆ;
- resistance ಉಂಟಾಗುವ ಸಾಧ್ಯತೆ ಇದ್ದರೆ;
Borrower
