The Bijnor Urban Cooperative Bank Limited, Bijnor & Ors. v. Meenal Agarwal & Ors.

  • Court: Supreme Court Of India
  • Year: 2021
  • Neutral citation: 2021 INSC 899

Key Legal Principles

The Supreme Court clarified:

An OTS Scheme does not create an absolute or vested right in every borrower to demand settlement of the loan for a reduced amount.

Grant of OTS benefit is subject to the eligibility conditions of the applicable OTS Scheme and guidelines.

A High Court exercising Article 226 jurisdiction should not issue a mandamus compelling a bank to grant OTS merely because the borrower requests it.

Where the bank, after proper consideration, concludes that the borrower is ineligible or that the bank can recover the entire dues through lawful recovery measures, including sale of secured property, the bank may refuse OTS.

The decision should remain within the bank's commercial decision-making, subject to applicable law and judicial review on legally recognised grounds.

Key Legal Principles (Kannada)

Summary (English)

1. Facts

The original writ petitioner had obtained a credit facility of approximately Rs. 1 crore from Bijnor Urban Cooperative Bank.

The loan account was subsequently classified as a Non-Performing Asset (NPA), and the Bank initiated recovery proceedings under the SARFAESI Act.

The borrower had two other loan accounts with the Bank which were being regularly serviced. However, with respect to the loan account involved in the dispute, no amount had been paid until the borrower sought the benefit of the Bank's One-Time Settlement (OTS) Scheme.

The Bank had issued an OTS Circular dated 01.08.2013 containing eligibility conditions. The OTS facility was subsequently extended up to 30.11.2019.

The borrower applied for OTS on 22.07.2019. The Bank rejected the application on 17.09.2019, stating, among other things, that the borrower was not eligible under the OTS Scheme, the account was an NPA, and the Bank had the possibility of recovering its dues by auctioning the mortgaged property.

The borrower approached the Allahabad High Court under Article 226. The High Court directed the Bank to positively consider the borrower's OTS application.

The Bank challenged that direction before the Supreme Court.

2. Legal Issue

The principal question was whether a borrower can claim the benefit of an OTS Scheme as a matter of right and whether a High Court, exercising jurisdiction under Article 226, can issue a writ of mandamus directing a bank to positively grant or consider OTS relief contrary to the Bank's assessment under the applicable scheme.

A further issue was whether the Bank could refuse OTS where, in its commercial assessment, it had a reasonable possibility of recovering the entire outstanding amount through recovery proceedings and/or sale of the secured property.

3. Court's Decision

The Supreme Court allowed the Bank's appeal and set aside the Allahabad High Court's order.

The Court held that the benefit of an OTS Scheme cannot be claimed as a matter of right. It is subject to the eligibility conditions contained in the particular OTS Scheme and applicable guidelines.

The Court further held that a High Court cannot ordinarily issue a writ of mandamus compelling a bank to grant OTS benefits to a borrower.

Where the Bank, after applying its mind, concludes that the borrower is not eligible under the OTS Scheme or that the Bank can recover the entire outstanding amount through appropriate recovery measures, including auction of secured property, the decision falls within the Bank's commercial decision-making.

The Supreme Court therefore held that the High Court had exceeded its jurisdiction by directing the Bank to positively grant/consider OTS relief.

4. Court's Reasoning

The Court examined the OTS guidelines applicable to the Bank.

The OTS Scheme itself contained eligibility requirements and excluded certain categories of defaulters. Therefore, a borrower could not treat the OTS Scheme as creating an independent and unconditional right to obtain a reduced settlement amount.

The Court also considered the fact that the Bank had initiated SARFAESI proceedings and that the secured property could potentially generate sufficient recovery.

The Supreme Court emphasised that a bank must take a conscious decision concerning whether accepting a reduced settlement is appropriate or whether it can recover the full amount through the secured asset.

The Court observed that the commercial decision belongs primarily to the Bank, subject to the applicable law, scheme and relevant judicial review principles.

Importantly, the Court did not hold that every OTS rejection by a bank is immune from judicial review. Rather, the Court held that a borrower cannot demand OTS as a matter of right and that a High Court should not ordinarily compel the Bank to accept a settlement merely because the borrower seeks a reduced liability.

The Court also found that the Bank had taken a conscious decision through its competent mechanism, including the Settlement Advisory Committee and the Board's decision, and that the High Court's conclusion that there was a violation of natural justice was factually incorrect.

5. Relevance to Co-operative Banks

This judgment is particularly valuable for co-operative banks because the appellant itself was a co-operative bank.

It therefore provides a direct Supreme Court authority concerning the ability of a co-operative bank to exercise commercial judgment while dealing with OTS applications from defaulting borrowers.

The judgment is useful when a borrower:

- demands OTS as an alleged legal right;

- approaches the High Court seeking a direction to accept a particular settlement amount;

- challenges rejection of an OTS application;

- seeks a writ of mandamus compelling the Bank to settle the account;

- argues that the Bank should accept a lesser amount merely because the borrower is willing to make immediate payment; or

- seeks to stop SARFAESI recovery proceedings solely because an OTS proposal has been submitted.

It is especially useful because the Court recognised that the Bank may consider whether the secured property provides a realistic possibility of recovering the entire dues.

6. Practical Application

A lawyer representing a co-operative bank can rely upon this judgment when resisting a borrower's writ petition seeking compulsory OTS relief.

For example, if a borrower owes Rs. 1 crore but proposes to settle the account for Rs. 50 lakhs and approaches the High Court seeking a direction to the co-operative bank to accept the proposal, the bank can rely upon this judgment to contend that:

(a) the borrower has no automatic right to OTS;

(b) eligibility must be determined according to the applicable OTS Scheme and guidelines;

(c) the Bank is entitled to examine the possibility of recovering the full dues through lawful recovery proceedings;

(d) the value and recoverability of the secured property can be relevant to the Bank's decision;

(e) the Bank can take a conscious commercial decision whether accepting a reduced settlement is appropriate; and

(f) the High Court should not ordinarily substitute its own commercial decision for that of the Bank by issuing a mandamus to grant OTS.

For the Bank's internal legal practice, the judgment also highlights the importance of maintaining a proper decision-making record.

An OTS rejection should therefore be supported, wherever applicable, by:

- the relevant OTS Scheme/guidelines;

- the borrower's eligibility position;

- details of the outstanding dues;

- status of the loan account/NPA classification;

- recovery proceedings already initiated;

- valuation and recoverability considerations concerning secured property;

- Settlement Advisory Committee proceedings/recommendations;

- competent authority/Board decision; and

- reasons for accepting or rejecting the proposal.

This is important because the Supreme Court's reasoning rests substantially on the Bank having taken a conscious decision after considering the relevant circumstances.

Therefore, the strongest practical use of this judgment is not merely to say "the Bank can reject OTS", but to demonstrate that the Bank considered the applicable scheme, eligibility, recoverability and other relevant circumstances and then took a reasoned commercial decision.

Summary (Kannada)

ಸಾಲಗಾರನು OTS Scheme ಅಡಿಯಲ್ಲಿ ಕಡಿಮೆ ಮೊತ್ತಕ್ಕೆ ಸಾಲವನ್ನು settle ಮಾಡಿಸಿಕೊಳ್ಳುವ ಹಕ್ಕನ್ನು as a matter of right ಎಂದು ಕೇಳಬಹುದೇ ಮತ್ತು Article 226 ಅಡಿಯಲ್ಲಿ High Court ಬ್ಯಾಂಕಿಗೆ OTS ನೀಡುವಂತೆ ಅಥವಾ positive ಆಗಿ ಪರಿಗಣಿಸುವಂತೆ writ of mandamus ನೀಡಬಹುದೇ ಎಂಬುದು ಪ್ರಮುಖ ಪ್ರಶ್ನೆಯಾಗಿತ್ತು.

OTS Scheme ಅಡಿಯಲ್ಲಿ benefit ಪಡೆಯುವುದು ಸಾಲಗಾರನ absolute ಅಥವಾ as a matter of right ಹಕ್ಕಲ್ಲ ಎಂದು ನ್ಯಾಯಾಲಯ ತಿಳಿಸಿತು.

ಬದಲಾಗಿ, ಸಾಲಗಾರನು OTS ಅನ್ನು as a matter of right ಆಗಿ ಕೇಳಲು ಸಾಧ್ಯವಿಲ್ಲ ಮತ್ತು ಕಡಿಮೆ ಮೊತ್ತಕ್ಕೆ settlement ಕೇಳಿದ್ದಾನೆ ಎಂಬ ಒಂದೇ ಕಾರಣದಿಂದ High Court ಬ್ಯಾಂಕನ್ನು OTS ಸ್ವೀಕರಿಸಲು compel ಮಾಡಬಾರದು ಎಂದು ನ್ಯಾಯಾಲಯ ಸ್ಪಷ್ಟಪಡಿಸಿತು.

- borrower OTS ಅನ್ನು ಕಾನೂನುಬದ್ಧ ಹಕ್ಕು ಎಂದು ಒತ್ತಾಯಿಸಿದಾಗ;

- ನಿರ್ದಿಷ್ಟ settlement amount ಸ್ವೀಕರಿಸುವಂತೆ High Court ನಲ್ಲಿ direction ಕೇಳಿದಾಗ;

- OTS rejection ಅನ್ನು challenge ಮಾಡಿದಾಗ;

- writ of mandamus ಮೂಲಕ loan account settle ಮಾಡುವಂತೆ ಬ್ಯಾಂಕನ್ನು compel ಮಾಡಲು ಪ್ರಯತ್ನಿಸಿದಾಗ;

(a) borrower ಗೆ OTS ಪಡೆಯುವ automatic right ಇಲ್ಲ;

(b) eligibility ಅನ್ನು ಅನ್ವಯವಾಗುವ OTS Scheme ಮತ್ತು guidelines ಪ್ರಕಾರ ನಿರ್ಧರಿಸಬೇಕು;

(c) lawful recovery proceedings ಮೂಲಕ ಸಂಪೂರ್ಣ dues recover ಮಾಡುವ ಸಾಧ್ಯತೆಯನ್ನು ಬ್ಯಾಂಕ್ ಪರಿಶೀಲಿಸಬಹುದು;

(d) secured property ಯ value ಮತ್ತು recoverability ಬ್ಯಾಂಕಿನ ನಿರ್ಧಾರದಲ್ಲಿ relevant factors ಆಗಿರಬಹುದು;

- ಸಂಬಂಧಿತ OTS Scheme/guidelines;

- borrower ನ eligibility status;

- outstanding dues ನ ವಿವರ;

- loan account/NPA status;

- ಈಗಾಗಲೇ ಪ್ರಾರಂಭಿಸಿರುವ recovery proceedings;

- secured property ಗೆ ಸಂಬಂಧಿಸಿದ valuation ಮತ್ತು recoverability considerations;

- Settlement Advisory Committee proceedings/recommendations;

- competent authority/Board decision; ಮತ್ತು

- OTS proposal
