A. Navinchandra Steel Private Limited & Anr. v. Board of Directors of Abhyudaya Co-operative Bank Limited & Ors.

  • Court: Bombay High Court
  • Year: 2026
  • Neutral citation: 2026:BHC-OS:4105

Key Legal Principles

For a multi-State co-operative bank:

1. Section 19(1A) of the RDB Act expressly permits the bank to choose the MSCS Act mechanism for recovery of debts from its members instead of proceeding under the RDB Act.

2. Section 84 of the MSCS Act can therefore provide a valid statutory arbitration mechanism for recovery of a debt due from a member.

3. Invocation of SARFAESI does not, by itself, bar simultaneous proceedings under Section 84 of the MSCS Act.

4. SARFAESI proceedings are primarily enforcement proceedings, whereas Section 84 arbitration is an adjudicatory mechanism.

5. The two statutory mechanisms can coexist unless an actual statutory conflict is demonstrated.

6. An arbitrator appointed under Section 84, read with Section 16 of the Arbitration and Conciliation Act, can determine the objection to its own jurisdiction.

Key Legal Principles (Kannada)

Multi-State co-operative bank

2. ಆದ್ದರಿಂದ MSCS Actನ Section 84 multi-State co-operative bankನ member ವಿರುದ್ಧ debt recoveryಗಾಗಿ valid statutory arbitration mechanism ಆಗಬಹುದು.

Summary (English)

1. Facts

The petitioners had availed financial assistance from Abhyudaya Co-operative Bank Limited, a multi-State co-operative bank.

The borrowers defaulted in repayment of the financial facilities.

The Bank invoked Section 84 of the Multi-State Co-operative Societies Act, 2002 (MSCS Act) and referred the disputes to statutory arbitration. Arbitrators appointed under Section 84 passed awards against the borrowers.

At the same time, the Bank also invoked the SARFAESI Act for enforcement of its security interest over the mortgaged property.

The borrowers challenged the arbitral awards before the Bombay High Court under Section 34 of the Arbitration and Conciliation Act.

Their principal argument was that recovery of bank dues was governed by the central RDB Act and SARFAESI Act and, therefore, the Bank could not invoke the arbitration mechanism under Section 84 of the MSCS Act.

They also argued that once SARFAESI proceedings had been initiated, the Bank should not simultaneously proceed under the MSCS Act.

2. Legal Issue

Whether a multi-State co-operative bank can invoke Section 84 of the Multi-State Co-operative Societies Act, 2002 to recover debts from its member through statutory arbitration, even though the RDB Act and SARFAESI Act provide separate recovery/enforcement mechanisms.

A connected issue was whether initiation of SARFAESI proceedings bars the Bank from simultaneously pursuing proceedings under Section 84 of the MSCS Act.

3. Court's Decision

The Bombay High Court dismissed both Section 34 petitions and upheld the arbitral awards.

The Court held that Section 19(1A) of the RDB Act expressly permits a multi-State co-operative bank to opt to initiate proceedings under the MSCS Act for recovery of debts instead of filing an application under the RDB Act.

Therefore, the RDB Act itself recognises the MSCS Act recovery mechanism.

The Court further held that the Bank's invocation of SARFAESI proceedings did not bar it from invoking Section 84 of the MSCS Act.

SARFAESI and the MSCS Act operate through different mechanisms and serve complementary purposes.

The Court also held that the statutory arbitrator appointed under Section 84 was competent to rule upon its own jurisdiction by virtue of Section 16 of the Arbitration and Conciliation Act.

4. Court's Reasoning

The Court first considered the constitutional and statutory position governing co-operative banks.

It referred to the Supreme Court's Constitution Bench decision in Pandurang Ganpati Chaugule v. Vishwasrao Patil Murgud Sahakari Bank Ltd. and noted that banking activities of co-operative banks fall within the Union legislative field relating to banking.

However, the Court emphasised that the RDB Act itself contains a specific provision dealing with multi-State co-operative banks.

Section 19(1A) expressly provides that a multi-State co-operative bank may, at its option, initiate proceedings under the MSCS Act to recover debts instead of making an application under the RDB Act.

Thus, the existence of the RDB Act does not exclude the statutory arbitration mechanism under Section 84 of the MSCS Act.

The Court further examined Sections 35 and 37 of the SARFAESI Act.

Section 37 makes SARFAESI additional to other laws, while Section 35 gives SARFAESI overriding effect only where there is an inconsistency.

The Court found no demonstrated conflict between Section 84 proceedings under the MSCS Act and SARFAESI enforcement proceedings.

The two mechanisms are different:

• Section 84 arbitration is an adjudicatory mechanism for determining disputes/debts between the multi-State co-operative society and its member.

• SARFAESI provides an enforcement mechanism for enforcing security interest without intervention of the Court or Tribunal.

Therefore, one mechanism does not automatically exclude the other.

The Court also noted that Section 84 contains a non-obstante clause and specifically treats a claim by a multi-State co-operative society for debt or demand due from a member as a dispute touching the business of the society.

Since the petitioners were members of the Bank, the dispute fell within Section 84.

5. Relevance to Co-operative Banks

This is particularly important for multi-State co-operative banks.

It clarifies that such a bank is not necessarily restricted to a single recovery route merely because the RDB Act and SARFAESI Act are available.

Where the borrower is a member of the multi-State co-operative bank, the bank may have the statutory option under Section 19(1A) of the RDB Act to use the MSCS Act mechanism for recovery.

At the same time, where the bank has enforceable security, SARFAESI proceedings may also be available for enforcement of that security.

The judgment therefore helps distinguish:

RECOVERY / ADJUDICATION

→ Section 84 MSCS Act

DEBT RECOVERY TRIBUNAL ROUTE

→ RDB Act

SECURITY ENFORCEMENT

→ SARFAESI Act

The existence of one mechanism does not automatically extinguish the others.

6. Practical Application

For a multi-State co-operative bank, when a member defaults on a loan, the legal department should first identify the nature of the proposed recovery action.

If the bank wants adjudication/recovery against a member through the statutory mechanism under the MSCS Act, Section 84 may be invoked, subject to the statutory requirements.

If the bank has a secured asset, SARFAESI may separately be used for enforcement of the security interest.

If proceedings are already pending before the RDB Tribunal, Section 19(1B) becomes relevant: withdrawal for shifting to the MSCS Act route requires the Tribunal's permission.

Therefore, the bank should carefully document:

• membership of the borrower;

• the loan and default;

• the statutory basis for Section 84 arbitration;

• the security documents;

• SARFAESI notices and measures; and

• any proceedings already instituted under the RDB Act.

The important limitation is that this judgment concerns a MULTI-STATE co-operative bank and disputes involving its members. It should not automatically be extended to every State-level co-operative bank or every recovery proceeding under a State co-operative societies statute.

Summary (Kannada)

ಸಾಲಗಾರರು Arbitration and Conciliation Act, 1996ರ Section 34 ಅಡಿಯಲ್ಲಿ Bombay High Courtನಲ್ಲಿ arbitral awards ಅನ್ನು ಪ್ರಶ್ನಿಸಿದರು.

Section 19(1A) ಪ್ರಕಾರ multi-State co-operative bank ತನ್ನ debt recoveryಗಾಗಿ RDB Act ಅಡಿಯಲ್ಲಿ application ಸಲ್ಲಿಸುವ ಬದಲು MSCS Act ಅಡಿಯಲ್ಲಿ proceedings ಆರಂಭಿಸಲು option ಹೊಂದಿದೆ.

Multi-State co-operative banks

ಸಾಲಗಾರನು multi-State co-operative bankನ member ಆಗಿದ್ದರೆ, RDB Act Section 19(1A) ಅಡಿಯಲ್ಲಿ MSCS Actನ recovery mechanism ಅನ್ನು ಬಳಸುವ statutory option ಬ್ಯಾಂಕಿಗೆ ಇರಬಹುದು.

RECOVERY / ADJUDICATION

→ MSCS Act Section 84

DEBT RECOVERY TRIBUNAL ROUTE

→ RDB Act

SECURITY ENFORCEMENT

→ SARFAESI Act

Multi-State co-operative bankನಲ್ಲಿ member ಒಬ್ಬರು loan default ಮಾಡಿದಾಗ, legal department ಮೊದಲು recovery actionನ ಸ್ವರೂಪವನ್ನು ಗುರುತಿಸಬೇಕು.

• borrowerನ membership;

• loan ಮತ್ತು default;

• Section 84 arbitrationಗೆ statutory basis;

• security documents;

• SARFAESI notices ಮತ್ತು measures;
