Smt. Aruna Ravi & Anr. v. The Chief Executive Officer, Tumkur Grain Merchants Co-operative Bank Ltd. & Ors.

  • Court: Karnataka High Court
  • Year: 2025
  • Neutral citation: 2025:KHC:29798

Key Legal Principles

A co-operative bank can proceed against the estate inherited by the legal heirs of a deceased partner for the firm's liability arising from acts of the firm during the deceased partner's lifetime.

However, the legal heirs do not become personally liable as partners merely because they inherited the deceased partner's estate.

Recovery against them is limited to the property of the deceased that has come into their hands; their independent personal properties cannot be attached merely on that basis.

Key Legal Principles (Kannada)

Summary (English)

1. Facts

The Tumkur Grain Merchants Co-operative Bank had advanced a pledge loan of ₹22,50,000 to M/s. Pushpak Motors against the pledge of 72 brand-new Yamaha motorcycles.

The loan subsequently became outstanding, and recovery proceedings were initiated for the principal/interest and penal interest. During the proceedings, one of the partners of the borrowing firm, Mr. S. Ravi, died.

The Bank sought recovery against his legal heirs on the basis that they had inherited the estate of the deceased partner. The legal heirs argued that they had neither borrowed the money nor stood as guarantors and therefore their personal properties could not be proceeded against. They also contended that the loan was secured by the pledged motorcycles.

The competent authority passed an award for ₹31,60,613/- with interest and penal interest against the petitioners and the other partner. The Karnataka Appellate Tribunal dismissed their appeal.

2. Legal Issue

Whether the legal heirs of a deceased partner of a borrowing partnership firm can be proceeded against for the firm's outstanding loan, and, if so, whether recovery can extend to their personal properties or only to the estate inherited from the deceased partner.

3. Court's Decision

The High Court held that the Bank was entitled to proceed against the legal heirs of the deceased partner, but only to the extent of the property of the deceased partner inherited by them.

The legal heirs could not be treated as partners of the firm merely because they were heirs of the deceased partner.

Consequently, the Bank could not proceed against the personal properties of the legal heirs beyond the assets inherited from the deceased partner.

4. Court's Reasoning

The Court relied upon Section 25 of the Indian Partnership Act, under which partners are liable for acts of the firm.

However, Section 35 provides an important limitation where a partner dies and the firm continues. The estate of the deceased partner remains liable only for acts of the firm done before the partner's death.

The Court therefore held that the liability of the deceased partner's estate survives, but that liability does not convert the legal heirs into partners or make their independent personal assets liable.

The Court also relied upon Rule 45 of the Karnataka Co-operative Societies Rules, 1960. Under that Rule, where a judgment-debtor dies, execution can proceed against the legal representative, but the legal representative's liability is restricted to the property of the deceased that has come into his or her hands.

5. Relevance to Co-operative Banks

This is particularly useful for co-operative banks because loans are frequently advanced to partnership firms and recovery proceedings may continue for years during which one or more partners may die.

The judgment gives a practical distinction between:

(a) liability of the borrowing firm;

(b) liability of the deceased partner's estate; and

(c) personal liability of the deceased partner's legal heirs.

A bank should therefore identify the estate actually inherited by the legal heirs before seeking recovery against them.

6. Practical Application

When a partner-borrower dies during recovery proceedings, a co-operative bank should:

1. Establish the firm's outstanding liability and the deceased partner's connection with the borrowing transaction.

2. Verify the partnership deed and whether the firm continued after the partner's death.

3. Identify the assets of the deceased partner that have actually devolved upon the legal heirs.

4. Bring the appropriate legal representatives on record in accordance with the applicable recovery procedure.

5. Seek recovery against the inherited estate rather than describing the heirs themselves as personally liable partners.

6. Avoid proceeding against the independent personal assets of the legal heirs unless there is a separate legal basis establishing such liability.

7. Maintain clear records regarding the deceased partner's estate, succession and the assets inherited by each legal heir.

Summary (Kannada)

(a) ಸಾಲ ಪಡೆದ ಸಂಸ್ಥೆಯ ಹೊಣೆಗಾರಿಕೆ;

2. Partnership Deed
