Contai Co-operative Bank Ltd. & Anr. v. Union of India & Ors.
- Court: Calcutta High Court
- Year: 2016
Key Legal Principles
A co-operative bank's statutory recovery remedy under the applicable State Co-operative Societies legislation is not automatically displaced merely because the amount recoverable exceeds the monetary threshold ordinarily associated with proceedings before the DRT.
Where the State Co-operative Societies Act provides a statutory adjudicatory/recovery mechanism, the precise scope of that mechanism and the applicability of central recovery legislation must be determined according to the governing statute and binding Supreme Court precedent.
Further, principles of CPC and res judicata may have practical application in statutory co-operative proceedings even though the CPC does not apply to them with full technical force.
Key Legal Principles (Kannada)
State Co-operative Societies Act
Summary (English)
1. Facts
Contai Co-operative Bank Ltd., a co-operative bank governed by the West Bengal Co-operative Societies Act, 1983, had advanced financial assistance to a borrower.
The borrower defaulted. The Bank initiated a statutory dispute/recovery proceeding before the competent co-operative forum under the West Bengal Co-operative Societies Act.
An appellate authority subsequently held that because the Bank's claim exceeded ₹10 lakh, the Bank was required to approach the Debts Recovery Tribunal under the Recovery of Debts Due to Banks and Financial Institutions Act, 1993.
The Bank challenged that finding before the Calcutta High Court.
The proceedings also raised questions concerning limitation, applicability of the CPC, res judicata and the ability of a borrower/respondent to raise a counterclaim in a statutory co-operative arbitration proceeding.
2. Legal Issue
The principal issue was whether a co-operative bank governed by the West Bengal Co-operative Societies Act, 1983 was required to approach the Debts Recovery Tribunal under the RDB Act for recovery of a debt exceeding ₹10 lakh, or whether it could use the recovery mechanism provided under the State Co-operative Societies Act.
The Court also considered:
(a) limitation for a money-recovery dispute under Section 95 of the 1983 Act;
(b) applicability of CPC principles to statutory co-operative arbitration;
(c) constructive res judicata; and
(d) whether a respondent could raise a counterclaim in the statutory proceeding.
3. Court's Decision
The High Court allowed the Bank's writ petitions.
Following the Supreme Court's decision in Greater Bombay Co-operative Bank Ltd. v. United Yarn Tex. Pvt. Ltd., the Court held that the RDB Act did not require the co-operative bank to approach the Debts Recovery Tribunal for recovery of its dues in the circumstances of the case.
The statutory recovery mechanism under the West Bengal Co-operative Societies Act remained available to the co-operative bank.
The Court further held that a money-recovery dispute was excluded from the specific limitation period contained in Section 95(2) of the State Act.
The Court also held that although the CPC did not apply with all its technical rigour to the statutory arbitration, its principles could apply where appropriate.
A respondent in such a statutory proceeding could raise a counterclaim, and the arbitrator had jurisdiction to adjudicate it.
4. Court's Reasoning
The Court relied heavily upon the Supreme Court's ruling in Greater Bombay Co-operative Bank Ltd. v. United Yarn Tex. Pvt. Ltd.
The Court held that the special statutory mechanism under the State Co-operative Societies Act could be used by the co-operative bank for recovery of its dues and that the RDB Act did not displace that mechanism in the circumstances considered.
On limitation, Section 95(2) prescribed a limitation period for disputes other than disputes relating to recovery of money. Therefore, the specific limitation period in Section 95(2) did not apply to the Bank's money-recovery claim. The Court also observed that the Limitation Act, 1963 remained relevant to the question of limitation.
On procedure, the Court held that statutory arbitration is not a regular civil suit, and the CPC does not apply in its entirety. Nevertheless, fundamental procedural principles reflected in the CPC may be applied where necessary.
Regarding res judicata, the Court found that the borrower had previously raised a counterclaim but had not pressed it before the competent authorities. The same claim could not subsequently be re-agitated in another proceeding between the same parties.
5. Relevance to Co-operative Banks
This judgment is useful when advising a co-operative bank on the correct recovery forum.
It demonstrates the importance of identifying:
(a) whether the bank is governed by a State Co-operative Societies Act or another statutory regime;
(b) what recovery forum that legislation provides;
(c) whether the RDB Act applies to the particular bank and transaction;
(d) the applicable limitation provision; and
(e) whether claims or counterclaims have already been raised and abandoned in earlier proceedings.
The judgment is also useful in litigation strategy because it shows that procedural objections concerning forum, limitation, counterclaim and res judicata can materially affect recovery proceedings.
6. Practical Application
A co-operative bank should, before filing recovery proceedings:
1. Identify the statutory status of the Bank and the legislation under which it is registered.
2. Identify the specific statutory provision providing the recovery forum.
3. Verify whether the RDB Act/DRT mechanism is actually applicable to the Bank and the particular claim.
4. Examine limitation under both the special co-operative legislation and the Limitation Act, wherever applicable.
5. Preserve all pleadings, awards, appeals and orders from earlier proceedings.
6. If a borrower has previously raised a counterclaim and abandoned or failed to press it, examine whether constructive res judicata can be invoked against a subsequent attempt to raise the same claim.
7. When conducting statutory arbitration, follow fundamental procedural fairness and relevant CPC principles even though the CPC may not technically apply in its entirety.
8. Clearly plead the jurisdictional basis for the chosen recovery forum so that the Bank's recovery proceeding is not unnecessarily delayed by a forum objection.

ಅಥವಾ State Co-operative Societies Act ಅಡಿಯಲ್ಲಿ ನೀಡಿರುವ recovery mechanism ಅನ್ನು ಬಳಸಬಹುದೇ?
(a) Section 95 ಅಡಿಯಲ್ಲಿ money-recovery disputeಗೆ limitation ಹೇಗೆ ಅನ್ವಯಿಸುತ್ತದೆ;
(b) statutory co-operative arbitrationಗೆ CPCಯ ತತ್ವಗಳು ಅನ್ವಯಿಸುತ್ತವೆಯೇ;
Calcutta High Court ಬ್ಯಾಂಕಿನ writ petitions ಅನ್ನು allow ಮಾಡಿತು.
Supreme Courtನ Greater Bombay Co-operative Bank Ltd. v. United Yarn Tex. Pvt.
ನ್ಯಾಯಾಲಯವು ಮುಖ್ಯವಾಗಿ Supreme Courtನ Greater Bombay Co-operative Bank Ltd. v. United Yarn Tex. Pvt.
State Co-operative Societies Act
(a) ಬ್ಯಾಂಕಿನ statutory status;
(b) ಬ್ಯಾಂಕಿಗೆ ಅನ್ವಯಿಸುವ Co-operative Societies Act;
(c) ಆ ಕಾಯ್ದೆಯಡಿ ಲಭ್ಯವಿರುವ recovery forum;
(d) RDB Act/DRT mechanism ಅನ್ವಯಿಸುತ್ತದೆಯೇ;
