M/s. Srimatha Mahilasahakari Bank Niyamitha v. Sri B.S. Manjunath

  • Court: Karnataka High Court
  • Year: 2026
  • Neutral citation: 2026:KHC:22967

Key Legal Principles

The important principles emerging from the judgment are:

(a) Once execution/issuance of a cheque is admitted or proved, Sections 118 and 139 of the Negotiable Instruments Act require the statutory presumptions to be drawn in favour of the holder.

(b) The presumption under Section 139 is rebuttable, but the accused must establish a credible and legally acceptable defence; mere denial is insufficient.

(c) A cheque issued by a guarantor towards discharge of a legally enforceable loan liability can attract Section 138 of the Negotiable Instruments Act.

(d) A security cheque is not automatically outside Section 138. If the underlying liability has become due and remains unpaid, presentation of such cheque can attract Section 138.

(e) Curable procedural defects concerning authorization of an officer of a co-operative bank should not ordinarily defeat substantive recovery rights when valid authorization is otherwise established.

Key Legal Principles (Kannada)

Summary (English)

1. Facts

M/s. Srimatha Mahilasahakari Bank Niyamitha, a co-operative bank registered under the Karnataka Co-operative Societies Act, sanctioned an overdraft facility of Rs.20,00,000/- to the principal borrower for purchase of vehicles.

The respondent stood as guarantor for the loan.

The borrower defaulted. The bank commenced recovery proceedings under Section 70 of the Karnataka Co-operative Societies Act before the Joint/Additional Registrar of Co-operative Societies.

During those proceedings, the respondent-guarantor appeared and undertook to repay the outstanding amount. He issued a cheque for Rs.15,14,180/- towards the outstanding liability.

The cheque was dishonoured for "funds insufficient". The bank issued the statutory notice under Section 138 of the Negotiable Instruments Act, but the respondent neither replied nor paid the amount.

The Trial Court acquitted the respondent, principally questioning the bank manager's authorization, the connection between the cheque and the guarantee liability, and the use of the cheque for repayment.

The co-operative bank appealed.

2. Legal Issue

Whether, when the guarantor admits/significantly does not dispute issuance of the cheque and the surrounding loan transaction, the statutory presumptions under Sections 118 and 139 of the Negotiable Instruments Act arise in favour of the co-operative bank.

Whether a cheque issued by a guarantor towards discharge of the borrower's loan liability can attract Section 138 of the Negotiable Instruments Act.

Whether alleged procedural defects concerning the bank manager's authorization were sufficient to defeat the bank's Section 138 prosecution.

3. Court's Decision

The High Court allowed the co-operative bank's appeal and set aside the order of acquittal.

The respondent was convicted under Section 138 of the Negotiable Instruments Act.

The Court directed payment of a fine of Rs.15,20,000/-, with one year's simple imprisonment in default. The cheque amount was directed to be paid to the appellant-bank and the balance to the State.

4. Court's Reasoning

The Court held that once the issuance/signature of the cheque is admitted or proved, the statutory presumptions under Sections 118 and 139 of the Negotiable Instruments Act become operative.

The presumption is rebuttable, but the accused must raise a specific, cogent and acceptable defence. A mere general denial or vague suggestion in cross-examination is insufficient.

The Court also noted that the respondent had already participated in the co-operative recovery proceedings and had undertaken to repay the outstanding loan. The subsequent cheque was therefore connected with an existing legally recoverable liability.

The Court relied upon the Supreme Court's decision in ICDS Ltd. v. Beena Shabeer to hold that Section 138 is not rendered inapplicable merely because the drawer of the cheque is a guarantor. The expression "any cheque" and "other liability" in Section 138 is sufficiently broad to cover such liability.

The Court further held that the Trial Court had wrongly treated the alleged authorization defect as fatal. The bank produced board resolutions and the CEO's authorization showing that the manager could represent the bank in legal proceedings. A procedural defect which is curable should not defeat the substantive recovery right of the co-operative bank.

The Court also rejected the proposition that a cheque described as a "security cheque" automatically falls outside Section 138. Relying upon Sripathi Singh v. State of Jharkhand, the Court held that a security cheque can mature for presentation when the underlying liability becomes due and remains unpaid.

5. Relevance to Co-operative Banks

This judgment is directly useful for co-operative banks in Karnataka because the appellant itself was a co-operative bank and the underlying recovery proceedings were initiated under Section 70 of the Karnataka Co-operative Societies Act.

It is particularly useful where a borrower or guarantor:

• issues a cheque during co-operative recovery proceedings;

• subsequently claims that the cheque was only a security cheque;

• denies that the cheque represented a legally enforceable liability;

• disputes the authority of the bank officer who filed the complaint; or

• argues that being a guarantor excludes Section 138 liability.

The judgment demonstrates that statutory recovery proceedings under the Karnataka Co-operative Societies Act and prosecution under Section 138 of the Negotiable Instruments Act can operate on the same underlying loan liability, subject to the requirements of each statute.

6. Practical Application

For a co-operative bank intending to initiate Section 138 proceedings, the judgment highlights the importance of maintaining:

1. Original loan/overdraft sanction documents;

2. Guarantee documents;

3. Statement of account;

4. Documents establishing the outstanding legally recoverable liability;

5. The cheque and bank return memo;

6. Statutory demand notice and proof of service;

7. Records showing the guarantor's participation or admissions in recovery proceedings;

8. Board resolution/authorization empowering the appropriate officer to represent and prosecute on behalf of the bank.

Where a guarantor has issued a cheque after participating in recovery proceedings and acknowledging the outstanding liability, those documents can substantially strengthen the bank's Section 138 case.

However, the statutory presumption remains rebuttable. The bank must still establish the foundational facts necessary to invoke Sections 118 and 139 and comply strictly with the procedural requirements of Section 138.

Summary (Kannada)

Supreme Courtನ ICDS Ltd. v. Beena Shabeer ತೀರ್ಪನ್ನು ಅವಲಂಬಿಸಿ, "any cheque" ಮತ್ತು "other liability" ಎಂಬ Section 138ರ ಪದಗಳು ಜಾಮೀನುದಾರನ ಬಾಧ್ಯತೆಯಿಂದ ಹೊರಬರುವುದಿಲ್ಲ ಎಂದು ನ್ಯಾಯಾಲಯ ತಿಳಿಸಿತು.

• ಸಾಲಗಾರ ಅಥವಾ ಜಾಮೀನುದಾರನು ಸಹಕಾರ ಸಂಘಗಳ ಕಾಯ್ದೆಯ recovery proceedings ನಡೆಯುತ್ತಿರುವಾಗ ಚೆಕ್ ನೀಡಿದರೆ;

• ನಂತರ ಆ ಚೆಕ್ ಕೇವಲ security cheque ಎಂದು ಹೇಳಿದರೆ;

• ಚೆಕ್ ಕಾನೂನುಬದ್ಧ ಸಾಲದ ಬಾಧ್ಯತೆಯನ್ನು ಪ್ರತಿನಿಧಿಸುವುದಿಲ್ಲ ಎಂದು ಹೇಳಿದರೆ;

1. ಮೂಲ loan/overdraft sanction documents;

2. Guarantee documents;

3. Statement of account;

4. ಬಾಕಿ ಇರುವ ಕಾನೂನುಬದ್ಧ ಸಾಲದ ಬಾಧ್ಯತೆಯನ್ನು ತೋರಿಸುವ ದಾಖಲೆಗಳು;

5. Original cheque ಮತ್ತು bank return memo;

6. Section 138 statutory demand notice ಮತ್ತು service proof;

7. ಜಾಮೀನುದಾರನು recovery proceedingsನಲ್ಲಿ ಭಾಗವಹಿಸಿ liability ಒಪ್ಪಿಕೊಂಡಿರುವ ದಾಖಲೆಗಳು;

Board Resolution/authorization.
