The Bengaluru City Co-operative Bank Ltd. v. State of Karnataka & Ors.

  • Court: Karnataka High Court
  • Year: 2025
  • Neutral citation: 2025:KHC:690

Key Legal Principles

Where a secured creditor has taken possession and auctioned property under SARFAESI and registration of the Sale Certificate is obstructed because of the requirement of e-Khatha/e-Swathu/e-Asthi, the secured creditor can utilise the mechanism provided by the State Government/BBMP for obtaining e-Khatha and thereafter proceed with registration of the Sale Certificate.

Key Legal Principles (Kannada)

Summary (English)

1. Facts

The Bengaluru City Co-operative Bank Ltd. had taken possession of a secured property and conducted an auction under the SARFAESI Act, 2002.

After the auction, the Bank issued a Sale Certificate in favour of the auction purchaser.

However, when the Bank approached the Sub-Registrar for registration of the Sale Certificate, the Sub-Registrar insisted that the Bank produce e-Swathu/e-Asthi/e-Khatha in respect of the property.

The Bank approached the Karnataka High Court because the insistence on e-Khatha was preventing registration of the SARFAESI Sale Certificate.

During the proceedings, the State Government informed the Court that it had taken note of the difficulties being faced by secured creditors in registering Sale Certificates because of the absence of e-Khatha.

The Government/BBMP consequently issued a Circular dated 07.01.2025 providing a mechanism for banks and financial institutions which had taken possession and auctioned properties under SARFAESI to obtain final e-Khatha in their favour.

2. Legal Issue

Whether a co-operative bank which has taken possession of and auctioned a secured property under SARFAESI can obtain e-Khatha in its own name for the purpose of registering the Sale Certificate in favour of the auction purchaser.

3. Court's Decision

The High Court disposed of the writ petition by permitting the Bank to apply to BBMP for e-Khatha in accordance with the Circular dated 07.01.2025.

The Court recorded that the Circular provided for obtaining final e-Khatha for properties in favour of banks/financial institutions which had taken possession of and auctioned the property under SARFAESI.

Once e-Khatha was obtained, the Bank could proceed with registration of the Sale Certificate before the Sub-Registrar.

4. Court's Reasoning

The immediate difficulty was procedural rather than a challenge to the validity of the SARFAESI auction itself.

The Sub-Registrar was insisting upon e-Swathu/e-Asthi/e-Khatha before registering the Sale Certificate.

The State Government acknowledged the practical difficulty faced by secured creditors and had consequently created an administrative mechanism through the Circular dated 07.01.2025.

The High Court therefore did not need to adjudicate the broader validity of the auction or the title of the auction purchaser.

Instead, it recognised the administrative solution already introduced by the State Government and permitted the co-operative bank to use that mechanism.

The Court specifically recorded that obtaining e-Khatha would enable the Bank to have the Sale Certificate registered before the Sub-Registrar.

5. Relevance to Co-operative Banks

This is a particularly practical Karnataka-specific ruling for co-operative banks conducting SARFAESI auctions.

A successful SARFAESI auction does not by itself complete the bank's practical recovery process if the Sale Certificate cannot be registered.

The judgment addresses an important post-auction problem:

Bank takes possession → conducts SARFAESI auction → issues Sale Certificate → Sub-Registrar insists on e-Khatha → registration gets delayed.

The decision provides a procedural route for overcoming that difficulty.

It is therefore useful for co-operative banks, authorised officers, recovery officers and advocates handling:

• SARFAESI auction sales;

• registration of Sale Certificates;

• post-auction title documentation;

• e-Khatha/e-Swathu/e-Asthi issues;

• BBMP properties;

• objections raised by Sub-Registrars; and

• completion of auction purchaser documentation.

6. Practical Application

For a Karnataka co-operative bank:

(a) After a SARFAESI auction, ensure that the Sale Certificate and possession-related documents are properly prepared.

(b) If the Sub-Registrar insists upon e-Khatha/e-Swathu/e-Asthi, obtain a written communication recording the requirement.

(c) Apply to the concerned BBMP authority for e-Khatha under the Circular dated 07.01.2025.

(d) Keep the SARFAESI possession documents, auction notice, confirmation of sale, Sale Certificate and relevant property records ready for submission.

(e) After obtaining e-Khatha, proceed with registration of the Sale Certificate before the concerned Sub-Registrar.

(f) In case of continued refusal despite compliance with the prescribed procedure, the Bank can consider appropriate legal proceedings relying upon the administrative mechanism recognised in this judgment.

The practical significance is that a co-operative bank's SARFAESI recovery process should not stop merely because the auctioned property does not have the e-Khatha documentation required for registration.

Summary (Kannada)

Sub-Registrar e-Swathu/e-Asthi/e-Khatha

• SARFAESI auction sales;

• Sale Certificate registration;

• Post-auction title documentation;

• e-Khatha/e-Swathu/e-Asthi ಸಮಸ್ಯೆಗಳು;

• BBMP ವ್ಯಾಪ್ತಿಯ ಆಸ್ತಿಗಳು;

• Sub-Registrar objections;

• Auction purchaser documentation

ಕರ್ನಾಟಕದ co-operative bank ಪರವಾಗಿ:

(a) SARFAESI auction ನಂತರ Sale Certificate ಮತ್ತು possession-related documents ಸರಿಯಾಗಿ ಸಿದ್ಧಪಡಿಸಬೇಕು.
