Sri Paul Deepak Joseph & Anr. v. The Bengaluru City Co-operative Bank Ltd. & Anr.
- Court: Karnataka High Court
- Year: 2026
- Neutral citation: 2026:KHC:18853
Key Legal Principles
A person who purchases mortgaged property from a borrower after the loan account has become an NPA cannot ordinarily claim against the secured creditor merely by relying upon the subsequent sale deed.
Where the mortgage is registered and discoverable from the relevant title/encumbrance records, the purchaser is expected to conduct due diligence before purchasing.
A private sale between the borrower and a subsequent purchaser does not, by itself, bind the secured creditor or extinguish the bank's security interest.
Key Legal Principles (Kannada)
Summary (English)
1. Facts
The petitioners purchased a property from the borrower.
The property had already been mortgaged by the borrower in favour of the Bengaluru City Co-operative Bank Ltd. The borrower's loan account was subsequently classified as a Non-Performing Asset (NPA).
Importantly, the petitioners purchased the property after the loan account had become an NPA.
The Bank initiated SARFAESI proceedings and issued a sale notice dated 20.02.2025.
The purchasers approached the Karnataka High Court, claiming that they were bona fide purchasers and seeking protection of their possession and quashing of the SARFAESI proceedings.
The petitioners also challenged an order dated 16.11.2024 passed by the Magistrate under Section 14 of the SARFAESI Act.
During the proceedings, the petitioners stated that the loan amount had subsequently been paid and the loan account had been regularised. They nevertheless sought a direction that possession of the property be handed over to them.
2. Legal Issue
Whether purchasers who acquire mortgaged property from the borrower after the loan account has already become an NPA can claim rights against the secured creditor and obtain possession from the bank merely on the basis of their subsequent sale deed.
3. Court's Decision
The Karnataka High Court dismissed the writ petitions.
The Court held that the petitioners could not claim the status of bona fide purchasers because they purchased the property after the loan had already become an NPA and the property was subject to a registered mortgage.
The Court further held that the bank was not bound by the private transaction between the borrower and the purchasers.
The purchasers could not demand possession from the bank merely because they had purchased the property from the borrower.
If the purchasers had any claim arising from the transaction, their remedy was against their vendor/borrower.
4. Court's Reasoning
The Court noted that the petitioners' vendor was the borrower and that the property had already been mortgaged to the Bank.
The loan account had become an NPA before the petitioners purchased the property.
The Court observed that, where there is a registered mortgage, the encumbrance certificate would disclose the mortgage.
Therefore, the purchasers were expected to verify the title and encumbrances before purchasing the property.
The Court rejected their claim that they were bona fide purchasers because they had purchased the property without properly verifying the encumbrance.
The Court also noted that the Bank was not a party to the transaction between the borrower and the petitioners.
Consequently, any contractual or monetary claim arising from that sale transaction had to be pursued against the vendor.
The fact that money was subsequently credited to the loan account did not create a relationship between the purchasers and the Bank or entitle the purchasers to demand possession from the Bank.
The Court therefore refused to interfere in writ jurisdiction.
5. Relevance to Co-operative Banks
This is directly useful for co-operative banks because the respondent Bank was Bengaluru City Co-operative Bank Ltd. and the dispute arose directly from its SARFAESI enforcement proceedings.
A frequent problem in SARFAESI recovery is that, after mortgaging the property and after the loan becomes NPA, the borrower sells the property to a third party.
The purchaser then approaches the High Court claiming:
"I am a bona fide purchaser."
This judgment provides a Karnataka High Court authority for examining that contention, particularly where the mortgage was registered and the purchase took place after the account had already become NPA.
It is useful in disputes involving:
• subsequent purchasers of mortgaged property;
• bona fide purchaser claims;
• SARFAESI possession proceedings;
• Section 14 Magistrate orders;
• sale of secured property after NPA;
• encumbrance certificate/title due diligence;
• third-party possession claims; and
• attempts to use Article 226 to obstruct SARFAESI recovery.
6. Practical Application
For a Karnataka co-operative bank:
(a) Preserve the registered mortgage documents and encumbrance records establishing the Bank's security interest.
(b) Record the date on which the borrower's account became NPA.
(c) If the borrower subsequently sells the mortgaged property, obtain the subsequent sale deed and establish that the purchaser acquired the property after creation of the Bank's security.
(d) In objections raised by the purchaser, produce the relevant encumbrance/title records demonstrating that the mortgage was discoverable.
(e) In Section 14 proceedings, clearly place the mortgage documents, NPA details and SARFAESI compliance before the Magistrate.
(f) If the purchaser approaches the High Court under Article 226, examine whether an efficacious statutory remedy before the DRT under Section 17 is available.
(g) If the purchaser claims money was paid to regularise the loan, distinguish between payment of the borrower's debt and acquisition of an independent right to possession against the Bank.
The practical lesson for a co-operative bank is that a subsequent purchaser normally cannot acquire a better position than the borrower merely by obtaining a sale deed after the property has already been mortgaged and the loan has become an NPA.
Summary (Kannada)
• Mortgaged property subsequent purchasers;
• Bona fide purchaser claims;
• SARFAESI possession proceedings;
• Section 14 Magistrate orders;
• NPA ನಂತರ secured property sale;
• Encumbrance Certificate/title due diligence;
• Third-party possession claims;
ಕರ್ನಾಟಕದ co-operative bank ಪರವಾಗಿ:
(a) Bank ನ security interest ತೋರಿಸುವ registered mortgage documents ಮತ್ತು encumbrance records ಅನ್ನು ಸುರಕ್ಷಿತವಾಗಿ ನಿರ್ವಹಿಸಬೇಕು.
