B. Prashanth Hegde v. State Bank of India & Anr.

  • Court: Karnataka High Court
  • Year: 2026

Key Legal Principles

1. Section 18 of the Limitation Act applies to Section 7 IBC proceedings through Section 238A of the IBC. A valid written acknowledgment made before expiry of limitation can give a fresh limitation period.

2. A borrower's acknowledgment of debt in restructuring agreements, consortium agreements and properly signed balance sheets may extend limitation, provided the requirements of Section 18 are satisfied.

3. The date on which a bank classifies an account as an NPA under RBI prudential norms is not necessarily decisive for limitation. The legal date of default and subsequent acknowledgments/restructuring must be examined.

4. Substantial compliance with Form 1 is sufficient. An insignificant omission or technical defect should not defeat a Section 7 application when the essential statutory ingredients and supporting material are available.

5. The pendency of proceedings before DRT or under another recovery mechanism does not, by itself, bar a financial creditor from invoking the IBC.

Key Legal Principles (Kannada)

Summary (English)

1. Facts

M/s Metal Closure Pvt. Ltd. had obtained various credit facilities from a consortium of banks led by State Bank of India (SBI), along with Punjab National Bank, Corporation Bank and UCO Bank.

The outstanding dues exceeded ₹280 crore.

The account had originally faced financial difficulty and was treated as an NPA. However, between 2010 and 2014, the borrower and the consortium banks repeatedly restructured the debt and entered into Working Capital Consortium Agreements under which the borrower acknowledged its existing liabilities and obtained further facilities.

The borrower subsequently defaulted again. SBI, acting for itself and the consortium banks, filed an application under Section 7 of the Insolvency and Bankruptcy Code, 2016 (IBC) for commencement of Corporate Insolvency Resolution Process (CIRP).

The suspended Managing Director of the corporate debtor challenged the Section 7 application, principally contending that it was barred by limitation.

The dispute eventually reached the Supreme Court.

2. Legal Issue

The Supreme Court considered three principal issues:

(i) Whether a Section 7 IBC application could be rejected because the original application did not adequately state the material particulars concerning the debt and date of default;

(ii) Whether the Section 7 application was within the limitation period, particularly where the corporate debtor had acknowledged the debt through restructuring agreements and balance sheets;

(iii) Whether the existence of other recovery proceedings, a counterclaim or criminal proceedings against bank officials prevented the financial creditor from invoking Section 7 of the IBC.

3. Court's Decision

The Supreme Court dismissed the appeal and upheld the maintainability of the Section 7 IBC application.

The Court held that an application under Section 7 is not liable to be rejected merely because of an insignificant omission or error in the prescribed Form 1 when the application substantially contains the necessary ingredients and supporting material.

The Court further held that acknowledgments of debt made within the applicable limitation period can extend limitation under Section 18 of the Limitation Act.

In this case, the Working Capital Consortium Agreements and the corporate debtor's balance sheets constituted relevant acknowledgments of the existing debt.

The Court also held that the pendency of recovery proceedings under other statutes, a counterclaim for damages, or criminal proceedings against bank officials does not by itself prevent a financial creditor from initiating proceedings under Section 7 of the IBC.

4. Court's Reasoning

The Court first explained that Section 238A of the IBC makes the Limitation Act applicable, as far as may be, to proceedings under the IBC.

Under Article 137 of the Limitation Act, the normal limitation period for a Section 7 application is three years from the date on which the right to apply accrues.

However, Section 18 of the Limitation Act provides for a fresh period of limitation where a written acknowledgment of liability is made before the original limitation period expires.

The Court found that the borrower had entered into several Working Capital Consortium Agreements during the restructuring process. These agreements acknowledged the existing debt and were accompanied by further credit facilities.

The borrower also disclosed the debts in its balance sheets. Those balance sheets were signed by a director and were produced by the corporate debtor itself in proceedings before the DRT.

The Court held that even though the balance sheets contained a caveat that recovery proceedings were pending before the DRT, the acknowledgment was sufficient for Section 18.

An important point is that the Court distinguished the RBI's NPA classification from the determination of limitation. The shifting of an NPA date for accounting/asset-classification purposes under RBI norms does not by itself determine the starting point of limitation.

Where the debt is subsequently restructured and acknowledged, those subsequent agreements and acknowledgments can become relevant for computing limitation.

The Court also held that the prescribed Form 1 should not be interpreted in an excessively technical manner. If the application substantially discloses the financial debt, default, date/material basis of default and supporting evidence, an insignificant omission does not require rejection.

Finally, the Court held that proceedings under other recovery laws do not automatically prevent a financial creditor from invoking the IBC. A pending counterclaim against the bank does not, by itself, extinguish or suspend the bank's financial debt.

5. Relevance to Co-operative Banks

This judgment is practically relevant to co-operative banks that qualify as financial creditors under the IBC and are entitled to invoke the applicable insolvency mechanism against a corporate debtor.

For a co-operative bank, the judgment is especially useful in limitation disputes involving old loan accounts.

Co-operative banks frequently maintain:

• restructuring agreements;

• revival letters;

• balance confirmations;

• consortium arrangements;

• settlement proposals;

• loan renewal documents;

• financial statements;

• correspondence acknowledging outstanding dues.

This judgment reinforces the importance of preserving such documents because a valid acknowledgment made before expiry of limitation can have a significant effect on limitation.

The distinction between RBI's NPA classification and the limitation date is also practically important. A bank should not assume that the NPA date appearing in its accounting records automatically answers every limitation question.

The complete history of default, restructuring, acknowledgment and subsequent credit facilities should be examined.

6. Practical Application

A lawyer representing a co-operative bank can use this judgment when:

• a corporate borrower argues that an IBC application is time-barred;

• the borrower has signed restructuring or consortium agreements acknowledging the outstanding loan;

• the borrower has acknowledged the debt in its balance sheets;

• the borrower argues that an NPA was declared several years earlier and therefore limitation has expired;

• the borrower argues that a pending DRT/SARFAESI proceeding prevents IBC proceedings;

• the borrower has filed a counterclaim against the bank and argues that there is no recoverable debt;

• an IBC application contains a technical or minor defect in Form 1;

• the bank needs to establish that subsequent restructuring and acknowledgment kept the debt legally alive for limitation purposes.

A particularly useful practical lesson is documentary preservation.

A co-operative bank should carefully preserve signed restructuring agreements, revival/acknowledgment documents, balance confirmations, settlement proposals and other documents in which the borrower admits the subsisting liability.

However, the acknowledgment must satisfy Section 18. A document created after the limitation period has already expired cannot ordinarily revive a debt that has already become time-barred merely by being described as an acknowledgment.

Summary (Kannada)

M/s Metal Closure Pvt. Ltd. ಎಂಬ ಕಂಪನಿಯು State Bank of India (SBI)

Supreme Court

(i) Section 7 applicationನಲ್ಲಿ debt ಮತ್ತು date of defaultಗೆ ಸಂಬಂಧಿಸಿದ ಕೆಲವು material particulars ಸರಿಯಾಗಿ ನೀಡಿಲ್ಲ ಎಂಬ ಕಾರಣದಿಂದ application ಅನ್ನು ತಿರಸ್ಕರಿಸಬಹುದೇ;

(ii) borrower restructuring agreements ಮತ್ತು balance sheetsಗಳಲ್ಲಿ ಸಾಲವನ್ನು acknowledge ಮಾಡಿದ್ದರೆ Section 7 application limitation ಒಳಗಿದೆಯೇ;

ಈ ಅವಧಿ right to apply accrue ಆದಾಗಿನಿಂದ ಲೆಕ್ಕಿಸಲಾಗುತ್ತದೆ.

ಆದರೆ Limitation Actನ Section 18 ಅಡಿಯಲ್ಲಿ original limitation period ಮುಗಿಯುವ ಮೊದಲು written acknowledgment of liability ಮಾಡಿದರೆ fresh limitation period ಪ್ರಾರಂಭವಾಗಬಹುದು.

• restructuring agreements;

• revival letters;

• balance confirmations;

• consortium agreements;

• settlement proposals;

• loan renewal documents;

• financial statements;

• corporate borrower IBC application limitationನಿಂದ time-barred ಎಂದು ವಾದಿಸಿದಾಗ;

• borrower restructuring ಅಥವಾ consortium agreementsನಲ್ಲಿ outstanding loan ಅನ್ನು acknowledge ಮಾಡಿದ್ದಾಗ;

• borrower balance sheetನಲ್ಲಿ debt ಅನ್ನು acknowledge ಮಾಡಿದ್ದಾಗ;

• NPA ಹಲವು ವರ್ಷಗಳ ಹಿಂದೆ declared ಆಗಿದೆ, ಆದ್ದರಿಂದ limitation ಮುಗಿದಿದೆ ಎಂದು borrower ವಾದಿಸಿದಾಗ;

• DRT ಅಥವಾ SARFAESI proceedings pending ಇರುವುದರಿಂದ IBC proceedings maintainable ಅಲ್ಲ ಎಂದು borrower ವಾದಿಸಿದಾಗ;

• borrower bank ವಿರುದ್ಧ counterclaim ಸಲ್ಲಿಸಿ, bankಗೆ recoverable debt ಇಲ್ಲ ಎಂದು ವಾದಿಸಿದಾಗ;

• IBC applicationನಲ್ಲಿ Form 1ಗೆ ಸಂಬಂಧಿಸಿದ technical ಅಥವಾ minor defect ಇದ್ದಾಗ;
