Ittiam Systems Private Limited v. Bharath Co-operative Bank (Mumbai) Limited
- Court: Karnataka High Court
- Year: 2026
- Neutral citation: 2026:KHC:24820-DB
Key Legal Principles
Under Section 18 of the SARFAESI Act:
• "Any person aggrieved" can file an appeal against an order of the DRT under Section 17.
• The mandatory pre-deposit under the second proviso to Section 18(1) applies only to the borrower.
• A non-borrower, including a tenant claiming an independent interest in the secured asset, cannot be compelled to make the borrower's statutory pre-deposit merely as a condition for maintaining the appeal.
• The validity or enforceability of the non-borrower's tenancy is a separate merits issue and need not be conclusively decided merely for determining whether the pre-deposit is payable.
The Court also noted that Section 17(4A) specifically empowers the DRT to examine claims of tenancy or leasehold rights, including whether the tenancy has expired, violates Section 65A of the Transfer of Property Act, conflicts with the mortgage, or was created after the Section 13(2) demand notice.
Key Legal Principles (Kannada)
• ಸೆಕ್ಷನ್ 17ರ DRT ಆದೇಶದಿಂದ ಬಾಧಿತರಾದ "any person aggrieved" appeal ಸಲ್ಲಿಸಬಹುದು.
(a) ಮುಕ್ತಾಯಗೊಂಡಿದೆಯೇ;
(b) TPA ಸೆಕ್ಷನ್ 65Aಗೆ ವಿರುದ್ಧವಾಗಿದೆಯೇ;
Summary (English)
1. Facts
Ittiam Systems Private Limited claimed to be a tenant in respect of Units 401, 402 and 404 in "Consulate-1", Richmond Road, Bengaluru.
The property belonged to the landlord, who had availed a loan from Bharath Co-operative Bank (Mumbai) Limited. After default, the Bank initiated proceedings under Sections 13(2) and 13(4) of the SARFAESI Act and subsequently obtained an order under Section 14 for taking physical possession of the secured asset.
The tenant challenged the possession proceedings and subsequently filed a securitisation application under Section 17 before the Debts Recovery Tribunal (DRT).
The DRT dismissed the tenant's application.
The tenant thereafter filed an appeal before the Debts Recovery Appellate Tribunal (DRAT) under Section 18 of the SARFAESI Act. Since the tenant was not the borrower, it contended that the statutory pre-deposit requirement under Section 18 did not apply to it.
The DRAT nevertheless directed the tenant to make a pre-deposit of 25% of the debt amount as a condition for pursuing the appeal.
The tenant challenged that direction before the Karnataka High Court.
2. Legal Issue
Whether the mandatory pre-deposit requirement under the second proviso to Section 18(1) of the SARFAESI Act applies to a person other than the borrower, such as a tenant, who is aggrieved by an order of the DRT under Section 17.
A connected issue was whether such a tenant must first establish, at the threshold stage, that the tenancy is legally valid and subsisting before being permitted to maintain the Section 18 appeal without pre-deposit.
3. Court's Decision
The High Court allowed the writ petition.
It held that the right of appeal under Section 18 is available to "any person aggrieved" by an order of the DRT under Section 17.
However, the second proviso to Section 18(1), which requires a 50% deposit of the debt and permits reduction to not less than 25%, expressly refers only to the "borrower".
Therefore, the mandatory pre-deposit requirement does not apply to a non-borrower such as a tenant.
The Court set aside the DRAT's direction requiring the petitioner to deposit 25% of ₹13,33,02,744, i.e. ₹3,33,25,686.
The DRAT was directed to hear the tenant's appeal on merits without insisting upon such pre-deposit.
The High Court expressly left open the questions concerning the validity, subsistence and enforceability of the alleged tenancy.
4. Court's Reasoning
The Court emphasised the deliberate difference in language used by Parliament.
Section 18(1) gives an appellate remedy to "any person aggrieved". This expression is broad and is not restricted to borrowers.
The first proviso itself recognises two categories — "the borrower" and "the person other than the borrower" — by permitting different fees to be prescribed for them.
But the second proviso uses the narrower expression "unless the borrower has deposited".
The Court held that this distinction must be given meaning.
If Parliament intended every appellant to make a pre-deposit, it could have used the expression "any person aggrieved" in the second proviso as well. It did not do so.
A tenant or other non-borrower does not owe the debt to the secured creditor merely because the tenant's possession is affected by SARFAESI proceedings.
Therefore, compelling such a person to deposit a percentage of the borrower's debt would improperly extend the statutory language.
The Court also relied on the earlier Karnataka High Court decision in M/s. Hindustan Polymers, holding that the Section 18 pre-deposit requirement is confined to the borrower.
5. Relevance to Co-operative Banks
This is directly relevant to co-operative banks enforcing security under SARFAESI.
A bank may face a Section 17 application and subsequent Section 18 appeal from a tenant, purchaser, co-owner or another third party claiming an interest in the secured property.
The judgment clarifies an important procedural distinction:
The third party may have a statutory right of appeal, but the 50%/25% pre-deposit mechanism under Section 18 is not automatically applicable to that third party.
For a co-operative bank, this means that an objection to a third party's Section 18 appeal should not be based merely on failure to make the borrower-specific pre-deposit.
Instead, the bank can contest the third party's substantive claim before the DRAT, including:
• whether the tenancy actually exists;
• whether it is valid and subsisting;
• whether it was created after the mortgage;
• whether it violates Section 65A TPA;
• whether it is contrary to the mortgage terms; and
• whether it was created after the Section 13(2) notice.
6. Practical Application
Suppose a borrower mortgages a commercial property to a co-operative bank and a tenant claims that the tenant has an independent right to remain in possession.
If the DRT rejects the tenant's Section 17 application and the tenant files a Section 18 appeal, the tenant cannot be required to deposit 50% or 25% of the borrower's debt merely because the tenant is appealing.
The bank should instead contest the tenant's claim on merits.
Section 17(4A) is particularly important because the Tribunal can examine whether the alleged tenancy:
(a) has expired or been determined;
(b) is contrary to Section 65A of the Transfer of Property Act;
(c) is contrary to the terms of the mortgage; or
(d) was created after the bank issued the Section 13(2) demand notice.
The High Court expressly kept these questions open for determination by the DRAT.
Thus, the judgment is useful both for understanding the procedural rights of third parties and for structuring the bank's substantive defence against an alleged tenancy.
Summary (Kannada)
ಮೊದಲ provisoದಲ್ಲಿಯೂ "borrower" ಮತ್ತು "person other than the borrower" ಎಂದು ಎರಡು ವರ್ಗಗಳನ್ನು ಪ್ರತ್ಯೇಕವಾಗಿ ಗುರುತಿಸಲಾಗಿದೆ.
ಆದರೆ ಎರಡನೇ provisoನಲ್ಲಿ "unless the borrower has deposited" ಎಂದು borrowerನನ್ನೇ ಉಲ್ಲೇಖಿಸಲಾಗಿದೆ.
ಹಿಂದಿನ Karnataka High Courtನ M/s.
• tenancy ನಿಜವಾಗಿಯೂ ಇದೆಯೇ;
• tenancy valid ಮತ್ತು subsisting ಆಗಿದೆಯೇ;
• mortgage ನಂತರ tenancy ಸೃಷ್ಟಿಯಾಗಿದೆಯೇ;
• TPA Section 65Aಗೆ ವಿರುದ್ಧವಾಗಿದೆಯೇ;
• mortgageನ ಷರತ್ತುಗಳಿಗೆ ವಿರುದ್ಧವಾಗಿದೆಯೇ;
(a) tenancy ಮುಕ್ತಾಯಗೊಂಡಿದೆಯೇ ಅಥವಾ terminate ಆಗಿದೆಯೇ;
(b) tenancy TPA Section 65Aಗೆ ವಿರುದ್ಧವಾಗಿದೆಯೇ;
(c) tenancy mortgageನ ಷರತ್ತುಗಳಿಗೆ ವಿರುದ್ಧವಾಗಿದೆಯೇ;
