Mahantesh S. Wali v. State of Karnataka & Ors.
- Court: Karnataka High Court
- Year: 2026
- Neutral citation: 2026:KHC-D:6659
Key Legal Principles
A statutory provision dealing with surplus assets of a liquidated co-operative society cannot be invoked where there was no functioning co-operative society and no liquidation proceedings.
Accrued interest on a deposit follows the character of the principal amount unless there is statutory authority for treating it otherwise.
Key Legal Principles (Kannada)
Summary (English)
1. Facts
A group of promoters and prospective shareholders had collected money for establishing a proposed co-operative sugar factory.
The money, amounting to ₹2,90,000/- from 58 contributors, was deposited in a bank account and remained invested.
The proposed sugar factory never commenced functioning as a co-operative society.
The authorities directed that the principal amount be refunded to the contributors but ordered the accrued interest of ₹99,346/- to be transferred to the Registrar's P.D. Account by treating it as "surplus funds" under Rule 24A.
The petitioner challenged that direction before the High Court.
2. Legal Issue
Whether accrued interest on the contributors' deposited money could be treated as "surplus funds" under Rule 24A and transferred to the Registrar's account when the proposed co-operative society had never become functional and no liquidation proceedings had taken place.
3. Court's Decision
The High Court allowed the writ petition.
It quashed the direction to transfer ₹99,346/- interest to the Registrar's P.D. Account.
The Court directed that the accrued interest, together with further interest earned until disbursement, be distributed proportionately among the 58 contributors.
4. Court's Reasoning
The Court held that Rule 24A operates in a specific field.
It applies to surplus funds or assets remaining after the lawful liquidation of a co-operative society.
Here, there was no functioning co-operative society and no liquidation proceedings.
Therefore, there was no "surplus fund" within the meaning of Rule 24A.
The Court further held that the interest was merely an accretion to the contributors' principal money and retained the same character as the original deposit.
5. Relevance to Co-operative Banks
This decision is relevant to co-operative banks because it emphasises that money deposited with a bank does not become a statutory "surplus fund" merely because a co-operative project subsequently fails.
A bank handling funds belonging to promoters/shareholders should maintain a clear record of:
• the identity of contributors;
• the purpose of the deposit;
• the principal amount;
• accrued interest; and
• the legal authority under which any transfer or refund is made.
6. Practical Application
Where a co-operative authority directs a bank to transfer deposited funds or accrued interest to a statutory account, the bank should verify the precise statutory provision authorising such transfer.
The Court's reasoning is particularly useful where an authority attempts to classify a deposit or its interest as "surplus" without the statutory conditions necessary for that classification.
Summary (Kannada)
₹99,346/- accrued interest ಅನ್ನು Registrarರ P.D.
Promoters/shareholders
• contributors ಯಾರು;
• depositನ ಉದ್ದೇಶ;
• principal amount;
