Mumthaz P. v. Board of Directors of the South Canara District Central Co-operative Bank Ltd. & Ors.
- Court: Karnataka High Court
- Year: 2024
- Neutral citation: 2024:KHC:45224
Key Legal Principles
A co-operative bank is not restricted to SARFAESI alone for recovery of its dues.
Subject to statutory limitations and inconsistency, a co-operative bank may invoke:
• the Karnataka Co-operative Societies Act; or
• SARFAESI; or
• both statutory mechanisms.
SARFAESI prevails only to the extent of inconsistency because of Section 35.
The existence of SARFAESI as an additional remedy does not, by itself, invalidate recovery proceedings lawfully undertaken under the Karnataka Co-operative Societies Act.
Key Legal Principles (Kannada)
• Karnataka Co-operative Societies Act
• SARFAESI Act
Summary (English)
1. Facts
The South Canara District Central Co-operative Bank sanctioned a loan of Rs.10 Crores to M/s. Sahad Rental Pvt. Ltd. The petitioner, Mumthaz P., stood as a guarantor along with another person.
After the borrower defaulted, the Bank initiated recovery proceedings under Section 70 of the Karnataka Co-operative Societies Act, 1959. An award dated 11.12.2020 was passed against the borrower and guarantors, and the award became final.
The Bank thereafter proceeded with execution and auctioned the mortgaged property.
The guarantor approached the Karnataka High Court and principally argued that, because co-operative banks are covered by the SARFAESI Act, a co-operative bank could recover its dues only under SARFAESI and could not simultaneously use the Karnataka Co-operative Societies Act.
She also claimed protection under the MSMED Act on the basis that the borrowing company was an MSME.
2. Legal Issue
Whether a co-operative bank, merely because it has the remedy of recovery under the SARFAESI Act, is prohibited from simultaneously or alternatively invoking the recovery mechanisms available under the Karnataka Co-operative Societies Act, 1959.
A connected issue was whether a guarantor of an MSME borrower personally obtains the protections available to the MSME under the MSMED Act.
3. Court's Decision
The High Court dismissed the writ petition.
The Court held that a co-operative bank can resort to recovery proceedings under the Karnataka Co-operative Societies Act as well as the SARFAESI Act.
The availability of SARFAESI does not extinguish or exclude the statutory recovery remedy available under the Karnataka Co-operative Societies Act.
However, where there is an inconsistency between the SARFAESI Act and another law, Section 35 of SARFAESI gives overriding effect to SARFAESI.
The Court also rejected the guarantor's claim to MSMED protection because she was merely a guarantor and was not herself an MSME.
4. Court's Reasoning
The Court considered Sections 35 and 37 of the SARFAESI Act.
Section 35 gives SARFAESI overriding effect where there is inconsistency with another law.
But Section 37 expressly states that SARFAESI is in addition to, and not in derogation of, other laws.
Therefore, the Court held that the existence of SARFAESI does not by itself prevent a co-operative bank from using the recovery machinery under the Karnataka Co-operative Societies Act.
The Court relied upon the Supreme Court's decision in Pandurang Ganpati Chaugule v. Vishwasrao Patil Murgud Sahakari Bank Ltd. to recognise that co-operative banks are covered by SARFAESI.
It then followed the Karnataka High Court's earlier decision in Sri Arihant Credit Souhard Sahakari Ltd. v. Assistant Registrar, which had held that the two statutory mechanisms can coexist.
The Court further observed that the Karnataka Co-operative Societies Act provides an adjudicatory and recovery mechanism, whereas SARFAESI primarily provides an enforcement mechanism.
Thus, the mere fact that SARFAESI is available cannot be used to argue that the State co-operative recovery mechanism has disappeared.
The Court also held that the petitioner had an available statutory remedy under Section 101 of the Karnataka Co-operative Societies Act and Rule 38 of the Rules for challenging the auction. Therefore, the writ petition was also objectionable on the ground of failure to exhaust the statutory remedy.
As regards MSMED protection, the Court held that the borrower-company's status as an MSME did not automatically confer the same statutory protection upon an individual guarantor.
5. Relevance to Co-operative Banks
This is particularly important for Karnataka co-operative banks.
A borrower or guarantor may argue:
"Since SARFAESI applies to co-operative banks, the Bank cannot initiate proceedings under the Karnataka Co-operative Societies Act."
This judgment rejects that proposition.
For a Karnataka co-operative bank, the decision supports maintaining and using the statutory recovery machinery under the Karnataka Co-operative Societies Act even though SARFAESI is also available.
It is particularly relevant to:
• Section 70 recovery disputes;
• execution of co-operative awards;
• attachment and sale of mortgaged properties;
• Rule 38 auction proceedings;
• challenges to co-operative-bank auctions;
• guarantor disputes; and
• arguments based on SARFAESI overriding State co-operative legislation.
6. Practical Application
For a co-operative-bank lawyer in Karnataka:
(a) Do not assume that invoking SARFAESI automatically prevents proceedings under the Karnataka Co-operative Societies Act.
(b) Before selecting the recovery route, examine the nature of the debt, secured assets, borrower status and the remedies already invoked.
(c) If recovery is undertaken under the Karnataka Co-operative Societies Act, maintain strict compliance with Sections 70, 71 and 101 and Rule 38.
(d) If an auction is challenged, check whether the objector has exhausted the specific statutory remedy under Section 101 and Rule 38.
(e) If SARFAESI and the Karnataka Act are both involved, identify any actual inconsistency rather than assuming that SARFAESI completely excludes the State remedy.
(f) Do not automatically extend MSMED statutory protections available to an MSME borrower to an individual guarantor merely because the principal borrower is an MSME.
(g) In litigation, this judgment can be used to answer the argument that "SARFAESI is the only remedy available to a co-operative bank."
Summary (Kannada)
South Canara District Central Co-operative Bank, M/s. Sahad Rental Pvt.
High Court writ petition
ಈ ಸಂದರ್ಭದಲ್ಲಿ Court, Supreme Court ನ Pandurang Ganpati Chaugule v.

(a) SARFAESI invoke ಮಾಡಿದ ತಕ್ಷಣ Karnataka Co-operative Societies Act ಅಡಿಯಲ್ಲಿ recovery proceedings ನಡೆಸಲು ಸಾಧ್ಯವಿಲ್ಲ ಎಂದು ಊಹಿಸಬಾರದು.
