Reliance Projects and Property Management Services Limited v. Deputy Registrar of Co-operative Societies, Udupi District & Ors.
- Court: Karnataka High Court
- Year: 2026
- Neutral citation: 2026:KHC:18125
Key Legal Principles
A co-operative recovery authority may have statutory power to attach and sell immovable property, but while exercising that power it must consider legally enforceable third-party rights affecting the property.
Where a prior registered lease contains a contractual provision protecting the lessee's rights upon sale or transfer, the recovery authority must examine that provision before deciding the effect of the auction on the lessee.
Key Legal Principles (Kannada)
Summary (English)
1. Facts
The petitioner was a tenant under a registered Lease Deed dated 01.12.2017 for a period of 15 years, ending on 24.08.2032.
The owner of the property subsequently obtained a ₹10 crore loan from South Canara District Central Co-operative Bank and mortgaged the property to the Bank as security.
The borrower defaulted.
The Co-operative Bank initiated recovery proceedings under the Karnataka Co-operative Societies Act and the property was brought to auction.
The tenant contended that its registered lease pre-dated the mortgage in favour of the Co-operative Bank and that its leasehold rights had not been properly considered before the property was sold.
The tenant was also not a party to the original recovery proceedings.
2. Legal Issue
Whether the recovery authority could proceed with attachment and sale of the mortgaged property without considering the rights of a prior registered lessee, particularly where the lease contained a clause protecting the lessee's rights in the event of sale or transfer of the property.
3. Court's Decision
The High Court allowed the writ petition.
It set aside the orders of the Deputy Registrar/Recovery Officer and the appellate authority.
The matter was remanded for fresh consideration after giving all parties an opportunity of hearing and specifically considering Clause 21 of the registered Lease Deed.
The authority was directed to complete the proceedings within four months.
4. Court's Reasoning
The Court examined Rule 38 of the Karnataka Co-operative Societies Rules and held that the recovery authority does possess authority to attach and sell immovable property in execution of a recovery proceeding under Section 70.
However, the existence of that recovery power did not eliminate the requirement to consider the legal rights of a prior registered lessee.
Clause 21 of the Lease Deed expressly provided that any sale or transfer by the lessor would remain subject to the lessee's rights and that the transferee would be required to recognise the lease.
The original authorities had failed to examine the effect of this contractual clause.
Therefore, the High Court considered a fresh determination necessary.
5. Relevance to Co-operative Banks
This is particularly relevant to co-operative banks taking immovable property as security.
Before enforcing and auctioning mortgaged property, the Bank should identify prior registered leases, encumbrances and other third-party interests affecting the property.
The case demonstrates that an auction proceeding may be remanded if the recovery authority fails to examine a material registered lease affecting the property.
6. Practical Application
For a co-operative bank conducting recovery proceedings, the title and encumbrance examination should not stop with verification of the mortgage.
The Bank should also examine:
• registered leases;
• prior encumbrances;
• possession of third parties;
• clauses dealing with sale/transfer of the property; and
• whether the proposed auction will affect existing legally enforceable rights.
If a prior registered lease exists, the Bank should place the lease before the Recovery Officer and address its legal effect before proceeding with sale.
Summary (Kannada)
• prior registered leases;
• prior encumbrances;
• third-party possession;
