United Bank of India Ltd. v. Lekharam Sonaram & Co. & Ors.
- Court: Karnataka High Court
- Year: 1965
Key Legal Principles
1. Existence of a debt or secured obligation;
2. Delivery of title deeds to the creditor or his authorised agent; and
3. Intention to create security over the property.
A document which merely records an already completed deposit is different from a document which itself creates the mortgage.
Therefore, whether registration is necessary depends upon the true nature and purpose of the document and whether the parties intended it to contain the operative bargain creating the mortgage.
Key Legal Principles (Kannada)
Mortgage by deposit of title deeds
1. ಸಾಲ ಅಥವಾ secured obligation ಇರಬೇಕು;
2. ಹಕ್ಕುಪತ್ರಗಳನ್ನು ಸಾಲದಾತನಿಗೆ ಅಥವಾ ಅವನ ಅಧಿಕೃತ ಪ್ರತಿನಿಧಿಗೆ ಜಮಾ ಮಾಡಬೇಕು;
Summary (Translation)
1. Facts
The bank had granted overdraft facilities to the defendants for their business.
The bank claimed that the defendants had created an equitable mortgage by depositing title deeds of immovable properties with the bank, with the intention of creating security for the advances.
The defendants disputed the mortgage and argued that the documents executed in connection with the deposit of title deeds constituted the actual bargain creating the mortgage and therefore required registration under Section 17 of the Registration Act, 1908.
2. Legal Issue
Whether a mortgage by deposit of title deeds can be created merely by depositing the title deeds with the creditor with the intention of creating security.
Further, whether a written document accompanying the deposit necessarily requires registration under Section 17 of the Registration Act.
3. Court's Decision
The Supreme Court allowed the bank's appeal and granted the bank a mortgage decree.
The Court held that a mortgage by deposit of title deeds is created when:
(a) there is a debt or advance;
(b) title deeds relating to immovable property are delivered to the creditor; and
(c) the delivery is made with the intention of creating security for the debt.
A registered mortgage instrument is not ordinarily necessary where the mortgage is created by the deposit of title deeds itself.
However, if the parties intentionally reduce the actual bargain creating the mortgage into a written instrument, that document may require registration under Section 17 of the Registration Act.
4. Court's Reasoning
The Court explained that the essence of a mortgage by deposit of title deeds is the actual delivery of title deeds to the creditor with the intention that the documents should constitute security for the debt.
The law itself implies the mortgage contract from the deposit coupled with the requisite intention.
The Court distinguished between two types of documents:
(i) A document which merely records or evidences an already completed deposit of title deeds.
Such a document does not necessarily require registration.
(ii) A document which itself contains the bargain between the parties and forms an essential part of the transaction creating the mortgage.
Such a document can require registration because it itself creates or records an interest in immovable property.
In the present case, the letters relied upon by the defendants were not intended to constitute the operative bargain creating the mortgage. The mortgage was therefore not defeated by absence of registration of those letters.
5. Relevance to Co-operative Banks
This is particularly important for co-operative banks because loans are frequently secured by immovable properties through deposit of original title deeds.
When a borrower defaults, the bank may have to prove the existence and validity of the mortgage.
This judgment helps the bank establish the legal foundation of a mortgage by deposit of title deeds and also helps determine whether documents maintained in connection with the mortgage require registration.
A co-operative bank should therefore preserve evidence showing:
- the debt or loan facility;
- the original title deeds deposited;
- the date and place of deposit;
- the person who deposited the documents;
- the authority of the person depositing them;
- the bank's acceptance of the documents; and
- the borrower's intention to create security.
6. Practical Application
For a co-operative bank accepting property as security:
1. Obtain the original title deeds.
2. Record the date and place of deposit.
3. Record who deposited the title deeds and under whose authority.
4. Clearly document the purpose of the deposit as security for the loan.
5. Maintain proper records of the mortgage transaction.
6. Preserve correspondence relating to the deposit.
7. Examine carefully whether any memorandum or agreement merely records the deposit or itself creates the mortgage.
8. Do not assume that every document connected with a mortgage by deposit of title deeds requires registration.
9. Conversely, do not assume that a document is exempt from registration merely because title deeds were also deposited.
The practical principle for a bank lawyer is:
"Deposit of title deeds + debt + intention to create security = foundation of a mortgage by deposit of title deeds."
But:
"If the written document itself contains the operative bargain creating the mortgage, the registration requirement must be separately examined."
Summary (Kannada)
ಸಾಲದ ಭದ್ರತೆಗಾಗಿ ಪ್ರತಿವಾದಿಗಳು ಸ್ಥಿರಾಸ್ತಿಗಳ ಮೂಲ ಹಕ್ಕುಪತ್ರಗಳನ್ನು ಬ್ಯಾಂಕಿಗೆ ಜಮಾ ಮಾಡುವ ಮೂಲಕ equitable mortgage / mortgage by deposit of title deeds ಸೃಷ್ಟಿಸಿದ್ದರು ಎಂದು ಬ್ಯಾಂಕ್ ವಾದಿಸಿತು.
ಸಾಲದ ಭದ್ರತೆಯನ್ನು ಸೃಷ್ಟಿಸುವ ಉದ್ದೇಶದಿಂದ ಹಕ್ಕುಪತ್ರಗಳನ್ನು ಸಾಲದಾತನಿಗೆ ಜಮಾ ಮಾಡುವುದರಿಂದ ಮಾತ್ರ mortgage by deposit of title deeds ಸೃಷ್ಟಿಯಾಗಬಹುದೇ?
Mortgage by deposit of title deeds
(a) ಸಾಲ ಅಥವಾ ಬಾಕಿ ಇರಬೇಕು;
Mortgage by deposit of title deeds
Mortgage by deposit of title deeds
- ಸಾಲ ಅಥವಾ loan facility ಯ ದಾಖಲೆಗಳು;
- ಜಮಾ ಮಾಡಲಾದ ಮೂಲ ಹಕ್ಕುಪತ್ರಗಳು;
- ಹಕ್ಕುಪತ್ರಗಳನ್ನು ಜಮಾ ಮಾಡಿದ ದಿನಾಂಕ ಮತ್ತು ಸ್ಥಳ;
- ದಾಖಲೆಗಳನ್ನು ಜಮಾ ಮಾಡಿದ ವ್ಯಕ್ತಿಯ ವಿವರ;
- ಆ ವ್ಯಕ್ತಿಗೆ ಇದ್ದ ಅಧಿಕಾರ;
5. Mortgage transaction
8. Mortgage by deposit of title deeds
"ಸಾಲ + ಹಕ್ಕುಪತ್ರಗಳ ಜಮೆ + ಭದ್ರತೆ ಸೃಷ್ಟಿಸುವ ಉದ್ದೇಶ = Mortgage by deposit of title deeds ನ ಮೂಲಭೂತ ಆಧಾರ."
